SUBJECT: 1501 FEEHANVILLE DRIVE (03 -35- 200 - 063/064) — CLASS 6B REQUEST
Attached to this memorandum is a resolution that would grant approval of a Class 6b property tax
incentive for Windy City Land, LLC at 1501 Feehanville Drive in the Kensington Business Center.
Windy City currently operates two facilities in Franklin Park and Bellwood and is looking to consolidate
their operations in Mount Prospect. Windy City is a provider of worldwide chauffeured ground
transportation. The 70,394 square foot facility was formerly home to Household
Bank and has been vacant for over 3 years.
The Village has granted several Cook County Class 6b tax incentives to attract and retain businesses.
The 6b incentive reduces the assessment level for qualified manufacturing and warehouse /distribution
facilities from 25% to 10% for the first 10 years, 15% for year 11 and 20% in year 12. After year 12, the
assessment level returns to the full 25% for the benefitting property.
Windy City currently employs 276 individuals and is looking to hire an additional 50 staff after the
proposed expansion of their operations. They are requesting the Class 6b abatement to reduce their
taxes to around $1.40 per square foot. If the abatement is not granted they estimate that their tax bill
would be approximately $3.40 per square foot. Similar properties in nearby Lake and DuPage County
range from $1 to $1.50 per square foot.
Please forward this memorandum to the Village Board for their review and consideration at their
meeting on February 18th. Staff will be present at that meeting to further discuss this matter.

Dear Bill.
Windy City Land, LLC or its nominee (collectively, the "Applicant ") plans on purchasing
the above referenced property and is requesting a Resolution from the Village of Mount Prospect
supporting and consenting to a Class 6b Incentive for the subject property based on occupation
of abandoned property for greater than twenty -four (24) months continuous vacancy with
purchase for value and substantial rehabilitation. The Applicant plans to purchase and
rehabilitate the currently vacant and unused site in order to lease approximately 40,178 square
feet of the approximately 70,394 building on the subject property to a related entity, Windy City
Limousine Company LLC ( "'Windy City Limousine "), a provider of worldwide chauffeured
ground transportation, Windy City Limousine plans to house its entire operations at the subject
property including the warehousing and maintenance of its equipment and vehicles and the
remanufacturing of its vehicles. The Applicant plans on leasing the remaining subject property to
an industrial user for the user's warehousing, manufacturing and /or distributing operations.
The subject property consists of an approximately 70,394 square foot 24 year old
building on a roughly 467,307 square foot site. The previous occupant, HSBC Card Services
Inc., vacated 100% of the subject property in 2007 and since January 1, 2008, the subject
property has been 100% vacant and unused.
Because of this history of underutilization, the property will need substantial renovations
to make it suitable for Windy City Limousine's use. The Applicant has committed to
redeveloping the property by allocating approximately $1,400,000 to $1,700,000 to do a major

rehabilitation of the same. The overall improvements will be made with regard to, but not limited
to the subject property's drywall, steel, ceilings, masonry, windows, roof, plumbing system,
electrical system, HVAC system, sprinkler system and paving. The Applicant expects said
improvements to bring approximately 50 construction jobs to the community.
Windy City Limousine currently operates out of two facilities, which it leases: an
approximately 10,000 square foot property located at 9377 West Grand Avenue in Franklin Park
Illinois and an approximately 30,000 square foot property located at 2601 Grant Street in
Bellwood, Illinois. At these locations, it has approximately 276 full -time employees and
approximately 79 part-time employees. Windy City Limousine plans to transfer its entire
operations (including these approximately 355 employees) to the subject property's
approximately 71,3 10 square foot building.
Once occupying the subject property, 'Windy City Limousine plans to expand its
operations. This expansion will include hiring approximately 50 additional full -time employees
and approximately 20 additional part -time employees to work at the subject property. These hires
would bring the total employment at the subject property to approximately 326 full -time
employees (approximately 276 current full -time employees and approximately 50 additional full-
time employees) and approximately 99 part-time employees (approximately 79 current part-time
employees and approximately 20 additional part -time employees). Windy City Limousine will
look to hire qualified Village of Mount Prospect employees for these and other future hires.
Please note that Windy City Limousine will be sharing its approximately 40,178 square
foot space at the subject property with a related entity JKS Limousines LLC, JKS Limousines
LLC owns the vehicles Windy City Limousine uses.
The Applicant plans on leasing the remaining unoccupied subject property to an
industrial user for the user's warehousing, manufacturing and/or distributing operations. The
Applicant expects this user to bring approximately 30 additional employees to the subject
property.
The Applicant and Windy City Limousine are excited about the prospect of joining the
Village of Mount Prospect community; however, these organizations do not believe they can
transfer to the subject property without the assistance of a Class 6b Tax Incentive. Based on the
foregoing, the Applicant requests that the Village of Mount Prospect review its Class 6b request
and approve a Resolution supporting and consenting to a Class 6b Incentive for the subject
property based on occupation of abandoned property for greater than twenty -four (24) months
continuous vacancy with a purchase for value and substantial rehabilitation.

TEERM SUPPLEMENTAL APPLICATION
(This form will ONLY be utilized for applicants who specifically elect for TEERM)
This supplemental eligibility application is for properties that have been abandoned (due to special
circumstances) for at least 12 continuous months and less than 24 continuous months with no purchase
taking place.
Under the TEERM Program, qualifying industrial real estate would be eligible for the Class 6B level of
assessment from the date of substantial re-occupancy of the abandoned property. Properties receiving
Class 6B will be assessed at 10% of market value for the first 10 years, 15% in the I Ith year and 20% in
the 121h year. The terms o f this program are Not Renewable.
No applications will be taken after November 30, 2018.

finalized, but are estimated as follows:

Total: $4,000,000 to $4,300,000
Please note that these rehabilitation costs could significantly vary for a variety of reasons
depending on cosmetic improvements and market variances. The aerial and ALTA survey of the
property are attached hereto.

Information Regarding the A. licant and User
Windy City Land, LLC or its nominee (collectively, the "Applicants') plans to purchase to
the property located at 1501 Feehanville Drive, Mount Prospect, Illinois (PINs: 03-35- 200 -063-
0000 and 03 -35 -200- 064 - 0000). It plans to lease approximately 40,178 square feet of the
approximately 70,394 building on the subject property to a related entity, Windy City Limousine
Company LLC ( "Windy City Limousines'), a provider of worldwide chauffeured ground
transportation. Windy City Limousine plans to house its entire operations at the subject property
including the warehousing and maintenance of its equipment and vehicles and the
remanufacturing of its vehicles. The Applicant plans on leasing the remaining subject property to
an industrial user for the user's warehousing, manufacturing and/or distributing operations.
Windy City Limousine currently operates out of two facilities, which it leases: an
approximately 10,000 square foot property located at 9377 West Grand Avenue in Franklin Park
Illinois and an approximately 30,000 square foot property located at 2601 Grant Street in
Bellwood, Illinois. At these locations, it has approximately 276 full -time employees and
approximately 79 part -time employees. Windy City Limousine plans to transfer its entire
operations (including these approximately 355 employees) to the subject property's
approximately 71,310 square foot building.
Once occupying the subject property, Windy City Limousine plans to expand its
operations. This expansion will include hiring approximately 50 additional full -time employees
and approximately 20 additional part-time employees to work at the subject property. These hires
would bring the total employment at the subject property to approximately 326 full -time
employees (approximately 276 current full -time employees and approximately 50 additional full -
time employees) and approximately 99 part -time employees (approximately 79 current part-time
employees and approximately 20 additional part-time employees). Windy City Limousine will
look to hire qualified Village of Mount Prospect employees for these and other future hires.
Please note that Windy City Limousine will be sharing its approximately 40,178 square
foot space at the subject property with a related entity JKS Limousines LLC. JKS Limousines
LLC owns the vehicles Windy City Limousine uses.

SUBJECT: BUSSE ROAD & LONNQUIST BOULEVARD PEDESTRIAN CROSSING IMPROVEMENTS
INTERGOVERNMENTAL AGREEMENT WITH COOK COUNTY
Background
The Village of Mount Prospect in cooperation with the Cook County Department of Transportation &
Highways will be improving the pedestrian crossing at the intersection of Busse Road and Lonnquist
Boulevard in 2014. Busse Road is a two -lane, 35 mph speed limit roadway under the jurisdiction of the
County that carries 12,500 vehicles per day. Lonnquist Boulevard is a residential collector street under
the jurisdiction of the Village that carries approximately 2,000 vehicles per day. The intersection is
currently controlled with STOP signs on Lonnquist Boulevard. Further, Holmes Junior High School and
Clearwater Park are near this busy intersection.
The Village has received requests from concerned residents over the years to improve this intersection.
Many students and park visitors cross Busse Road on a daily basis. In the spring of 2012, the Engineering
Staff observed 65 and 130 people crossing Busse Road during a 12 -hour period on a Wednesday and
Saturday, respectively. And with only a painted crosswalk and signs, residents have requested
additional measures to enhance safety.
A traffic signal system was evaluated a few years ago but the Village was told by the County that one did
not meet any of the warrants outlined in the Manual on Uniform Traffic Control Devices. The
Engineering Division, therefore, investigated various other devices to enhance pedestrian safety at this
intersection. Then, in a letter to Cook County Commissioner Timothy Schneider, the Village requested
the County's participation to install a Rectangular Rapid Flashing Beacon system (described below) at
the intersection. Village and County staff met last year and the County agreed to participate financially
in a project that would see such a system installed in 2014.
Project Scope
The Rectangular Rapid Flashing Beacon (RRFB) is a fairly new device that uses an irregular flash pattern
of LED lights directed at traffic when a button is pressed by a waiting pedestrian or bicyclist. In national
studies, the RRFB system has proven to have a much higher rate of compliance by motorists compared
to standard flashing beacons. The system is now being installed more and more throughout the country
with success including a number of communities in the northwest suburbs.
In addition to the RRFB system, the project will include new signs, pavement markings, and improved
sidewalk ramps to accommodate both pedestrians and bicyclists. Engineering drawings have been

prepared and are currently under review by the County. Once approved, the Village will be able to
advertise the project and receive bids from contractors. The bids will then be presented to the Village
Board of Trustees with a request to award a contract. It is expected the project will be completed this
summer. Both the Mount Prospect Park District and School District 59 have been informed of the
upcoming improvements and are supportive of the project.
Intergovernmental Agreement
The Village and County are to enter into an Intergovernmental Agreement as a condition of the project.
The estimated cost of $38,740.50 will be split 50/50 between the Village and County. The Village will
oversee construction and pay the entire cost to the contractor. The County will then reimburse the
Village half the final cost after receiving an invoice from the Village.
Following construction, the County will maintain the RRFB system through its electrical maintenance
contract. The intersection will be added to the eight that are currently maintained by the County in the
Village. On a quarterly basis the Village will receive an invoice for maintenance of the RRFB system. The
yearly routine maintenance cost of the system is estimated at $1,200.00. In addition, any damage to the
system that results in replacement parts will be the financial responsibility of the Village.
The Village Attorney has reviewed and approved the Intergovernmental Agreement.
Recommendation
It is Staff's recommendation that the Village Board of Trustees approve the Intergovernmental
Agreement between the Village and Cook County, and authorize the Mayor to sign it. Staff will then
forward the Intergovernmental Agreement to Cook County for signature and completion.
Please include this item on the February 18 Village Board Meeting Agenda.

NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS,PURSUANT TO ITS HOME RULE
POWERS:
SECTION ONE: The Board of Trustees of the Village of Mount Prospect do hereby authorize and direct the

This Intergovernmental Agreement (the "Agreement ") is made and entered into by and
between the County of Cook (the "County "), a body politic and corporate of the State of Illinois, and
the Village of Mount Prospect (the "Village "), a municipal corporation of the State of Illinois. The
County and the Village are sometimes collectively referred to as the "Parties."
RECITALS
WHEREAS, the Constitution of the State of Illinois, 1970, Article VII, Section 10, authorizes units of
local government to contract or otherwise associate among themselves in any manner not prohibited by
law or ordinance; and
WHEREAS, the provisions of the Intergovernmental Cooperation Act, (5 ILCS 220/1 et seq.), authorizes
and encourages intergovernmental cooperation; and
WHEREAS, the County and the Village are
Constitution of the State of Illinois, 1970, Article

NOW THEREFORE, in consideration of the promises, covenants, terms and conditions set forth in this
Agreement, the Parties hereto agree as follows:
SECTION 1. INCORPORATION OF RECITALS
The above recitals are incorporated into this Agreement as if fully set forth herein.

SECTION 2. TERM AND TERMINATION
This Agreement between the County and the Village shall not become effective unless authorized and
executed by the Cook County Board of Commissioners and an authorized representative of the Village.
This Agreement is a legal, valid and binding agreement, enforceable against the Village and, once duly
authorized and executed by the Cook County Board of Commissioners, against the County, in accordance
with its terms. This Agreement shall terminate upon completion of the Project. Notwithstanding the
foregoing, the parties hereto agree that the Post- Project Maintenance provisions of Sections 4.4 and 5.10
of this Agreement shall survive termination.
SECTION 3. PROJECT FUNDS
3.1 County's Share of the Project The County's share of expenses for the Project shall be equal to
fifty (50 %) percent of the actual construction costs of the Project and is estimated as Nineteen
Thousand Three Hundred Seventy and 25/100 Dollars ($19,370.25).
3.2 Village's Share of the Project. The Village's share of expenses for the Project shall be equal to
fifty (50 %) percent of the actual construction costs of the Project and is estimated as Nineteen
Thousand Three Hundred Seventy and 25/100 Dollars ($19,370.25).
3.3 Cost Estimates The Village Share and the County Share are more fully described in the Funding
Breakdown for the Project construction costs which is incorporated and attached hereto as Exhibit
A. The Funding Breakdown is only an estimate and does not limit the financial obligations of the
Parties as described in 3.1 and 3.2 above.
SECTION 4. COUNTY'S RESPONSIBILITIES
4.1 Plan Review The County shall review the design engineering plan submittals and approve
same in a timely manner.
4.2 Final Inspection. The County shall participate in the Final Inspection and accept the completed
Project.
4.3 Payments to the Village. The costs that the County is obligated to pay as described in Section 3.
Project Funds, shall be paid in a single installment based upon the actual quantities used and the
contract unit prices as awarded for the Project construction costs. The County share
estimated as Nineteen Thousand Three Hundred Seventy and 25/100 Dollars ($19,370.25) shall
be invoiced by the Village within ninety (90) days following Final Inspection of the completed
Project and the County shall pay the Village within ninety (90) days after receipt of the invoice
from the Village.
4.4 Post - Project Maintenance Following acceptance of the Project after a Final Inspection
conducted jointly with the Village and the County, the County shall:
4.4.1 Monitor the operational status of the RRFB System along Busse Road at Lonnquist
Boulevard, through its Electrical Maintenance Contractor who will inform the Village of
any equipment requiring repair.
4.4.2 Cause the RRFB System to be maintained and be responsible for all settings at the
intersection.

4.4.3 Bill the Village on a quarterly basis for one hundred (100 %) percent of the maintenance
costs for the RRFB System.
4.4.4 In the event of a knock -down, the County's Electrical Maintenance Contractor shall reset
the flasher post, signal head and other equipment attached to the post.
4.4.5 Own and maintain all "warning" signage and pavement striping/markings for crosswalks
within County Right -of -Way in accordance with Cook County standards.
SECTION 5. VILLAGE'S OBLIGATIONS
5.1 Village as Lead Agent; Appropriation of Funds. The Village shall finance the construction and
construction engineering and act as Lead Agent for the Project.
5.2 Design En ing_egring. The Village shall conduct design engineering and prepare the Project
construction plans, specifications, estimates and contract documents, and obtain the necessary
approvals, including from County, at the Village's sole expense.
5.3 Electrical Contractor. The RRFB System shall be installed by an Electrical Contractor approved
by the Cook County Department of Transportation and Highways.
5.4 Equipment. All RRFB System equipment shall be of the type and brand that is acceptable to the
Cook County Department of Transportation and Highways. One (1) copy of all approved catalog
cuts shall be furnished to the County prior to installation.
5.5 Electronic Plan File The Village shall furnish the County with one (1) set of 36 "x24"
reproducible "As- Built" construction plan mylar's for the Project with Microstation
compatible CAD files before the Final Inspection is scheduled.
5.6 Construction The Village shall provide construction engineering and cause the Project to be
built in accordance with the approved design plans, specifications and construction contract.
5.7 Final Inspection. The Village shall provide the County fourteen (14) days notice of the Final
Inspection for the completed Project. The County contacts are Ms. Holly Cichy, Bureau Chief
of Construction, at 312 - 603 -1613 and Mr. Richard Jezierny, Mechanical and Electrical Division
Head, at 312- 603 -1730.
5.8 Public Notification of the Project The Village shall coordinate and control public notification of
the Project scope, timing and duration through methods of communication such as the Village
newsletter, website, etc.
5.9 County's Identifier. The Village shall reference all correspondence, plans, invoices and other
documents for the Project with the County's identifier Section: 13- W7140- 02 -TL.
5.10 Post - Project Maintenance Following acceptance of the Project after a Final Inspection
conducted jointly with the Village and the County, the Village shall:
5.10.1 Own the RRFB System installed as part of the Project.

5.10.2 Pay the County for one hundred (100 %) percent of the maintenance charges for the
RRFB System within thirty (30) days of County's quarterly (3 months) statement of
same. Payments to the County shall be by check payable to the Treasurer of Cook
County, for deposit into the County's Motor Fuel Tax Account 600 -585 and mailed to
the County's Superintendent, Department of Transportation and Highways.
5.10.3 Pay the County's Electrical Maintenance Contractor to replace the batteries for the
RRFB System. The batteries shall be replaced at seventy-five (75 %) percent of their
life expectancy or sooner, if they fail, and/or every five (5) years.
5.10.4 Pay the County's Electrical Maintenance Contractor to repair and /or replace the flasher
controller, charging system, signal heads, pushbutton or solar cell components of the
RRFB System as may become necessary.
5.10.5 In the event of a knock -down, the Village shall pay the County's Electrical
Maintenance Contractor if the controllers, charging system, signal heads, push buttons
or solar cell are damaged.
5.10.6 Own, operate and maintain the sidewalk improved /constructed as part of the Project.
5.10.7 Own and maintain all "bike route" signage installed within Village Right -of -Way.
SECTION 6. GENERAL PROVISIONS
6.1 Governing Law and Venue This Agreement shall be interpreted under, and governed by, the laws
of the State of Illinois, without regard to conflicts of laws principles. Any claim, suit, action, or
proceeding brought in connection with this Agreement shall be in the Circuit Court of Cook
County and each Party hereby irrevocably consents to the personal and subject matter jurisdiction
of such court and waives any claim that such court does not constitute a convenient and
appropriate venue for such claims, suits, actions, or proceedings.
6.2 Default The Village shall be in default hereunder in the event of a material breach by the Village
of any term or condition of this Agreement including, but not limited to, a representation or
warranty, where the Village has failed to cure such breach within thirty (30) days after written
notice of breach is given to Village by the County, setting forth the nature of such breach. Failure
of County to give written notice of breach to the Village shall not be deemed to be a waiver of the
County's right to assert such breach at a later time. Upon default by the Village, the County shall
be entitled to exercise all available remedies at law and in equity, including but not limited to
termination of this Agreement upon thirty (30) days' notice to the Village.
The County shall be in default hereunder in the event of a material breach by the County of any
term or condition of this Agreement including, but not limited to, a representation or warranty,
where the County has failed to cure such breach within thirty (30) days after written notice of
breach is given to the County by the Village, setting forth the nature of such breach. Upon
default by the County, the Village shall be entitled to exercise all available remedies at law and in
equity, including but not limited to termination of this Agreement upon thirty (30) days notice to
the County.

6.3 Modification This Agreement may not be altered, modified or amended except by a written
instrument signed by both Parties. Provided, however, the Parties agree that provisions required
to be inserted in this Agreement by laws, ordinances, rules, regulations or executive orders are
deemed inserted whether or not they appear in this Agreement and that in no event will the failure
to insert such provisions prevent the enforcement of this Agreement.
6.4 Binding Successors The County and the Village agree that their respective successors and
assigns shall be bound by the terms of this Agreement.
6.5 Compliance with Department of Transportation and Highways Permits This Agreement shall
serve in lieu of a separate County permit for the RRFB System installed as part of the Project;
and, by execution of this Agreement, the Village shall be bound to the General Terms for
Department of Transportation and Highways Permits as they exist the date of execution of this
Agreement by County.
6.6 Force Majeure Neither the County nor the Village shall be liable for failing to fulfill any
obligation under this Agreement to the extent any such failure is caused by any event beyond
such Parry's control and which event is not caused by such Party's fault or negligence. Such
events shall include but not be limited to acts of God, acts of war, fires, lightning, floods,
epidemics or riots.
6.7 Notices Unless otherwise specified, any notice, demand or request required under this
Agreement must be given in writing at the addresses set forth below by any of the following
means: personal service, overnight courier or first class mail.
