A RESOLUTION AUTHORIZING EXECUTION OF A
LEASE AGREEMENT BETWEEN THE VILLAGE OF
MOUNT PROSPECT AND FRANCIS CADILLAC
WHEREAS, the Village of Mount Prospect owns property commonly
known as 11 South Pine, street, Mount Prospect, Illinois; and
WHEREAS, the Village of Mount Prospect is desirous of entering into
a Lease Agreement for the property commonly known as 11 South pine
Street, Mount Prospect, Illinois with Francis Cadillac.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS:
SECTION ONE: That the corporate authorities of the Village of
Mount Prospect do hereby authorize the Mayor to sign and Village
Clerk to attest his signature on a Lease Agreement between the
Village of Mount Prospect and Francis Cadillac for Village owned
property commonly known as 11 South pine Street, Mount Prospect,
Illinois, a copy of said Lease Agreement is attached hereto and
hereby made a part hereof as Exhibit A.
SECTION TWO: That this Resolution shall be in full force and
effect from and after its passage and approval in the manner
provided by law.

RENTAL AGREEMENT
VILLAGE OF MOUNT PROSPECT
AND
FRANCIS CADILLAC
Village of Mount Prospect is willing to let you rent the old
Public Works garage at 11 S. Pine Street, Mount Prospect, IL for
$2000 per month for storage of automobiles. rrhis rental is
subject to the following basic conditions:

Monthly rental of $2000, payable in advance and due the
first day of every month (may prorate for first and last
months).
Monthly rental rate to remain firm for a period of
six(6)months from this date at which time a new rate may
be negotiated.
Six month fixed lease beginning June 22,1989 and ending
December 31,1989. At the end of this period an extension
or new lease period may be negotiated.
The Village of Mount Prospect will include use of electrici-
ty and water as part of the rental agreement.
Francis Cadillac will pay all gas bills for heating. As
this is a sprinkled building, minimum heat setting should
be 50 degrees.

The outside parking area on the south side of the building
is not included as part of this agreement for a minimum of
90 days. (Village removed fuel tanks from front of build-
ing and has temporarily stored nonhazardous contaminated
soil until we receive permission from the EPA to haul it
away.) At the end of the 90 day period or sooner, if noti-
fied by the Village, Francis Cadillac may use this area for
loading/unloading or storage of vehicles.
The Village will maintain all electrical and heating sys-
tems plus plumbing systems. The Village will not repair
the hydraulic hoists nor advocate the use of them.
Francis Cadillac must provide a certificate of insurance
naming the Village of Mount Prospect as additional insured
regarding this rental (see sample attached).

Francis Cadillac must provide the Village a "hold harm-
less" agreement as shown on the attached sheet.

Francis Cadillac will grant to the Village of Mount Pros-
pect a temporary construction easement of 50 feet, fifteen
feet on either side of the 20-foot permanent easement, as
shown on the attached Sheet 6 of the Bob-O-Link Road Sani-
tary Sewer Replacement Plans.
This temporary construction easement is needed to complete
the proposed sanitary sewer replacement of the Prospect
Meadows main sewer line that runs through Francis
Cadillac's parking lot. The work will begin on approxi-
mately September 1,1989 and run through October 15,1989.
During this time, Francis Cadillac will relocate all vehi-
cles from the 50-foot construction easement area.
No monthly rent will be paid for the month or any portion
of a month during the construction period of the sanitary
sewer and use of the 50-foot construction easement.

Francis Cadillac will not display any signs on the exteri-
or building or grounds during this lease period.
Any sales of vehicles from the building is prohibited and
any taxes that may be due as a result of this agreement are
the responsibility of Francis Cadillac.
The building will be ready for occupancy no later than June 22,
1989. Acceptance or rejection of this rental agreement must be
completed within 30 days. All rental payments and insurance

GENERAL CONDITIONS
INSURANCE - PROOF OF CARRIAGE THEREOF-HOLD HARMLESS AGREEMENT
Francis Cadillac shall provide certificate of Insurance or
other suitable evidence that the following insurance coverages
are being provided, and the Village of Mount Prospect is named
as an additional insured on all insurance policies.
Comprehensive General Liability Insurance including Contrac-
tual Liability Insurance covering the indemnification
clause described here in, Products (complete operations
insurance), and Protective Insurance.
The minimum limits of liability must be $1,000,000 each
person, $1,000,000 each occurrence for bodily injury, and
$500,000 each occurrence for property damages.
workmen's Compensation and Employer's liability with an
employer's liability limit of $100,000.

OWner's, Contractor's and Protective Liability Insurance in
the name of the Village of Mount Prospect with limits of
$100,000,000 for each person, $1,000,000 each occurrence
for bodily injury, and $500,000 each occurrence for proper-
ty damage.
Francis Cadillac shall indemnify and save harmless the
Village of Mount Prospect against any and all damages to
property or injury or to death of any person or persons,
including property and employees, agents, or invitees of
the Village of Mount Prospect, and shall defend, indemnify
and save harmless the Village of Mount Prospect from any
and all claims, demands, suits, actions or proceedings of
any kind or nature, including Workmen's Compensation
claims, or by anyone whosoever, in any way resulting from
or arising out of the operations in connection herewith,
including operations of/or Francis Cadillac's actions or
omissions of employees or agents of. Insurance coverage
specified herein and the Special Conditions constitute the
minimum requirements, and said requirements shall in no way
lessen or limit the liability of Francis Cadillac. Francis
Cadillac shall procure and maintain, at his own cost and
expense, any additional kinds and amounts of insurance
which may, in their judgement, be necessary for his proper
protection of their property.
Francis Cadillac agrees that they will truly save and indem-
nify and keep harmless the Village against all liability,
judgement, costs and expenses which may in, any way, result
from carelessness or omission of Francis Cadillac or his
agents, employees, or workmen in any respect whatsoever.
