WHEREAS, the Village of Mount Prospect is a recipient of funds under the Community Development Block Grant Program; and WHEREAS, it has been determined by the Mayor and Board of I Trustees of the Village of Hount Prospect that Illinois Prairie I Girl Scout Council, Inc. shall provide a special Summer program for the children of Boxwood in the corporate boundaries of the Village of Mount Prospect;and \JHEREAS, the program proposed by the Girl Scout Council and approved herein, complies wi th the requi rements of the Department of Housing and Urban Development with respect to benefitting low- and moderate-income persons; being that 51% or more of the children served by this Program come from low- and moderate-income families. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS: I SECTION ONE: That the Village President of the Village of I Hount Prospect and the Village Clerk are hereby authorized to I execute a contract for Community Development Block Grant Implementation, which contract is between the Village of Mount Prospect and Illinois Prairie Girl Scout Council, Inc. a not- for-prof it corporation, said contract is attached to this Resolution. SECTION TWO: That this Resolution shall be in full force and effect from and after its passage and approval in the manner provided by law. AGREEMENT This Agreement is entered into this day of 1985, by and between the Village of l1ount Prospect, a body politic of the State of Illinois (hereinafter referred to as the "VILLAGE" and Illinois prairie Girl Scout Council Inc., a not-for-profit corporation of the State of Illinois (hereinafter referred to as the "COUNCIL"). SECTION I Statement of Purpose As a grantee of Community Development Block Grant funds (hereinafter referred to as CDBG funds) by the U.S. Department of Housing and Urban Development (hereinafter referred to as HUD), the VILLAGE elects to contract for services with the COUNCIL for operation of a special Summer program for the children of Boxwood as outlined in the Scope of Services attached herewith as Exhibit "A". SECTION II Amount of the Grant The VILLAGE does hereby contract for services with the COUNCIL up to a maximum of $5,000.00 and the COUNCIL agrees to abide by the provisions and regulations of the 1974H6tising and Community Development Act, as amended under which said contract is made, and to use said contract funds for the purposes set forth in Section I hereof and as conditioned by the provisions of Section III next. The VILLAGE's contractual obligation as identified in Section I shall be limited to the maximum amount specified, to the actual amount invoiced by the COUNCIL, and only to the extent such amount is received from HUD for such purposes. SECTION III Conditions of Contract A. Indemnification. TheGQlJNGIL agrees to indemnify and save and hold harmless the VILLAGE and each and everyone of its officers,àgents, employees, servants, attorneys, insurers and successors from any and all claims, demands, causes of action, expenses, injuries, losses or damages of whatever kind, character - 1 - C\ of description the VILLAGE may suffer as a result of any cause, matter, act, or omission arising out of the failure of the COUNCIL, or, those acting under it, to conform to the statutes, ordinances or other regulations or requirements of any gov- ernmental authority, in connection with the COUNCIL's per- formance under this Agreement. The COUNCIL agrees to defend against any claims brought or actions filed against the VILLAGE with respect to the subject of the indemnity contained herein, whether such claims or actions are rightfully or wrongfully. brought or filed. In case of such a claim brought or such an action filed, the COUNCIL agrees that the VILLAGE may employ attorneys of its own selection to appear and defend the claim or action on behalf of the VILLAGE at the expense of the COUNCIL. The VILLAGE, at its option, shall have the sole authority for the direction of the defense, and shall be the sole judge of the acceptability of any compromise or settlement of any claims or actions against the VILLAGE. B. Non-discrimination. The COUNCIL, performing under this Agreement, shall not discriminate against any worker, employee, or applicant or any member of the public, because of race, creed, color, sex, age or national origin. Such affir- mative action shall include, but not be limited to the following: employment, upgrading, demotion or transfer, termination, recruitment or recruitment advertising, layoff or termination rates of pay, other forms of compensation, selection for training, including apprenticeship. The COUNCIL agrees to post in conspicuous places available to employees and applicants for employment, notices setting forth the provisions of this non- discriminatory clause. This policy of non-discrimination and affirmative action shall be applicable with regard to both COUNCIL's internal personnel practices and its actions in the performance of this Agreement. The COUNCIL agrees and authorizes the VILLAGE and HUD to conduct compliance .reviews or any other procedures to assure compliance with these provisions. C. Examination of Records. The COUNCIL will, at all times, give HUD, the Comptroller General of the United States, and the VILLAGE, through any authorized representative, access to, and the right to examine all records, books, papers or documents related to the contract, in accordance with state and federal law. D. . Filing of Records. The COUNCIL shall file with the VILLAGE such duplicates of records covering such activities to be performed in whole or in part, as specified in Exhibit "A". E. Availability of Law, Regulations and Orders. The VILLAGE shall, upon the request of the COUNCIL, provide it with copies of all laws, regulations and orders, including those cited - 2 - ~ in this contract, which regulate the operation of the Block Grant funded programs, or which might otherwise affect the performance of this Agreement. SECTION IV Compliance With Laws The COUNCIL shall, at all times, observe and comply with all laws, ordinances or regulations of the Federal, State, County and local government which may in any manner affect the performance of this Agreement, and the COUNCIL shall be required to perform all acts under this Agreement in the same manner as the VILLAGE, as a contractor of the Federal Government, is or would be required to perform such acts. SECTION V Submission To HUD Subsequent to the execution of this Agreement, the VILLAGE shall forthwith file all necessary documents with HUD and shall comply with all applicable rules and regulations necessary to facilitate acquisition of funds approved for this program by HUD. The COUNCIL shall not file any lawsuit against the VILLAGE or any of its officers or employees as a result of this contract, except that this Section shall not act as a bar to any lawsuits arising from the negligent acts of the VILLAGE or any of its officers or employees. SECTION VI Billing and Reporting Arrangements Pursuant to this Agreement, the VILLAGE will disburse CDBG funds to the COUNCIL on the following basis: 1. The VILLAGE shall allocate the $5,000.00 contract amount for the services stipulated in this Agreement. The COUNCIL shall submit one invoice to the VILLAGE with a comprehensive per- formance report and completed Exhibit B upon conclusion of its performance under this Agreement. Said comprehensive performance report shall include information on: a. b. Number of children participating in program per day Number of hours of activity for children per day Types of activities provided to children Number of trips taken and number of children on each. c. d. - 3 - n 2. The COUNCIL shall also have completed by the parents or guardians of each child the Certification Form, Exhibit C. This form may be part of the child's application for participating in the program. 3. All costs billed to the Village shall be computed on the basis of actual cost as follows: a. . Staff maximum compensation: Director (1) $ 650.00 Program Director (1) 350.00 Adult Assistant (6) at $255 each 1,530.00 Student Assistant (6) at $100 each 600.00 b. Actual cost of transportation not to exceed five (5) round trips and $170 per round trip. c. Actual costs of office supplies, program supplies, food and drinks, registrations, insurance, admission fees and custodial fee, not to exceed a total of $1,020.00. SECTION VII Length of Contract This Agreement shall be valid until September 15, 1985 and may be terminated by either party upon thirty (30) days written notice. All costs associated with the completed tasks shall be billed to the Village and reimbursed upon presentation of all documentation required under Section VI. SECTION VIII Assignment The COUNCIL shall not assign this Agreement or any part thereof and the COUNCIL shall not transfer or assign any funds or claims due or to become due hereunder without the prior written approval of the Village Manager. Any transfer or assignment of funds pursuant to this Agreement, either in whole or in part, or any interest therein which shall be due to the COUNCIL shall be deemed of no force or effect and shall not be binding upon the VILLAGE. - 4 - n SECTION IX Notices and Communications Notices and communications under this Agreement shall be sent registered or certified mail, postage prepaid, to the respective parties as follows: to the VILLAGE: Mr. Stephen M. I' ILLINOIS PRAIRIE GIRL SCOUT COUNCIL, INC. / The Illinois Prairie Girl Scout Council is requesting $5,259 in community development block grant funds from the Village of Mount Prospect to conduct a Boxwood area summer program. "Boxwood '8511 would closely resemble our 1984 project, which was favorably evaluated by both staff and recipients. The project has several objectives: 1. To provide constructive, structured activities for Boxwood girls and boys; 2. To give the children significant contacts with consistent groups of peers or with particular adults; 3. To provide support to the families of this apartment complex; 4. To provide summer jobs and training in youth leadership and social service; and 5. To do our part as an agency to involve several segments of the conwunity in the dual problems of child care and jobs. The Need and the Problem In suburbia in 1985, virtually every community has pockets which concern youth workers, police, and village officials. The populations of these areas differ from town to town, but they have certain traits in common: a high percen- tage of low and moderate income residents, a higher than average percent of minorities, a high rate of ~ransien~s, many working single parents, and children in need of attention, structure and enrichment. 570 EAST HIGGINS ROAD. "\> Page 2 It is to the great credit of the Village of Mount Prospect that they have moved to meet the problems of the Boxwood area, where one of the main sources of recreation was ~o set a fire in the dumpster and watch the fire engines come -- or to go next door to Randhurst and break a windshield. As an agency, the Illinois Prairie Council cannot solve all the problems of single parents who are isolated and struggling economically, or of the boy who spends most of hi~ time in the principal's office. We can, however, do what we do best: offer these families five weeks of stable, supervised summer activities for their children, activities which are fun and enriching, led by positive adult role models. Following Boxwood 185, we can -- and will -- place girl participants in Girl Scout troops and offer them opportunities to attend camp before their summer program begins. The Plan , The Illinois Prairie Girl Scout Council proposes to offer all boys and girls between the ages of 5 and 12, a program of constructive activities, recre- I I ' ,C , j ¡ 1 í I , ation, and field trips. Two mornings a week will be devoted to games, crafts, songs, films and special guests, all planned for learning and fun. Special guests will include community resource people who speak to an identified need; last summer this group Page 3 . l , I included a representative of the phone company, a librarian, a dentist, Officer Friendly, and paramedics who taught simple first aid. Many of these resource people seek to alleviate the anxieties of "latch-key" children. Our IISafe and Sound at Home Alone" materials reinforce these visits. These sessions would run from 9:00 a.m. to noon, two days a week. One day a week will offer a field trip from 9:00 a.m. to 3:00 p.m. to locations which fit the needs of the children. In 1984 they visited the Milwaukee Zoo, Tribune Tower, the Museum of Science and Industry, Pirate's Cove, our Camp Morrison for a cookout, and Crystal Lake to go swimming. the most popular trips and select some new ones. In 1985 we will repeat A total of 60 children would be served for five weeks in late July and August, when there is a gap in other services. Our staff has learned that it ~ ¡ takes five weeks for some children to begin to benefit from summer programs; in 1984, one boy, clearly pre-delinquent, began by characterizing everything as "stupid". At the end of five weeks he was freely acknowledging his enjoynlent. Youth-workers know the value of consistent, structure-oriented programs to children whose lives lack order. Girl Scouting offers such consistency and Boxwood '85 would incor- porate these principles. Parents would be expected to contribute a very modest amount to the program. I ~ . . Page 4 The Staff Given the variety of ages. the children from 5 to 12 would require care- ful supervision. A paid. experienced adult coordinator would head the program assisted by other adults and youth aged 14 and over. Last year's excellent coor- dinator, Erica Dabrowski, is available again. She is a resident of Boxwood and a seasoned Girl Scout leader. As many staff as possible will be Boxwood residents, and we also hope to have more male staff members. The entire program would be supervised by Girl Scout professional staff, who are highly experienced in imple- menting similar projects. The Site Euclid School is an ideal site for the project. and we feel that it will again be available. Future Funding The Council has never dropped a successful outreach program when the need continues to exist. Budget See attached . . .: . . . . Explanation of Line Items 1. Staff gratuities include a director at $650 and a program developer at $350. The director will recruit and interview her staff, plan overall program, assume all responsibilities forfietd trips and supervise all activities. The program developer will implement daily program plans ånd train assistants. Adult assistants wilt receive minimum wage for a total of $255 each; six student assistants will receive a token gratuity of $100 apiece. It should be noted here that this provides an unusual opportunity for the student staff, since most of them wilt be 14-16 years old. No fringe benefits; these would all be contract employees.
