RESOLUTION NO.
19-86
A RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT
BETWEEN THE VILLAGE OF MOUNT PROSPECT AND
THE TENANT ORGANIZATION OF ILLINOIS
WHEREAS, the Village of Mount Prospect has adopted a
Landlord/Tenant Ordinance regulating the relationship between
landlords and tenants; and
WHEREAS, the Village of Mount Prospect has made a commitment to
improve the quality of life for residents within multi-family
dwelling units in the Village; and
WHEREASF the Mayor and Board of Trustees of the Village of Mount
Prospect have determined that the health, welfare and safety of
residents of multi-family dwelling units in the Village would
best be served by the establishment of an independent
landlord/tenant organization within the Village for the purpose
of representing, advising and assisting multi-family residents
within the Village of Mount Prospect.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS:
SECTION ONE: That the Mayor is hereby authorized to sign and the
Village Clerk directed to attest her signature on the Agreement
between the Village of Mount Prospect and the Tenant's
Organization of Illinois, which Agreement, attached hereto as
Exhibit "A"F sets forth the various services to be provided to
the tenants within said Village.
SECTION TWO: That this Resolution shall be in full force and
effect from and after its passage and approval in the manner
provided by law.

AGREEMENT
This Agreement made and entered into this ~ day Of~
1986 by and between the Village of Mount Prospect, a municipal corporation,
hereinafter referred to as "Village," and Tenants' Organization of Illinois, a not-for-
profit organization, hereinafter referred to as "T.O.I.," witnesseth:
The Village hereby contracts with T.O.I. for T .0.1. to provide landlord/tenant
services including: Counseling, dispute resolution, information dissemination,
staffing of a branch office and other support services related to landlord/tenant
matters as defined by the Residential Landlord and Tenant Ordinance of Mount
Prospect.
T.O.I. shaH, in the scope of its work:
1.
Staff an office, to be provided by Village, located at 420
Dempster Street, Mount Prospect, Illinois, and keep said office
open to the public at least two (2) days out of every week.
Said office to be staffed with a person or persons competent
to handle the full range of landlord/tenant services as stated
previously.
2.
Provide the full scope of the above-mentioned services to both
landlords and tenants of the Village at no additional cost to
either party.
3.
To use its best efforts at counseling, dispute resolution and
information dissemination.
It is understood that T.O.I. may solidt membership into its organization at its
then existing fee structure, but that in no case will refusal on the part of a
landlord or tenant to become a member of T.O.I. constitute grounds under which
the above-described services can be denied.
It is further understood that the scope of services does not include legal
representation of individual landlords or tenants.
The intent of the parties, to this Agreement, is not to create an
employer/employee or agency relationship. To this end, T.O.I. shall include on all
publications, correspondence and like communications a disclaimer to the effect
that ToO.I. is in no way employed, associated or sponsored by the Village of Mount
Prospect. Further, that a similar disclaimer shaH be prominently displayed in the
branch office located within the Village.
In consideration for providing the aforementioned services, the Village agrees
to pay to Tenants' Organization of Illinois the sum of ten thousand dollars
($10,000.00) for the period June 17, 1986 to June 16, 1987. Said payment shall be
made on a quarterly basis and in equal sums to begin upon acceptance of this
Agreement by both parties, and quarterly thereafter.
T.O.I. agrees to indemnify and save harmless the Village of Mount Prospect
from and against all claims, suits, damages, costs, losses and expenses in any
manner resulting from, arising out of or connected with the providing of land-
lord/tenant services.

The term of this Agreement shall not exceed one (1) year from date of
execution unless extended by mutual agreement of the parties. Further, this
Agreement is terminable at any time by either party for cause or for no cause
upon sixty (60) days' written notice. Upon termination, to the extent that quarterly
payments have not been paid, aU further obligations under this Agreement cease.

AGREEMENT

for-profit organization, hereinafter referred to as !IT.O.I.,'' witnesseth:
The Village hereby contracts with T.O.I. for T.O.I. to provide landlord/tenant
services including: Counseling, dispute resolution, information dissemination,
staffing of a branch office and other support services related to landlord/tenant
matters as defined by the Residential Landlord and Tenant Ordinance of Mount
Prospect.
T.O.I. shall, in the scope of its work:

said office open to the public at least two (2) days out of
every week. Said office to be staffed with a person or
persons competent to handle the full range of landlord/tenant
services as stated previously.

Provide the full scope of the above-mentioned services to both
landlords and tenants of the Village at no additional cost to
either party.
3.
To use its best efforts at counseling, dispute resolution and
information dissemination.
It is understood that T.O.I. may solicit membership into its organization at its

reduced rates through membership in T.O.I.
The intent of the parties, to this Agreement, is to create an independent
contractor relationship and in no manner is it intended to create an
employer/employee or agency relationship. To this end, T.O.I. shall include on all
publications, correspondence and like communications a disclaimer to the effect
that T .0.1. is in no way employed, associated or sponsored by the Village of Mount
Prospect. Furthe r 1 that a similar disclaimer shall be prominently displayed in the
branch office located within the Village.
In conside ra tion for providing the aforementioned services, the Village agrees
to pay to Tenê.ntsl Organization of Illinois the sum of ten thousand dollars
(510,000.00) for the period June 17, 1986 to June 16, 19&7. Said payment shall be
made on a quarterly basis and in equal sums to begin upon acceptance of this
Agreelnent by both parties, and quarterly thereafter.
