A RESOLUTION AUTHORIZING THE EXECUTION OF AN
AGREEMENT BETWEEN THE VILLAGE OF MOUNT PROSPECT AND
ILLINOIS PRAIRIE GIRL SCOUT COUNCIL IMC..
WHEREAS, the Village of Mount Prospect is a recipient of funds
under the Community Development Block Grant Program; and
WHEREAS, it has been de t ermi !'led by the Mayor and Board 0 f
Trustees of the Village of Mount Prospect that Illinois Prairie
Girl Scout Council, Inc. shall provide a special Summer program
for the children of Boxwood in the corporate boundaries of the
Village of Mount Prospect;and
WHEREAS, the program proposed by the Girl Scout Council and
approved herein, complies with the requirements of the Department
of Housing and Urban Development with respect to benefitting low-
and moderate-income persons; being that 51% or more of the
children served by this Program come from low-and moderate-income
families.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS:
SECTION ONE: That the Vi llage Pres ident of the Village of Mount
Prospect and the Village Clerk are hereby authorized to execute a
contract for Community Development Block Grant Implementation,
which contract is between the Village of Mount Prospect and
Illinois Prairie Girl Scout Council, Inc. a not-for-profit
corporation, said contract is attached to this Resolution.
SECTION TWO: That this Resolution shall be in full force and
effect from and after its passage and approval in the manner
provided by law.

AGREEMENT
This Agreement is entered into this lii" day of /",l.
1986, by and between the Village of Mount Prospect, a /f)ody
Rolitic of the State of Illinois (hereinafter referred to as the
'VILLAGE" and Illinois Prairie Girl Scout Council Inc., a
not-for-profit corporation of the State of Illinois (hereinafter
referred to as the IICOUNCIL").
SECTION I
Statement of Purpose
As a grantee of Community Development Block Grant funds
(hereinafter referred to as CDBG funds) by the U.S. Department of
Housing and Urban Development (hereinafter referred to as HUD) ,
the VILLAGE elects to contract for services with the COUNCIL for
operation of a special Summer program for the children of Boxwood
as outlined in the Scope of Services attached herewith as Exhibit
HAil.
SECTION II
Amount of the Grant
The VILLAGE does hereby contract for services with the
COUNCIL up to a maximum of $5,000.00 and the COUNCIL agrees to
abide by the provisions and regulations of the 1974 Housing and
Community Development Act, as amended under which said contract
is made, and to use said contract funds for the purposes set
forth in Section I hereof and as conditioned by the provisions of
Section III next.
The VILLAGE' s contractual obligat ion as ident ified in
Section I shall be limited to the maximum amount specified, to
the actual amount invoiced by the COUNCIL, and only to the extent
such amount is received from HUD for such purposes.
SECTION III
Conditions of Contract
A. Indemnification. The COUNCIL agrees to indemnify and
save and hold harmless the VILLAGE and each and everyone of its
officers, agents, employees, servants, attorneys, insurers and
successors from any and all claims, demands, causes of action,
expenses, injuries, losses or damages of whatever kind, character

of description the VILLAGE may suffer as a result of any cause,
matter, act, or omission arising out of the failure of the
COUNCIL, or, those acting under it, to conform to the statutes,
ordinances or other regulations or requirements of any gov-
ernmental authority, in connection with the COUNCIL's per-for-
mance under this Agreement. The COUNCIL agrees to defend against
any claims brought or actions filed against the VILLAGE with
respect to the subject of the indemnity contained herein, whether
such claims or actions are rightfully or wrongfully brought or
filed. In case of such a claim brought or such an action filed,
the COUNCIL agrees that the VILLAGE may employ attorneys of its
own selection to appear and defend the claim or action on behalf
of the VILLAGE at the expense of the COUNCIL. The VILLAGE, at its
option, shall have the sole authority for the direction of the
defense, and shall be the sole judge of the acceptability of any
compromise or settlement of any claims or actions against the
VILLAGE.
B. Non-discrimination. The COUNCIL, performing under
this Agreement, shall not discriminate against any worker,
employee, or applicant or any member of the public, because of
race, creed, color, sex, age or national origin. Such affir-
mative action shall include, but not be limited to the following:
employment, upgrading, demotion or transfer, termination,
recruitment or recruitment advertising, layoff or termination
rates of pay, other forms of compensation, selection for training
including apprenticeship. The COUNCIL agrees to post in conspi-
cuous places available to employees and applicants for employ-
ment, notices setting forth the provisions of this non-discrimina-
tory clause. This policy of non-discrimination and affirmative
action shall be applicable with regard to both COUNCIL's internal
personnel practices and its actions in the performance of this
Agreement. The COUNCIL agrees and authorizes the VILLAGE and HUD
to conduct compliance reviews or any other procedures to assure
compliance with these provisions.
C. Examination of Records. The COUNCIL will, at all
times, give HUD, the Comptroller General of the United States,
and the VILLAGE, through any authorized representative, access
to, and the right to examine all records, books, papers or
documents related to the contract, in accordance with state and
federal law.
D. Filing of Records. The COUNCIL shall file with the
VILLAGE such duplicates of records covering such activities to be
performed in whole or in part, as specified in Exhibit flAil.
E. Availabilit of Law Re ulations and Orders. The
VILLAGE sa, upon t e request 0 te COUNCIL, provi elt with
copies of all laws, regulations and orders, including those cited

in this contract, which regulate the operation of the Block Grant
funded programs, or which might otherwise affect the performance
of this Agreement.
SECTION IV
Compliance With Laws
The COUNCIL shall, at all times, observe and comply with all
laws, ordinances or regulations of the Federal, State, County and
local government which may in any manner affect the performance
of this Agreement, and the COUNCIL shall be required to perform
all acts under this Agreement in the same manner as the VILLAGE,
as a contractor of the Federal Government, is or would be
required to perform such acts.
SECTION V
Submission To HUD
Subsequent to the execution of this Agreement, the VILLAGE
shall forthwith file all necessary documents with HUD and shall
comply with all applicable rules and regulations necessary to
facilitate acquisition of funds approved for this program by HUD.
The COUNCIL shall not file any lawsuit against the VILLAGE or any
of its officers or employees as a result of this contract, except
that this Section shall not act as a bar to any lawsuits arising
from the negligent acts of the VILLAGE or any of its officers or
employees.
SECTION VI
Billing and Reporting Arrangements
Pursuant to this Agreement, the VILLAGE will disburse CDBG
funds to the COUNCIL on the following basis:
1. The VILLAGE shall allocate the $5,000.00 contract amount
for the services stipulated in this Agreement. The COUNCIL shall
submit one invoice to the VILLAGE with a comprehensive per~
formance report and completed Exhibit B upon conclusion of its
performance under this Agreement. Said comprehensive performance
report shall include information on:

Types of activities provided to children
Number of trips taken and number of children on each.

2. The COUNCIL shall also have completed by the parents or
guardians of each child the Certification Form, Exhibit C. This
form may be part of the child's application for participating in
the program.
3. All costs billed to the Village shall be computed on the
basis of actual cost as follows:
a.
Staff maximum compensation:
Director (1) $ 650.00
Program Director (1) 350.00
Adult Assistant (6) at $250 each 1,500.00
Student Assistant (6) at $100 each 600.00
b.
Actual cost of transportation not to exceed five (5)
round trips $ 925.00
c.
Actual costs of office supplies, program supplies, food
and drinks, registrations, insurance, admission fees and
custodial fee, not to exceed a total of $1,275.00.
SECTION VI I
Length of Contract
This Agreement shall be valid until September 15, 1986 and
may be terminated by either party upon thirty (30) days written
notice. All costs associated with the completed tasks shall be
billed to the Village and reimbursed upon presentation of all
documentation required under Section VI.
SECTION VIII
Assignment
The COUNCIL shall not assign this Agreement or any part
thereof and the COUNCIL shall not transfer or assign any funds or
claims due or to become due hereunder without the prior written
approval of the Village Manager. Any transfer or assignment of
funds pursuant to this Agreement, either in whole or in part, or
any interest therein which shall be due to the COUNCIL shall be
deemed of no force or effect and shall not be binding upon the
VILLAGE.

Notices and communications under this Agreement shall be
sent registered or certified mail, postage prepaid, to the
respective parties as follows:

The Illinois Prairie Girl Scout Council is requesting $5,300 in
community development block grant funds from the Village of Mount Prospect
to conduct a Boxwood area summer program.
"Summer Safari '8611 would closely
resemble our 1985 project, which was favorably evaluated by both staff and
recipients.
The project has several objectives:
1.
To provide constructive, structured activities for Boxwood

girls and boys;
To give the children significant contacts with consistent
groups of peers or with particular adults;
To provide support to the families of this apartment complex;
3.
4.
To provide summer jobs and training in youth leadership and
social service; and
5.
To do our part as an agency to i nvo 1 ve several segments of
the community in the dual problems of child care and jobs.
¡he Need and the Problem
In suburbia in 1986, virtually every community has pockets which
concern youth workers, police, and village officials.
The populations of
these areas differ from town to town, but they have certain traits in
common:
a high percentage of low and moderate income residents, a higher
than average percent of minorities, a high rate of transients~ many working
single parents, and children in need" of physical and mental attention that
focuses on the quality of life.

It is to the great credit of the Vi1l age of Mount Prospect that
they have moved to meet the problems of the Boxwood area, where one of the
main sources of recreation was to set a fire in the dumpster and watch the
fire engi nes come
or to go next door to Randhurst and break a windshield.*
As an agency, the Illinois Prairie Council cannot solve all the
problems of single parents who are isolated and struggling economically, or
of the boy who spends most of his time in the principal's office.
We can,
however, do what we do best:
offer these fami 1 i es f1 'Ie weeks of stable,
supervised summer activities for their children, activities which are fun
. and enriching, led by positive adult role models.
Moreover, many Boxwood
chil dren have now been placed in Gi r1 Scout troops at Eucl i d School; these
troops serve as a continuation of the summer program.
The Plan
The Iìlinois Prairie Girl Scout Council proposes to offer all boys
and girls between the ages of 5 and 11, a program of constructive activities,
recreation, and field trips.
Two mornings a week will be devoted to sports, games, crafts, songs,
films and special guests, all planned for learning and fun.
Special guests will
include community resource people who speak to an identified need; this group
* last summer an additional problem surfaced: a social worker/speaker identified
two children whose questions made her suspect that they were victims of child
abuse.
They turned out to be members of the same family.

usually includes a representative of the phone company, 11 librarian, a dentist,
Officer Friendly, and paramedics who teach simple first aid.
Many of these
resource people seek to alleviate the anxieties of III atch-key" children.
"Safe and Sound at Home Alone" materials reinforce these visits. These

sessions will run from 9:30 a.m. to 2:30 p.m., two days a week (two hours
1 anger than in the past).
One day
week will offer a field trip from 9:30 a.m. to 4:00 p.m.
to locations which fit the needs of the children.
This summer's field trips
are as follows:
Ryerson Forest Preserve Conservation Area, Field Museum.
Crystal Lake to go swimming. Lincoln Park Zoo, Wendella Boat Cruise, and the
Swinging W Ranch in Wisconsin for horseback riding and a hayride.
A total of 60 children would be served for five weeks from July 8
to August 7, when there is a gap in other services.
Our staff has learned
that it takes five weeks for some children to begin to benefit from summer
programs; in 1984, one boy, clearly pre-delinquent, began by characterizing
everything as "stupid".
At the end of five weeks he was freely acknowledging
his enjoyment.
Youth-workers know the value of consistent. structure-
ori ented programs to children whose 1 i ves lack order.
Girl Scouting offers
such consistency and Summer Safari '86 would incorporate these principles.
Parents would be expected to contribute three dollars apiece to
the program; this gives them more ownership, we have found.

The Staff
Given the variety of ages, the children from 5 to 11 would
require careful supervision.
A paid, experienced adult coordinator
would head the program assisted by other adults and youth aged 14 and
over,
Last year's excellent coordinator, Erica Dabrowski, is available
again.
She is a former resident of Boxwood and a fine Girl Scout leader.
As many staff as possible will be Boxwood residents, and our male intern
from Forest Hospital is returning.
A Boy Scout volunteer who was active
in Korea and Okinawa has called to volunteer.
The entire program would
be supervised by Girl Scout professional staff, who are highly experienced
in implementing similar projects.
The Site
Euclid School is an ideal site for the project; it will again
be available.
They are enthusiastic about our program.
Future Funding
The Council has never dropped a successful outreach program when
the need continues to exist.
