CLOSED SESSION

The Closed Session was called to order at 8:00 p.m. by Mayor Farley, in the conference room of the
Central Community Center, 1000 West Central Road. The purpose of the Closed Session was to
discuss Litigation and Land Acquisition. Present were: Trustees Timothy Corcoran, Paul Hoefert,
Richard Lohrstorfer, Michaele Skowron and Michael Zade!. Absent from the Closed Session was
Trustee Irvana Wilks. Staff present included: Village Manager Michael Janonis, Assistant Village
Manager David Strahl, Village Attorney Everette Hill and Police Chief Richard Eddington arrived at
8:30 p.m.
Minutes
Motion made by Trustee Hoefert and Seconded by Trustee Corcoran to approve the Minutes of
July 2, 2002. Minutes were approved.
LitiQation
Eaebergh vs. Village of Mount Prospect
Village Manager Janonis provided an update to the Village Board regarding Egebergh vs. Village of
Mount Prospect. He stated that a recent meeting with the Judge in his Chambers took place in an
effort to discuss settlement opportunities. He reminded the Village Board this was the Case where
the individual passed away while in custody at Cook County jail after being transferred from Mount
Prospect. In the Judge's own words, he felt that the sister who is bringing the Case is unlikely to
settle since her latest demand is approximately $3 million and a Trial date has been set for
September 30. He stated the Village's insurance company has not been motivated to settle the
Case based on the significant question of true liability.

Staff and Village Attorneys have met with DOJ representatives to discuss the draft Agreement
prepared by the Department of Justice, however, there are some concerns with the draft Agreement
that is under discussion. The Village Manager did want to point out that this is an Agreement and
not a Consent Decree and it still carries an opportunity to terminate the Agreement after five years if
no activity is confirmed. Since this is continuing at an apparently slower pace than originally
anticipated, it is likely that we will have to consider separating the DOJ Settlement from the Romero
Case Settlement.

Romero VS. Villaae of Mount Prospect Class Action Suit
He stated that the Plaintiff's attorney is ready to settle and all documents are ready to be executed
and all that we have been waiting on is the DOJ Agreement but it looks as if the timing will not work
out. At this point, Manager Janonis is requesting that the Board consider settling the Romero Class
Action Case prior to obtaining the Department of Justice Agreement.
Cunninaham VS. Villaae of Mount Prospect

This is an update on the Federal Discrimination Case filed by Firefighter Cunningham. The Unfair
Labor Practice (ULP) has been dismissed by the State and a Brief detailing the Village's response to
this Case will be filed by the end of the week. The strategy also includes getting the currently named
employees out of the Suit.

Lubash Unfair Labor Practice
Firefighter Doug Lubash recently filed an Unfair Labor Practice claiming he was discriminated
against because of his Union involvement and he is asking to be made whole although we cannot
figure out what he has lost since he asked for some vacation cash-out which had been approved.
The Village is in process of responding to this case.
Land Acquisition
Bank One
Village Manager Janonis stated that the Bank has currently entered into an agreement with a
Jol'r development consultant to market all Sank One excess properties and it is likely that they are not
~ necessarily focused on the Mount Prospect site in terms of importance to get the property off the real
estate rolls of Bank One. However, the Village has recently been approached by Norwood who is
1l...lu,...,- interested in purchasing the building but because of the complexities of the current arrangement,
Norwood feels that the Village will have a more likely opportunity to purchase the building and
immediately turn it around for sale to Norwood. The Village staff has also advised Norwood that it
would be very unlikely that any kind of TIF would be constructed to incorporate the redevelopment of
the Sank site, however, there could be the opportunity for sharing of Property Tax and Sales Tax
depending on the development that may take place on the site. He also stated that consideration
would have to include the purchase of the remote parking lot for redevelopment purposes by the
Village.
Consensus of the Village Board was to consider opportunities relating to the purchase
arrangement with Norwood for redevelopment of the Bank One building.
SWANCC Discussion
Trustee Corcoran stated that SWANCC has recently obtained property purchase bids and they are
currently being evaluated by the entire Executive Board. He stated that of the two proposals, one
proposal is for significantly more money but it does include several strings regarding redevelopment
of the property and the other one has fewer strings and is for less money. He is requesting the
Board preference on this bid is more acceptable.
Consensus of the Village Board was to accept the bid for property purchase with the fewer
strings attached so that the purchase was a free and clear transaction.
There was no further business and the meeting adjourned at 8:53 p.m.
