A RESOLUTION APPROVING AN EASEMENT AGREEMENT BETWEEN THE VILLAGE
OF MOUNT PROSPECT AND 3401 BUSSE, LLC FOR THE INSTALLATION AND
MAINTENANCE OF A VILLAGE GATEWAY SIGN
3401 S. Busse Road, Mount Prospect, IL 60056
WHEREAS, the Village of Mount Prospect (the "Village") seeks to enhance community
identity and aesthetics through the installation and maintenance of a Village Gateway Sign and
related improvements (the "Gateway Sign" and "Gateway Sign Area"); and
WHEREAS, 3401 Busse, LLC ("3401 Busse") is the fee simple owner of certain real property
located adjacent to South Busse Road near Interstate 90, legally described in the Easement
Agreement; and
WHEREAS, 3401 Busse has agreed to grant the Village a perpetual, non-exclusive maintenance
easement (the "Easement") on, over, and across a portion of its property to allow for the
installation, access, and maintenance of the Gateway Sign and Gateway Sign Area; and
WHEREAS, the Parties have negotiated an Easement Agreement (the "Agreement"), a copy of
which is attached hereto as Exhibit A, setting forth the terms and conditions of said Easement;
and
WHEREAS, the corporate authorities of the Village of Mount Prospect find it to be in the best
interests of the Village and its residents to enter into and approve the Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS, A
HOME RULE MUNICIPALITIY:
SECTION ONE: The foregoing recitals are incorporated herein as findings of the President and
Board of Trustees.
SECTION TWO: The Easement Agreement between the Village of Mount Prospect and 3401
Busse, LLC, substantially in the form attached hereto as Exhibit A, is hereby approved.
SECTION THREE: The Village President and Village Clerk are hereby authorized and directed
to execute and attest said Easement Agreement on behalf of the Village.
SECTION FOUR: Village staff is authorized and directed to take all steps necessary to carry out
the terms and purposes of the agreement.

EASEMENT AGREEMENT
Mount Prospect Gateway Signage Easement
(Village of Mount Prospect and 3401 Busse, LLC)
This EASEMENT AGREEMENT ("Agreement"), entered into this 25 day of SWkMJjce-, 2025
between 3401 Busse, LLC, an Illinois limited liability company ("3401 Busse") and the Village of Mount Prospect
(the "Village"), provides for a perpetual, maintenance easement located on, across and over real property owned
by 3401 Busse for the installation and maintenance of a Village Gateway Sign ("Gateway Sign") along with an
area immediately surrounding the Gateway Sign that may include signage, planters, plants, decorations and
lighting ("Gateway Sign Area") by the Village within the Easement Area described below, and under the terms
and conditions set forth in this Agreement. The maintenance easement is referred to as the "Easement". (The
Village and 3401 Busse are at times referred to herein individually as a "Party" and collectively as the "Parties".)
NOW, THEREFORE, in consideration of the commitments, obligations and mutual covenants contained
herein and other good and adequate consideration, the sufficiency of which is acknowledged, the Village and
3401 Busse agree as follows:
EASEMENT TERMS
1. Project. The Village seeks to install a Gateway Sign along with the Gateway Sign Area, to be
installed and maintained by the Village within the Easement Area (the "Project"). The area of land that comprises
the Easement is legally defined below and is at times referred to as the "Easement Area", as shown in the Plat of
Easement as prepared by Terra Engineering Ltd. and dated July 1, 2025, a copy of which is attached hereto to as
Exhibit "A" and made a part hereof. The purpose of the Project is to install and maintain a sign and an
immediately surrounding area that provides attractive and welcoming greetings to the Village.
2. Easement Area Legal, Description. 3401 Busse is the fee simple owner of certain real property
which is located adjacent to South Busse Road near Interstate 90 and is legally described as follows

3. Authority. The Village represents and warrants to 3401 Busse, as a material inducement for 3401
Busse entering into this Agreement, that the Village has the full and unconditional authority to enter into this
Agreement. 3401 Busse represents and warrants to the Village, as a material inducement for the Village entering

into this Agreement, that 3401 Busse has the full and unconditional authority to enter into this Agreement.
4. Easement Grant„ 3401 Busse grants to the Village the Easement and all of the easement rights
and obligations set forth in this Agreement for the installation and maintenance of the Gateway Sign and the
Gateway Sign Area for the benefit of both the Village and the general public. 3401 Busse and the Village agree
to comply with the terms of this Agreement.
A. Easement. 3401 Busse, for itself and its successors and assigns, conveys and grants to the Village, its
successors and assigns a perpetual non-exclusive easement over, across and on the Easement Area for
the installation and maintenance of the Gateway Sign and the Gateway Sign Area by the Village or
the Village's agents or representatives in accordance with the terms of this Agreement. This Easement
and other rights conferred to the Village by this Agreement are intended to, and do, constitute
covenants that run with the land and shall inure to the benefit of and be binding upon the Parties and
their respective successors and assigns. Regarding the Easement and the permanent easement rights
granted by 3401 Busse to the Village, the Parties further agree as follows:
1) All rights, title and interest in and to the Easement, which may be used and enjoyed without
materially interfering with the rights conveyed by this Agreement to the Village, are reserved
to 3401 Busse; provided, however, that 3401 Busse shall not itself, or grant any rights to
another person or entity, to use or occupy the Easement Area or install, construct, reconstruct,
place, replace, maintain, rehabilitate, operate and/or repair any structures, improvements or
other components within the Easement Area, which causes or is likely to cause damage to or
interference with the Gateway Sign. If 3401 Busse damages the Gateway Sign or other property
belonging to the Village within the Easement Area and fails to repair or restore the Village's
property damaged by 3401 Busse within fifteen (15) calendar days after receipt of written
notice from the Village, then the Village may utilize its own forces or a third party to
repair and restore the property, and 3401 Busse shall pay for all of the reasonable repair and
restoration costs incurred by the Village within thirty (30) calendar days after 3401 Busse's
receipt of a written demand for payment from the Village.
2) If Village actions related to the installation and/or maintenance of the Gateway Sign and/or the
Gateway Sign Area result in damage to 3401 Busse's real or personal property, the Village, at
its expense, shall be responsible for the costs to restore, repair or replace such real or personal
property to its/their original, existing condition immediately prior to such damage. If the
Village fails to repair or restore 3401 Busse's property damaged by the Village within fifteen
(15) calendar days after receipt of written notice from 3401 Busse, then 3401 Busse may
utilize its own forces or a third party to repair and restore the property, and the Village
shall pay for all of the reasonable repair and restoration costs incurred by 3401 Busse within
thirty (30) calendar days after the Village's receipt of a written demand for payment from 3401
Busse.
3) Notwithstanding the foregoing, the rights and Easement granted to the Village under this
Agreement are subject to those rights granted to others prior to the date of this Agreement,
whether such rights are of record, or exist as a result of prior or continued use, including
without limitation the rights of any utilities and utility providers to use and access of the
Easement Area.
B. Access to Easement. The Village and its officials, employees, agents, consultants and contractors
shall be permitted to access the Easement on an as -needed basis for purposes of maintaining,

repairing and/or replacing the Gateway Sign and/or the Gateway Sign Area as necessary. In
accessing the Easement, the Village and its employees, agents, consultants and contractors shall not
block 3401 Busse's access to its property or interfere with its activities and operations.
C. Maintenance of the Gateway i n and the Gateway Sign Area. Maintenance of the Gateway Sign
and any landscaping of the Gateway Sign Area shall be the Village's exclusive responsibility.
D. Restoration ITITo1 Pro .ty...Due_to Construction or Maintenance of the 0 1q�M_5 The Village
shall be responsible for restoring 3401 Busse property damaged during the Gateway Sign
installation or maintenance of the Gateway Sign or the Gateway Sign Area, including any grass
and landscaping on 3401 Busse's property.
5. No Charge for Easement. 3401 Busse agrees to not charge the Village an easement fee for the
Easement granted to the Village under this Agreement.
6. No Other Obligations. Except as specifically provided in this Agreement, no Party shall have any
other obligation to the other Party.
7. Villa e's Use of the Easement. The following general conditions shall apply to the Village's use of
the Easement:
A. No Conflict with 3401 Busse's Uses. The Village's use of the Easement shall be conducted in a
manner that does not conflict or interfere with 3401 Busse's current operations in the area
surrounding the Easement or with any utilities running through or under the Easement Area.
B. No Liens. The Village agrees to not cause or permit any lien (including, without limitation, any
mechanic's lien) or claim for lien to be filed or asserted against 3401 Busse or the Easement or
any interest therein, whether such lien or claim for lien results from or arises out of any act or
omission of the Village or its officials, employees, agents and contractors. In the event any such
lien or claim for lien is issued or filed, the Village, at its cost, will immediately remedy and obtain
a release of the lien or claim, and, if necessary, shall file the release of lien or claim with the Cook
County Clerk's Office
C. Access. Except in the event of an emergency, the Village shall provide 3401 Busse with at least
seven (7) calendar days prior written notice of the dates and times it intends to perform any work
associated with the Gateway Sign or the Gateway Sign Area. In addition, the Village shall be
responsible for: (1) ensuring that any work it conducts associated with this Agreement does not
infringe on or interrupt Builder's Asphalt activities (unless provided for by this Agreement); and
(11) taking all appropriate safety measures, that might be needed to ensure that 3401 Busse
personnel are not at an increased risk for injury because of any work associated with the Gateway
Sign.
D. Parking. During the installation of the Gateway Sign and the maintenance of the Gateway Sign
and the Gateway Sign Area, the Village and its representatives and contractors may be allowed to
temporarily park in an area on 3401 Busse's property that is mutually agreed upon by the Parties
and does not impair 3401 Busse's access to its property or interfere with 3401 Busse's activities
and operations, or the access, activities and operations of any tenant of the property.

E. Acceplanqg.pfEasement. The Village accepts the grant of the Easement and all the easement rights
and obligations set forth in this Agreement and agrees to comply with the terms of this Agreement.
F. Term of Easement Agrreeg1!;L t. The term of this Agreement shall continue until the Parties mutually
agree in writing to terminate this Agreement.
8. Irodeni nification. The Parties agree as follows:
A. Villa e..0 li - bons. The Village agrees to indemnify, defend and hold harmless 3401 Busse and
its officials, employees, agents, volunteers, attorneys, contractors, tenants, successors and assigns
(collectively the "3401 Busse Affiliates") from and against all claims, demands, liabilities, losses,
judgments, settlements, administrative and litigation costs and expenses (including reasonable
attorneys' fees) (collectively, "Claims") which arise or in any manner relate to the Gateway Sign,
its installation and its maintenance, and to the Gateway Sign Area, except to the extent any Claims
are attributable to 3401 Busse's or the 3401 Busse's Affiliates' willful acts or intentional
misconduct.
B. 34 1 Busse' )b. lig tions. 3401 Busse agrees to indemnify and hold harmless the Village and its
officials, employees, agents, volunteers, attorneys, contractors, successors and assigns
(collectively the "Village Affiliates") from and against all Claims which arise or in any manner
relate to the Gateway Sign or the Gateway Sign Area to the extent resulting from 3401 Busse's or
the 3401 Busse's Affiliates' willful acts or intentional misconduct.
9. Insurance. During the term of this Agreement and before commencing any work within the Easement,
the Village agrees to procure and maintain, and to require its contractors to purchase and maintain, a
policy or policies of insurance, as follows:
1) Commercial General Liability (CGL) covering all contractors, subcontractors and all their
subcontractors, with limits not less than One Million Dollars ($1,000,000) per occurrence and
Two Million Dollars ($2,000,000) in the aggregate, covering liability for bodily injury and
property damage. 3401 Busse, LLC, 3401 Busse Affiliates, Builders Asphalt, LLC, and
Builders Paving, LLC shall be added as Additional Insureds on the Village's CGL policy and
on the CGL policies of insurance of the Village's contractors. Excess or umbrella coverage
may be obtained to meet the minimum insurance coverage levels of this subsection.
2) Workers' Compensation Insurance with Illinois statutory limits.
3) Notification o1MParties' Insurers,• Additional Insured Status. At 3401 Busse's request, the
Village shall provide copies of certificate(s) of insurance, insurance policies and endorsements
issued by its insurer(s) showing annual premiums paid in full that conform to its obligations in
this Agreement. Copies of the certificates of insurance and endorsements, and any annual
renewals of such certificates and endorsements (if applicable), for the Village shall be
delivered to 3401 Busse upon written request by 3401 Busse, and such certificates of insurance
and endorsements shall be incorporated by reference into this Agreement and made a part
thereof. The Village shall also provide copies of its contractorsinsurance certificates to 3401
Busse prior to any of the Village's contractors performing any work within or accessing the
Easement Area.
D. Insurance Coverage. Each Village insurance policy required by this Agreement must be
endorsed to state that coverage will not be suspended, voided, cancelled or reduced in coverage

or in limits except after ten (10) calendar days prior written notice to 3401 Busse by certified
mail, return receipt requested. The Village agrees to not allow its insurance coverage to lapse
or to be suspended, voided, cancelled or reduced, and further agrees to take immediate action
to secure replacement insurance.
10. Reporting. In the event of a claim, demand, lawsuit or other action filed against either Party and/or
its officials, employees, agents, attorneys and volunteers relating to any matter covered by this
Agreement, the Party shall immediately notify, in writing, the other Party. Any failure to comply with
reporting provisions of any policy by a Party shall not affect coverage and the indemnification and
defense obligations under this Agreement.
11. Assignment. This Agreement, and the rights and obligations of the Parties set forth in this Agreement,
shall be binding upon and inure to the benefit of the Parties and their respective successors, personal
representatives and assigns, subject to prior written notice to the other Party and written confirmation
from the assignee that he/she/it assumes all of the obligations of its assignor under this Agreement.
12. Entire Agreement. The terms, exhibits and addenda, if any, herein contain the entire agreement
between 3401 Busse and the Village regarding the subject matter hereof and fully supersedes all prior
written or oral agreements and understandings between the Parties pertaining to such subject matter.
13. Exhibits. True and correct copies of the below Exhibit is incorporated herein and made a part of this
Agreement and are identified as follows:
