AN ORDINANCE PROPOSING THE ESTABLISHMENT OF THE MOUNT PROSPECT
ELK GROVE TOWNSHIP FIRE PROTECTION AND EMERGENCY MEDICAL
ASSISTANCE SPECIAL SERVICE AREA IN THE VILLAGE OF MOUNT PROSPECT,
COOK COUNTY, ILLINOIS, AND IN CERTAIN UNINCORPORATED AREAS OF
COOK COUNTY, ILLINOIS, AND PROVIDING FOR A PUBLIC HEARING AND
OTHER PROCEDURES IN CONNECTION THEREWITH
BE IT ORDAINED BY THE VILLAGE PRESIDENT AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS, AS
FOLLOWS:
SECTION 1: AUTHORITY TO ESTABLISH SPECIAL SERVICE AREAS.
Special Service Areas within home rule municipalities are established pursuant to
Article VII, Section 6 of the Constitution of the State of Illinois, and pursuant to the
provisions of the Special Service Area Tax Law, 35 ILCS 200/27-5, et seq.
SECTION 2: FINDINGS.
The Village Board finds.
A That it is in the public interest that the creation of the area hereinafter
described as a special service area, for the purposes set forth herein, be
considered.
B. That the area hereinafter described is compact and contiguous and that
some of the properties in the area hereinafter described are within
unincorporated Cook County.
C. That the area hereinafter described will benefit specifically from the
municipal services to be provided, and it is, therefore, in the best interests
of the Village that the expenditure of funds by the Village, and the levy of
special taxes against said area, for the services to be provided, be
considered.
D. That the special services to be provided by the Village shall consist of the
provision of fire response, emergency medical services, rescue services,
incident management and mitigation, and fire community risk activities
(collectively, the "Fire Protection and EMS Services") to the Special
Service Area.

SECTION 3: PUBLIC HEARING - TAX RATES.
A That a public hearing shall be held on the 7th day of November, 2023, at
7:00 p.m., in the Village Hall, 50 South Emerson Street, Mount Prospect
Illinois 60056, to consider the creation of the Elk Grove Township Fire
Protection and EMS Special Service Area of the Village in the area
described in the notice of public hearing set forth in Section 4 hereof ("Public
Hearing").
B. At said Public Hearing, the levy of a direct annual tax at a rate not to exceed
$1.91 per $100.00 of equalized assessed value of the property in the Elk
Grove Township Fire Protection and EMS Special Service Area, for each
year during which the Village is required to expend funds relative to said
Special Fire Protection and EMS Services. The proposed amount of the tax
levy for special services for the initial year for which taxes will be levied
within the Special Service Area is One Million and No/100 Dollars
($1,000,000.00).
C. The aforementioned taxes shall be in addition to all other taxes provided by
law and shall be levied pursuant to the provisions of the Property Tax Code
(35 ILCS 200/1-1, et seq.), as amended.
D. As the Elk Grove Township Fire Protection and EMS Special Service Area
includes properties in unincorporated Cook County, creation of the Elk
Grove Township Fire and EMS Special Service Area is conditioned on Cook
County first giving consent to creation of the Elk Grove Township Fire
Protection and EMS Special Service Area per 35 ILCS 200/27-5.
SECTION 4: NOTICE OF PUBLIC HEARING.
Notice of the Public Hearing shall be published at least once not less than fifteen
(15) days prior to the Public Hearing in one (1) or more newspapers of general circulation
in the Village, and notice by mailing shall be given by depositing said notice in the U.S.
mail addressed to the person or persons in whose name the general taxes for the last
preceding year were paid on each lot, block, tract or parcel of land lying within the
proposed the Elk Grove Township Fire Protection and EMS Special Service Area, with
said notice being mailed not less than ten (10) days prior to the time set for the Public
Hearing ("Notice"). In the event taxes for the last preceding year were not paid, the Notice
shall be sent to the person last listed on the tax rolls prior to that year as the owner of said

property. The Notice shall be in substantially the following form, with such modifications
as may be necessary to note the location of the hearing:

All interested persons affected by the formation of the Elk Grove Township
Fire Protection and EMS Special Service Area will be given an opportunity
to be heard regarding the formation of and the boundaries of the special
service area and may object to the formation of the Elk Grove Township
Fire Protection and EMS Special Service Area and the levy of taxes
affecting said Elk Grove Township Fire and EMS Special Service Area.
The purpose of the formation of the Elk Grove Township Fire Protection and
EMS Special Service Area is to fund the Village of Mount Prospect's
provision of the Fire Protection and EMS Services within said special
service area.
A tax levy at a rate not to exceed $1.91 per $100.00 of equalized assessed
valuation of property in the Elk Grove Township Fire Protection and EMS
Special Service Area for each year during which the Village of Mount
Prospect is required to expend funds relative to the provision of the Fire
Protection and EMS Services, will be considered at the public hearing. The
proposed amount of the tax levy for special services for the initial year for
which taxes will be levied within the Special Service Area is One Million and
No/100 Dollars ($1,000,000.00). Said tax is to be levied upon all taxable
property within the proposed Elk Grove Township Fire Protection and EMS
Special Service Area.
At the public hearing, all persons affected by the formation of the Elk Grove
Township Fire Protection and EMS Special Service Area, including all
persons owning taxable real estate therein, will be given an opportunity to
be heard. The public hearing may be adjourned by the President and Board
of Trustees to another date without further notice, other than a motion, to
be entered upon the minutes of its meeting, fixing the time and place of its
adjournment and/or as otherwise required by law.
If a petition signed by at least fifty-one percent (51 %) of the electors residing
within the Elk Grove Township Fire Protection and EMS Special Service
Area and by at least fifty-one percent (51 %) of the owners of record of the
land included within the boundaries of the Elk Grove Township Fire
Protection and EMS Special Service Area is filed with the Village Clerk,
within sixty (60) days following the final adjournment of the public hearing,
objecting to the creation of the Elk Grove Township Fire Protection and EMS
Special Service Area, the enlargement thereof, the levy or imposition of a
tax for the provision of the Special Services to the area, or to a proposed
increase in the tax rate, said the Elk Grove Township Fire Protection and
EMS Special Service Area may not be created or enlarged, and no tax may
be levied or imposed nor the rate increased. Further, as the Elk Grove
Township Fire Protection and EMS Special Service Area includes
properties in unincorporated Cook County, creation of the Elk Grove
Township Fire Protection and EMS Special Service Area is conditioned on
Cook County first giving consent to creation of the Elk Grove Township

adopted Ordinance No. 6689, which is attached to this Agreement as Exhibit A (the "Proposing
Ordinance"), proposing the establishment of a special service area to be known as the "Elk Grove
Township Fire Protection and Emergency Medical Assistance Special Service Area" (the
"Proposed SSA");
WHEREAS, on November 7, 2023 the President and Board of Trustees of the Village held
a public hearing regarding the Proposed SSA (the "Public Hearing");
WHEREAS, the Village proposed to include certain parcels of real property within the
boundaries of the Proposed SSA (collectively, the "SSA Properties"), which SSA Properties are
legally described in the Proposing Ordinance;
WHEREAS, the SSA Properties are located in unincorporated Cook County;
WHEREAS, as stated in the Proposing Ordinance, the Village proposes to levy an ad
valorem tax on the SSA Properties (the "SSA Tax") in the amount of $1,000,000 during the first
levy year;
WHEREAS, the Village proposes to use the proceeds of the SSA Tax to pay for the
provision of special fire protection and emergency medical services (the "Services") to the SSA
Properties;
WHEREAS, the Gullo Parties own certain of the SSA Properties, as described on Exhibit
B attached to this Agreement (collectively, the "Gullo Properties");
WHEREAS, pursuant to Section 27-55 of the Special Service Area Tax Law (the "SSA
Law"), 35 ILCS 200/27-55, if a petition signed by at least 51% of the electors residing within the
Proposed SSA and at least 51% of the owners of record of the SSA Properties (an "Objection
Petition") is filed with the Village Clerk within 60 days after the final adjournment of a public
hearing objecting to the creation of a service district, the enlargement of the area, the levy or
imposition of a tax, the issuance of bonds for the provision of special services, or a proposed
increase in the tax rate, then the then the district shall not be created or enlarged, the tax shall not
be levied or imposed, the bonds shall not be issued, or the rate shall not be increased;
WHEREAS, the Gullo Parties desire to ensure that: (1) if any SSA Properties are annexed
by any municipalities in the future (each, an "Annexed Property" and, collectively, "Annexed
Properties"), the SSA Tax will not be imposed on the Annexed Properties after the applicable
annexation is effective; and (2) the aggregate amount of the SSA Tax levied each year after the
first SSA Tax levy will not exceed 105% of the aggregate amount of the SSA Tax levied in the
immediate preceding year; and
WHEREAS, the Parties desire to enter into this Agreement to set forth the terms and
conditions pursuant to which the Proposed SSA will be established.
NOW, THEREFORE, in consideration of the representations, warranties, and mutual
covenants; promises, agreements, and understandings set forth below and other good and valuable
consideration, the receipt and sufficiency of which are hereby expressly acknowledged, the Parties
agree as follows:
1. Recitals. The above recitals are an integral part of this Agreement and are hereby
incorporated in and made a part of this Agreement.
2. Annexation of SSA Properties. If, at any time after the Effective Date, any
municipality annexes one or more of the SSA Properties, the following provisions shall apply:
a. SSA Tax Rebate. The Village shall rebate the SSA Tax levied against each
Annexed Property (each, a "Rebate"), commencing in the year in which the Village collects the
SSA Tax levy made in the first levy year after the calendar year in which the annexation of the
Annexed Property is effective, and continuing each year thereafter. Each year in which a Rebate
is due, after the owner of the applicable Annexed Property pays each installment of real estate
taxes due in that year, the owner shall provide evidence reasonably acceptable to the Village that
the owner has paid the applicable installment of the SSA Tax. The Village shall pay the Rebate
of that installment of the SSA Tax to the owner of the Annexed Property not later than 60 days
after receiving such evidence of payment; provided, however, that the Gullo Parties that are land
trusts hereby authorize and direct the Village to remit payment of the Rebate directly to the sole
beneficiary of the land trust, rather than to the trustee of the land trust.
b. Petition for Disconnection. If, pursuant to Section 27-60 of the SSA Law,
35 ILCS 200/27-60, any of the Parties files a petition with the circuit court to disconnect from the
Proposed SSA any Annexed Property that is owned by one of the Gullo Parties, the other Parties
shall consent to the disconnection of such Annexed Property at the public hearing held pursuant to
Section 27-65 of the SSA Law, 35 ILCS 200/27-65, and shall not take any actions that could
reasonably be expected to cause the court to dismiss or otherwise not grant the petition. Any
Annexed Property that is disconnected from the Proposed SSA shall cease to be subject to any
SSA Tax and shall not be security for any fixture bonded indebtedness, as provided in Section 27-
70 of the SSA Law, 35 ILCS 200/27-70.
3. SSA Tax Levy Limitation. As provided in the Proposing Ordinance, in the first
year in which the SSA Tax will be levied and extended against the SSA Properties, the total
aggregate amount of the SSA Tax levied and extended against the SSA Properties shall be
51,000,000. The Village hereby agrees that in each year after the first year in which the SSA Tax
will be levied and extended against the SSA Properties, the total aggregate amount of the SSA Tax
levied and extended against the SSA Properties shall not exceed 105% of the total aggregate
amount of the SSA Tax levied and extended against the SSA Properties in the immediate preceding
year.
4. Ordinance Establishing Proposed SSA. The ordinance establishing the Proposed
SSA shall include provisions reasonably acceptable to the Gullo Parties requiring abatement of the
SSA Tax levied against each Annexed Property, as provided in Section 2.a. of this Agreement, and
limiting the amount of the SSA Tax to be levied and extended against the SSA Properties, as
provided in Section 3 of this Agreement.
5. Objection Petition. In consideration of the Village's agreement to enter into this
Agreement, and subject to and contingent upon the Village's performance of its obligations under
and compliance with the requirements of this Agreement, the Gullo Parties consent to the
establishment of the Proposed SSA. Provided that the Village establishes the Proposed SSA and
levies and abates the SSA Tax each year in accordance with the requirements of this Agreement,
and otherwise performs its obligations and complies with the requirements of this Agreement, the
Gullo Parties shall not file an Objection Petition objecting to the establishment of the Proposed
SSA, the levy or imposition of the SSA Tax each year, or any increase in the rate of the SSA Tax
each year.
6. Recordation. Within 30 days after the full execution and delivery of this
Agreement, the Gullo Parties shall, at no cost to the Village, record this Agreement against the
Gullo Properties with the office of the Cook County Clerk.
7. Covenant Running with the Land; Binding Effect. The provisions of this
Agreement are covenants running with the Gullo Properties and are binding upon and inure to the
benefit of each of the Parties and each of their respective grantees, mortgagees, lessees, successors,
and assigns.
8. Remedies and Enforcement. The Parties acknowledge and agree that in the event
of a breach of this Agreement by any Party or Parties, the non -breaching Party or Parties would
suffer irreparable harm for which money damages would be an inadequate remedy. In addition to
any other remedies that may be available at law or in equity, the non -breaching Party or Parties
shall be entitled to injunctive relief, specific performance, and/or mandamus compelling the
breaching Party or Parties to perform its or their obligations under this Agreement, without
prejudice to or waiver of the non -breaching Party or Party's ability to recover money damages in
addition to such non -monetary relief. In the event that one of the Gullo Parties files any action or
other proceeding to enforce the Village's obligation to pay any Rebate pursuant to, and in
accordance with, Section 2.a. of this Agreement, or any judgment or decree related thereto, the
prevailing Party shall be awarded reasonable attorneys' fees, costs, and expenses, including those
incurred in enforcing and collecting any judgment, in addition to any other relief granted.
9. Representations, Warranties, and Covenants. Each Party, with respect to itself,
represents, warrants, and covenants that:
a. The Party has all necessary legal and corporate authority to enter into this
Agreement and to perform its respective obligations under this Agreement, and the person
executing this Agreement on behalf of the Party is duly authorized to bind, and has the legal
capacity to execute, this Agreement on behalf of the Party;
b. This Agreement is a valid and binding agreement, enforceable against the
Party in accordance with its terms; and
C. The Party shall not take or omit to take any action that could adversely affect
its authority to enter into this Agreement and perform 1ts obligations under this Agreement.
10. General Provisions.
a. Entire Agreement. This Agreement is the complete Agreement between
the Parties regarding the subject matter of this Agreement and supersedes any and all prior and
contemporaneous written and oral communications, agreements, and understandings. With
respect to the subject matter of this Agreement, this Agreement sets forth all promises, agreements,
conditions, inducements, understandings, representations and warranties between the Parties, and
there are no promises, agreements, conditions, inducements, representations or warranties, express
or implied, between the Parties, other than as specifically set forth herein.
b. Amendments and Modifications. No amendment of or modification to
this Agreement shall be valid and binding against the Parties unless agreed to in writing and
executed and delivered by all of the Parties in accordance with the requirements of applicable law.
C. Further Assurances. Upon the request of another Party, each Party agrees
to furnish to the other Parties such information, execute and deliver to the other Parties such
documents, and do such other acts and things, all as reasonably required for the purpose of carrying
out the purposes of this Agreement.
d. No Personal Liability. The Parties acknowledge and agree that the
individuals who are members of the corporate authorities of the Village and the members,
shareholders, managers, directors, trustees, and beneficiaries of the Owners are entering into this
Agreement in their official and corporate capacities and shall have no personal liability in their
individual capacities.
e. Non -Waiver. No Party may waive any condition or breach of any
representation, provision, covenant, or condition of this Agreement, except in a writing signed by
the waiving Party and specifically describing the representation, provision, covenant, or condition
waived. The waiver by any Party of any condition or breach of any representation, provision,
covenant, or condition contained in this Agreement shall not be deemed to be a waiver of any other
representation, provision, condition, or covenant or of any subsequent breach of the same or of
any other representation, provision, condition, or covenant of this Agreement. No Party is under
any obligation to exercise any of the rights granted to it in this Agreement. The failure of a Party
to exercise at any time any right granted to such Party will not be deemed or construed to be a
waiver of that right, nor will the failure void or affect such Party's right to enforce that right or any
other right.
f. Severability. It is hereby expressed to be the intent of the Parties that should
any provision, covenant, agreement, or portion of this Agreement or its application to any person,
entity, or property be held invalid by a court of competent jurisdiction, the remaining provisions
of this Agreement and the validity, enforceability, and application to any person, entity, or property
will not be impaired thereby, but the remaining provisions will be interpreted, applied, and
enforced so as to achieve, as near as may be, the purpose and intent of this Agreement to the
greatest extent permitted by applicable law.
g. Interpretation. This Agreement is to be construed without regard to the
identity of the Party who drafted the various provisions of this Agreement. Each provision of this
Agreement is to be construed as though all Parties to this Agreement participated equally in the
drafting of this Agreement. Any rule or construction that a document is to be construed against the
drafting Party is not applicable to this Agreement.
h. Headings. The headings, titles, and captions in this Agreement have been
inserted only for convenience and in no way define, limit, extend, or describe the scope or intent
of this Agreement.
i. Exhibits. Exhibit A and B attached to this Agreement are, by this
reference, incorporated in and made a part of this Agreement. In the event of a conflict between
an exhibit and the text of this Agreement, the text of this Agreement will control.
j. Remedies Cumulative. The Parties' rights and remedies hereunder shall
be cumulative. The exercise of any rights or remedies shall not preclude enforcement of other
rights and remedies or waive other rights and remedies.
k. Governing Lav and Venue. This Agreement shall be governed by the
laws of the State of Illinois, irrespective of conflicts of law rules. Any judicial proceeding to
enforce the provisions of this Agreement shall be filed in the Circuit Court of Cook County.
1. Counterparts. This Agreement may be executed in as many counterparts
as may be deemed necessary and convenient, and by the Parties in separate counterparts, each of
which, when so executed, shall be deemed an original, but all such counterparts shall constitute
one and the same instrument. A scanned or photocopy signature on this Agreement, any
amendment hereto or any notice delivered hereunder shall have the same legal effect as an original
signature.
in. Notices. Any notice to a Party under this Agreement shall be in writing by
U.S. Certified Mail, return receipt requested, or by overnight delivery service by a reputable
delivery company, such as Federal Express, UPS, or United States Parcel Service. Until further
notification by written notice in the manner required by this Section 9.1), notices to the Parties
shall be delivered to the following addresses:

AN ORDINANCE PROPOSING THE ESTABLISHMENT OF THE MOUNT PROSPECT
ELK GROVE TOWNSHIP FIRE PROTECTION AND EMERGENCY MEDICAL
ASSISTANCE SPECIAL SERVICE AREA IN THE VILLAGE OF MOUNT PROSPECT,
COOK COUNTY, ILLINOIS, AND IN CERTAIN UNINCORPORATED AREAS OF
COOK COUNTY, ILLINOIS, AND PROVIDING FOR A PUBLIC HEARING AND
OTHER PROCEDURES IN CONNECTION THEREWITH
BE IT ORDAINED BY THE VILLAGE PRESIDENT AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS, AS
FOLLOWS:
SECTION 1: AUTHORITY TO ESTABLISH SPECIAL SERVICE AREAS.
Special Service Areas within home rule municipalities are established pursuant to
Article VII, Section 6 of the Constitution of the State of Illinois, and pursuant to the
provisions of the Special Service Area Tax Law, 35 ILCS 200/27-5, et seq.
SECTION 2: FINDINGS.
The Village Board finds:
A That it is in the public interest that the creation of the area hereinafter
described as a special service area, for the purposes set forth herein, be
considered.
B. That the area hereinafter described is compact and contiguous and that
some of the properties in the area hereinafter described are within
unincorporated Cook County.
C. That the area hereinafter described will benefit specifically from the
municipal services to be provided, and it is, therefore, in the best interests
of the Village that the expenditure of funds by the Village, and the levy of
special taxes against said area, for the services to be provided, be
considered.
D. That the special services to be provided by the Village shall consist of the
provision of fire response, emergency medical services, rescue services,
incident management and mitigation, and fire community risk activities
(collectively, the "Fire Protection and EMS Services") to the Special
Service Area.
SECTION 3: PUBLIC HEARING - TAX RATES.
A That a public hearing shall be held on the 7'h day of November, 2023, at
7:00 p.m., in the Village Hall, 50 South Emerson Street, Mount Prospect
Illinois 60056, to consider the creation of the Elk Grove Township Fire
Protection and EMS Special Service Area of the Village in the area
described in the notice of public hearing set forth in Section 4 hereof ("Public
Hearing").
B. At said Public Hearing, the levy of a direct annual tax at a rate not to exceed
$1.91 per $100.00 of equalized assessed value of the property in the Elk
Grove Township Fire Protection and EMS Special Service Area, for each
year during which the Village is required to expend funds relative to said
Special Fire Protection and EMS Services. The proposed amount of the tax
levy for special services for the initial year for which taxes will be levied
within the Special Service Area is One Million and No/100 Dollars
($1,000,000.00).
C. The aforementioned taxes shall be in addition to all other taxes provided by
law and shall be levied pursuant to the provisions of the Property Tax Code
(35 ILCS 200/1-1, et seq.), as amended.
D. As the Elk Grove Township Fire Protection and EMS Special Service Area
includes properties in unincorporated Cook County, creation of the Elk
Grove Township Fire and EMS Special Service Area is conditioned on Cook
County first giving consent to. creation of the Elk Grove Township Fire
Protection and EMS Special Service Area per 35 ILCS 200/27-5.
SECTION 4: NOTICE OF PUBLIC HEARING.
Notice of the Public Hearing shall be published at least once not less than fifteen
(15) days prior to the Public Hearing in one (1) or more newspapers of general circulation
in the Village, and notice by mailing shall be given by depositing said notice in the U.S.
mail addressed to the person or persons in whose name the general taxes for the last
preceding year were paid on each lot, block, tract or parcel of land lying within the
proposed the Elk Grove Township Fire Protection and EMS Special Service Area, with
said notice being mailed not less than ten (10) days prior to the time set for the Public
Hearing ("Notice"). In the event taxes for the last preceding year were not paid, the Notice
shall be sent to the person last listed on the tax rolls prior to that year as the owner of said

property. The Notice shall be in substantially the following form, with such modifications
as may be necessary to note the location of the hearing:

Fire Protection and EMS Special Service Area will be given an opportunity
to be heard regarding the formation of and the boundaries of the special
service area and may object to the formation of the Elk Grove Township

Prospect is required to expend funds relative to the provision of the Fire
Protection and EMS Services, will be considered at the public hearing. The
proposed amount of the tax levy for special services for the initial year for
which taxes will be levied within the Special Service Area is One Million and
No/100 Dollars ($1,000,000.00). Said tax is to be levied upon all taxable
property within the proposed Elk Grove Township Fire Protection and EMS
Special Service Area.
At the public hearing, all persons affected by the formation of the Elk Grove
Township Fire Protection and EMS Special Service Area, including all
persons owning taxable real estate therein, will be given an opportunity to
be heard. The public hearing may be adjourned by the President and Board
of Trustees to another date without further notice, other than a motion, to
be entered upon the minutes of its meeting, fixing the time and place of its
adjournment and/or as otherwise required by law.
If a petition signed by at least fifty-one percent (51 %) of the electors residing
within the Elk Grove Township Fire Protection and EMS Special Service
Area and by at least fifty-one percent (51 %) of the owners of record of the
land included within the boundaries of the Elk Grove Township Fire
Protection and EMS Special Service Area is filed with the Village Clerk,
within sixty (60) days following the final adjournment of the public hearing,
objecting to the creation of the Elk Grove Township Fire Protection and EMS
Special Service Area, the enlargement thereof, the levy or imposition of a
tax for the provision of the Special Services to the area, or to a proposed
increase in the tax rate, said the Elk Grove Township Fire Protection and
EMS Special Service Area may not be created or enlarged, and no tax may
be levied or imposed nor the rate increased. Further, as the Elk Grove
Township Fire Protection and EMS Special Service Area includes
properties in unincorporated Cook County, creation of the Elk Grove
Township Fire Protection and EMS Special Service Area is conditioned on
Cook County first giving consent to creation of the Elk Grove Township
