The Village Hall opened in August 2004, at which time most of the furniture were
new, including the individual task chairs and conference room chairs. Over the
past seventeen and a half years, these chairs have been heavily used and are past
their useful life.
The chairs selected to replace the Village Hall chairs are made by Herman Miller,
Inc. Each staff member was allowed to select either the "Embody" model or the
"Aeron" model, which is the same selection process that Police and Fire staffs
were provided for the Police and Fire Headquarters buildings. The conference
room chairs will also match the new chairs at the new Police and Fire
Headquarters with the "Cosm" model chair. A total of 68 task chairs and 86
conference room chairs are planned for the Village Hall replacement. Note that
task chairs are designed for all -day use, would be located in individual
offices/cubical spaces, and include many adjustable features for individual
customization. Conference room chairs include basic adjustability, have a lower
per unit cost, and are distributed throughout Village Hall's nine conference
rooms.
Herman Miller offers a twelve year parts and labor warranty on their products and
the warranty covers 24/7/365 usage. Herman Miller participates in the Omnia

Purchasing Program (formerly US Communities) which provides for standard
government pricing which meets the bidding requirements of the Village. Thomas
Interiors, Inc. is the dealer that actually provides, delivers, and unpacks all the
chairs through this contract. The overall contract cost is $147,579.82 of which
$6,640 is itemized for delivery, unpacking, and hauling away packing material to
be recycled. Public Works will remove and sell the old chairs from Village Hall.
Ergonomic chairs have increasingly become the focus of corporations around the
world to prevent fatigue, promote better posture, and prevent injury in order to
reduce lost work time and insurance costs. The Village is a participant in the IPBC
(Intergovernmental Personnel Benefit Cooperative) for employee health insurance
benefits. The IPBC encourages various health and wellness programs within local
municipalities, and in turn rewards rebates and incentives based on employee
participation. Due to the high level of participation by employees and assistance
from staff -lead Wellness Team, the Village has received more than $300,000 in
rewards and rebates which are held in a wellness account at the IPBC. As many of
the employee's jobs require them to sit for long periods of times at desks, the
purchase of ergonomic chairs to assist their health qualifies as a suitable use of
these wellness funds.
User guides and videos available on Herman Miller's website will help staff adjust
the chair to benefit from their ergonomic features and the guides are attached for
reference. The attached memo provides further details on how the chairs models
were selected.
Staff requests the Village Board to consider a motion to approve the purchase of
task and conference room chairs for Village Hall from Thomas Interiors in an
amount not to exceed $147,579.82.

SUBJECT: NEW CHAIRS FOR VILLAGE HALL
The current Village Hall opened for operations in August 2004. For the last seventeen and a half years
staff has been sitting in the same office task chairs as the day the building opened. As expected, these
chairs have broken down over time and are due for replacement. There are several items to discuss
when replacing an entire building full of chairs including how is a new chair selected, how are the chairs
purchased and paid for, and what happens to the old chairs? This memo will attempt to explain each of
these topics.
The first step was to complete an inventory of current chairs throughout Village Hall to identify how
many individual task chairs there currently are. There are 64 individual office/cubicle task chairs within
Village Hall. There are also 4 additional task chairs at the CCC that Human Services has requested be
replaced with the rest of the Village Hall chairs, for a total of 68 task chairs. Along with the task chairs
each department has at least one conference room that also requires chair replacement. Those rooms
require a total of 86 conference room chairs, including the 22 chairs planned for the executive
conference room in the Board Room.
Having just completed the task of selecting new chairs and furniture for both the Police Headquarters
and the Fire Headquarters, this process was sped up a bit. In separate tours of every task chair
manufacturer in the Merchandise Mart in Chicago, the Police Staff and the Fire Staff selected the same
two Herman Miller chairs for the new buildings. Herman Miller offers a twelve year "bumper to
bumper" warranty on all their task chairs, and support a 24/7/365 use schedule for those twelve years.
The two chairs selected are the Aeron and the Embody models. Both chairs have adjustable controls for
lumbar support, overall height, arm height, arm position/rotation, and back angle. The Aeron is a mesh
chair, while the Embody is a fabric chair. As both staffs had independently selected these two chairs for
their task chairs, the decision was to use the same chairs for the Village Hall.

For conference room chairs, again both Police and Fire selected the Cosm conference room chair from
Herman Miller. The Cosm is a one piece mesh chair that is similar to the Aeron chair, but offers less
adjustability. While task chairs are meant to be comfortable for all day seating, conference room chairs
are meant to serve for 1-2 hours at a time, thus allowing for less flexibility. These Cosm chairs have
begun to replace the staff chairs in the Board Room over the last year and have been well received by
Staff to this point. These chairs will be the replacements for all conference rooms throughout the
Village Hall.
In order to purchase these chairs, the Village is looking to the Omnia purchasing program (formerly US
Communities) on which Thomas Interiors holds the government purchasing contract for all Herman
Miller products. The Omnia purchasing program satisfies the Village's purchasing requirements. These
chairs come independently boxed and wrapped from the factory, which requires labor cost to ship,
unpack, roll into place, and to haul away all the packing material. Herman Miller requires this delivery
and labor to also be completed by Thomas Interiors. The cost of the 154 chairs is $140,939.82 from the
factory and a labor and delivery charge of $6,640.00 for a total cost of $147,579.82
Ergonomics and task chairs have become a big part of overall employee wellness through the past two
decades. If an employee is more comfortable in their seats, they tend to be more productive. If their
seat is more ergonomically correct, it is healthier for the body. This in turn reduces the number of
injuries and sick days. So by providing better chairs for employees, the Village benefits from more
productivity and less missed work days from employees. This focus on employee wellness is how the
cost of the chairs is supported within the Village Budget.
The Village participates in the IPBC (Intergovernmental Personnel Benefit Cooperative) for employee
health insurance programs. The IPBC encourages various health and wellness programs and rewards
rebates/incentives based on the participation of the employees. Due to the hard work from the Village's
HR Department in recent years, the Village employees participated in various wellness programs, which
earns the Village rebates. The Village was able to achieve higher rebates because of a higher percentage
of participation over the past several years. These incentives are kept separate in a wellness account at
IPBC. Various wellness programs promote healthy lifestyles and encourage employees to make better
choices. At the end of the day, IPBC expects to experience lower claim costs, which can also help the
Village in controlling its health insurance benefit costs. As of June 30, 2020 (per the audited financial
statements), the Village holds a balance of $305,800 in its wellness account. Many of the employees'
jobs require them to sit for a long period of time, and providing them with an ergonomic chair qualifies
as a suitable use of the wellness funds.
Most of the chairs within Village Hall are beyond their useful life and will be discarded. However, there
are a small amount of chairs that may have a little life left in them for limited use in a home office.
Some staff members have expressed an interest in taking their existing chair home for this purpose. As
such the Village is proposing a $20 donation per chair to the Mount Prospect Food Pantry in exchange
for the chair. The rest of the chairs will be discarded with the assistance of Public Works.

TERMS AND CONDITIONS OF SALE
All sales by Thomas Interior Systems, Inc. ("Seller") are made only on the standard terms and conditions of sale
contained in this document. These Terms and Conditions of Sale may be modified or supplemented only by a written
document separately signed by authorized personnel of Seller. Any other term or condition contained in any purchase
order or other form used by Buyer to order products (including standard printed language) which is different from, in
addition to, or in any way inconsistent with these Terms and Conditions of Sale is rejected and shall be of no force or
effect whatsoever. This document is intended as a complete, exclusive, and final statement of the terms and conditions
between Seller and Buyer with respect to the purchase as sale of the merchandise and/or services shown on the
Proposal.
Acceptance of Order
Seller shall provide either a proposal or a quotation (hereafter referred to as a "Proposal") for the sale, delivery, and/or
installation of merchandise to Buyer (hereafter referred to as a "Project"). Buyer must approve the Proposal in writing
prior to Seller procuring the merchandise for delivery to Buyer. In order for Seller to have the best chance of meeting
Buyer's preferred delivery date (subject to availability), Buyer is strongly encouraged to return the signed Proposal to
Seller within 5 days of Buyer's receipt thereof. Any Proposal not signed by Buyer within 30 days is subject to change or
cancellation at Seller's sole option. It is Buyer's responsibility to check the Proposal for accuracy, including quantities,
fabric and finish selections, etc. Delivery and shipping dates in the Proposal are based upon the manufacturing lead time
of the items which have the longest manufacturing requirements. In addition, Seller shall obtain any permits necessary
for the work to be done by Seller and Buyer shall pay the cost of same.
Order Processing
Seller will place an order for Buyer's merchandise with its suppliers after Seller's receipt of: the signed Proposal;
approval of Buyer's credit; a Purchase Order (if applicable); and a deposit equal to fifty percent (50%) of the total sale
price set forth in the Proposal. At Seller's discretion, an order for Buyer's merchandise may be placed upon receipt of a
signed Proposal alone.
Cancellation and Changes
Buyer understands and agrees that upon its acceptance of a Proposal in writing, such proposal cannot be cancelled
except by mutual written consent.
Once Seller's order has been acknowledged by its supplier(s), the order is final and binding and any subsequent
changes are subject to the Seller's ability to conform and are dependent upon availability and supplier and/or
manufacturer approval. Buyer shall pay any additional charges resulting from a change in quantity or specifications. All
change requests shall be delivered to the Seller in writing and must be acknowledged by Seller in writing to be effective.
Delivery and Installation
In the event that delivery and/or installation of merchandise are included in a Project, the following provisions shall apply:

1. Seller will not do any exterior installations or tethering of merchandise unless otherwise agreed by the parties in
writing. If Buyer is purchasing merchandise for exterior use, Seller's services will be limited to delivery only unless
otherwise agreed by the parties in writing, and Buyer will responsible for the installation and tethering of
merchandise for exterior applications. In the event Seller agrees in writing to do any exterior installations or tethering
of merchandise in a Project, Buyer agrees to indemnify Seller from and against any and all losses, costs, liabilities,
claims, damages and expenses (including reasonable attorney's fees), including without limitation injuries to
persons or damage to property, arising out of or in any way connected or relating to the Project.
2. Delivery is not guaranteed on a specified date, but Seller will best endeavor to complete delivery according to
Buyer's requested timeline. Once a delivery has been scheduled, if Buyer cancels or postpones the delivery after
8:30 a.m. CST on the business day immediately preceding the delivery date, Seller reserves the right to charge a
cancellation/restocking fee as follows: Orders up to $3,000 will incur a $150 fee, orders over $3,000 but less than
$10,000 will incur a fee of $200 or 4% of the order (whichever is greater), and orders over $10,000 will incur a fee of
$400 per half truckload/$600 per full truckload.
3. Special Packaging and Handling — The Proposal includes Seller's standard domestic packaging for all orders and
their products. Any requests for special packaging or handling in deviation of the standard packaging methods
chosen by Seller will result in extra charges to Buyer.
4. Field Cuts/Modifications — Any requests for factory custom cuts must be made prior to Seller placing an order for
Buyer's merchandise and depend on adequate factory lead time, availability, and supplier and/or manufacturer
approval. If requested by Buyer and approved by Seller in a Proposal, Seller can make field cuts or modifications to
merchandise, but Buyer understands and agrees that any field cuts or modifications void the factory warranty(ies)
on any modified merchandise.
5. Job Site Services — Buyer shall provide all job site security, electricity, heat, hoisting and/or elevator service without
charge to Seller. Any move -in fees, loading dock fees, elevator reservation fees or the like will be Buyer's
responsibility. Buyer also agrees that any fees or labor costs incurred by Seller as a result of move -in, loading dock,
or elevator delays will be Buyer's expense. Adequate facilities for off-loading, staging, moving and handling of
merchandise shall also be provided by Buyer at Buyer's expense. At Buyer's expense, Buyer shall also provide
sufficient waste management services to allow for Project completion, unless otherwise mutually agreed in writing.
6. Electric Code — Seller will specify product to meet required electric code. When Chicago electric code is required,
the Seller will provide the back boxes, but hardwiring the boxes will be at the Buyer's expense.
7. Storage Space — Provided the merchandise does not arrive at the site earlier than the date requested, Buyer will
provide safe and adequate storage space for all merchandise ordered. If the space provided is inadequate or
requires excessive sorting, Buyer will reimburse Seller for any excess handling costs. If the space provided is
inconveniently located or on another floor, Buyer will reimburse Seller any extra costs of transporting the
merchandise to and from storage location. If any merchandise must be moved to accommodate the progress of
other trades or for any other reason, Buyer will reimburse the extra cost of such moving. If Seller is required to store
merchandise for more than 30 days due to circumstances outside of the Seller's and its suppliers' control, a
warehousing charge will be assessed to Buyer.
8. Jurisdictional agreements — If trade regulations enforced at the time of installation require the use of tradespeople at
the site other than the Seller's own installation crews, any resulting additional costs shall be paid by Buyer.
9. Damage — Risk of loss with respect to any merchandise passes to Buyer upon delivery of same to Buyer's
premises. Buyer agrees to indemnify and hold Seller harmless for and against any loss or damage to any
merchandise after delivery to Buyer, unless caused by Seller or its employees or contractors.

10. Inspection — Buyer shall inspect all merchandise immediately upon receipt and shall promptly file claims with the
carrier when there is evidence of shipping damage or short shipment.
Substantial Completion
Substantial completion occurs on the date when the work covered by this agreement is sufficiently complete so that
Buyer can occupy or utilize the Project work area or designated portion thereof for its intended use.
Delays
The delivery date specified in the Proposal represents Seller's best estimate of the approximate delivery date at the time
of the Proposal. However, Seller shall not incur any obligation or liability to Buyer for failure to deliver by any particular
date unless such date has been formally established as a guaranteed delivery date in the Proposal. In no event,
however, shall Seller be liable for any loss or damage resulting from any delay or failure in delivery or other failure to
perform all or any part of the agreement between the parties with respect to the Project where such delay, failure, loss,
or damage is the proximate result of any act of God or governmental authority, war, invasion, insurrection, riot, fire, flood,
weather, delay in transportation, unavailability of merchandise, breakdown, sabotage, lock -out, strike or labor dispute,
failure of Seller's suppliers to meet their delivery promises, or any other cause not in Seller's reasonable control, whether
in the class of causes enumerated above or otherwise. In the event construction delays or other causes not within
Seller's control cause any delay in the installation, the merchandise will be stored until installation can be resumed.
However, such merchandise will be considered accepted by Buyer for the purpose of payment. Additionally, Buyer shall
pay any transfer and storage charges incurred as the result of such delay.
Invoicing and Payment Terms
Acceptance of delivery constitutes acceptance of merchandise as delivered. No payment shall be withheld due to partial
shipment of the entire order.
Payment terms shall be as follows: a 50% deposit shall be required with Buyer's written acceptance of the Proposal; a
25% progress payment shall be due upon shipment of merchandise from the manufacturer; and the balance shall be due
Net 30 days after final invoicing. Planning fees will be billed as work progresses and shall be paid Net 30 days. All freight
charges, if any, shall be billed to Buyer, unless otherwise specified. Buyers exempt from taxes must furnish a valid
Certificate of Exemption at the time of execution of the Proposal or such taxes will be charged.
Buyer agrees to pay an extended credit charge of 1.5% per month, or any part of a month, on all invoices not paid within
30 days of the invoice date, as well as expenses, attorney fees and court costs which Seller incurs by reason of Buyer's
default.
Title to and ownership of merchandise will pass from Seller to Buyer when the full purchase price and all other charges
due under the Proposal and all invoices are paid in full. Until title passes to Buyer, Seller shall have a purchase money
security interest in the merchandise, including all additions and replacements thereto and the proceeds thereof, to
secure Buyer's performance of all such obligations.
All sales, use, excise, and other applicable taxes from the purchase and sale of merchandise are Buyer's responsibility
and will be invoiced to Buyer. If Buyer claims an exemption from such taxes, it shall be Buyer's responsibility to furnish
an appropriate exemption certificate to Seller.
In the event Buyer defaults in the payment of any sum due Seller, or in the event Buyer's financial condition becomes
unsatisfactory to Seller, Seller shall have the right at its option, upon notice to Buyer, to defer or discontinue shipment of
merchandise until such time as the default is cured or Buyer provides assurance of payment to Seller in such form,
content, and/or amount as Seller, in its sole discretion, deems adequate, and in such case any merchandise then in

Limited Warranty
BUYER UNDERSTANDS AND AGREES THAT SELLER PROVIDES NO WARRANTIES ON THE INSTALLATION OF
THE MERCHANDISE UNLESS OTHERWISE AGREED BY THE PARTIES IN WRITING. BUYER WILL RECEIVE THE
BENEFIT OF ANY WARRANTY PROVIDED BY THE MANUFACTURER AND/OR SUPPLIER OF ANY MERCHANDISE
PURCHASED BY BUYER, BUT THE EXPRESS WARRANTY OF GOOD TITLE TO THE MERCHANDISE IS THE

Damages
In no event shall Seller be liable for special, indirect, or consequential damages in connection with or arising out of the
furnishing, installation, performance or use of any product or service covered by any Proposal.
Governing Law; Dispute Resolution
This agreement shall be governed by and construed according to the laws of the State of Illinois, without regard to its
choice of law provisions. In the event any dispute arising out of or relating to a Project, any terms of this Agreement, or
the breach, termination of validity hereof, cannot be resolved within thirty (30) days from notice from one party to the
other, said dispute shall be settled by mediation and, if necessary, legally binding arbitration conducted by a conciliation
or alternative dispute resolution service appointed by the parties in DuPage County, Illinois. If the parties cannot agree
on a mutually acceptable alternative dispute resolution service within ten (10) days after the expiration of said 30 -day
period, the alternative dispute resolution service shall be appointed by Seller's counsel. The parties understand and
agree that these methods shall be the sole and exclusive remedy for any such dispute and expressly waive their right to
file a lawsuit in any civil court, or a proceeding in any administrative body, against one another for such disputes, except
to enforce an arbitration decision. Any costs of the mediator and/or arbitrator incurred hereunder shall be paid equally by
the parties. Jurisdiction and venue for enforcement of an arbitration decision shall reside in the courts located in DuPage
County, Illinois.
No Other Agreements
These Terms and Conditions of Sale supersede any terms and conditions appearing on Buyer's purchase order, any
other documents, all verbal communication and/or understandings related thereto, and are valid for all future orders
unless otherwise agreed by both parties in writing.
