The Program provides the opportunity for residents and small businesses
("Customers"") participate an approved community solar subscription vetted !'

Commercial Terms
The Program has standardized most of the commercial terms for participants.
Municipalities that join the Program earlier are in a position to receive more
favorable terms from the solar developers, like 20 percent of net metering credits.
In addition to standard terms, staff added a program element that one low-income

Attached are the proposed commercial terms. The Power Bureau is in the process
of presenting these terms to supplier. Terms may change, particularly the "no
subscription fee" option, based on supplier responses.
Resolution Approving Participation
The CS2 Program require s participating municipalities to pass a resolution
approving participation in the CS2 Program. Approval of the resolution is the
recommendation of this agenda item.
Endorsement Letter
The Illinois Power Agency requires that parties that endorse a community solar
offer submit an Endorsement Letter. The Illinois Power Agency must approve MC
Squared's offer to the Village and the letter authorizes MC Squared to represent
that the Village ! •rses the community solar! l • offer. Attached is a
draft endorsement letter.
Marketing Desi
The Illinois Power Agency requires that parties that recommend community solar
subscriptions to consumers be registered as Marketing Designees - including
municipalities. The Village would register as a Marketing and Sales organization.
The Village would be responsible to comply with IPA's Marketing Guidelines which
generally includes providing accurate statements regarding community solar,
subscription offers . • customer savings.

MUNICIPAU°°ry SPONSORED RESIDEN°°lid L PROGRAM OFFER'. VILLAGE OF MOUNT PROSPECT
Account Eligibility
Residential and Small Commercial accounts that receive service on the ComEd Fixed
Default rate and have more than 400 kWh in annual metered consumption.
Initial Term:
Two (2) year terms with subsequent 2 -year renewables for a period of up to twenty
(20) years beginning on the successful enrollment of the Subscription by Utility. All
conditions to remain constant through subsequent contract term extensions.
Subscription Size:
The Subscription is sized based on Subscriber's historical usage to comply with Net
Metering Law. The Subscription may be adjusted up or down upon mutual agreement
of Subscriber and the Community Solar resource Owner in the future based on
Subscriber's electricity usage. Subscriber will be notified in advance of any proposed
adjustment to the Subscription based on usage and may increase or decrease its
Subscription only upon written agreement.
Monthly Billing:
Subscriber will continue to be billed by the Utility and will receive monthly invoices
from the Community Solar Owner's Billing Administrator for 80% of the Bill Credits
received on the municipal utility bill
Subscription Price
Estimated Discount: Subscriber will receive 20°0 of the net Bill Credits. Actual
and Fees:
savings—and monthly payments—may vary based on the Net Metering Tariff, the
total production of the Project, and the proportion of the Subscription to the
Nameplate Capacity of the Project.
Fees and Other Charges: Beyond the subscription price payable to Owner above,
there are no other fees payable to Owner.
No Charge Subscriptions: One low-income household will receive a subscription with
no subscription fee for every 20 regular 20% subscriptions.
Security Deposit:
$0
Early Termination;
Subscriber may cancel the Subscription Agreement at any time by providing at least
Early Termination
thirty (30) calendar days' notice to Owner.
Fees:
$0 with thirty (30) calendar days' advance written notice
No Guarantee:
This Agreement does not guarantee a minimum level of performance by the Project
or minimum quantity or value of Bill Credits.
Transferability:
If the Utility Account Service Address identified above changes for any reason,
Subscriber must provide written notice to Owner.
Privacy Policy:
Owner will not provide customer's information obtained under this Agreement to
third parties except as necessary to administer this Agreement.
Project Production:
Actual production will be based on several factors; Owner is not guaranteeing
minimum or maximum production during any time period.
Resource Availability:
Community solar subscriptions will be assigned to accounts as community solar
projects commence operation throughout 2021.

RESOLUTION NO. -21
A RESOLUTION ENDORSING THE COMMUNITY SOLAR CLEARINGHOUSE
SOLUTION PROGRAM
WHEREAS, the Metropolitan Mayors Caucus provides aforum for the chief elected officials
of the Chicago region to develop consensus and act on common public policy issues and
multi jurisdictional challenges; and
WHEREAS, the Metropolitan Mayors Caucus has a history of environmental stewardship,
from energy efficiency, water conservation, urban forestry, and participation in the Greenest
Region Compact; and
WHEREAS, it is important for Mayors and local governments throughout Illinois to take
leadership roles to advance sustainability both in their own communities and in concert with
regional, national and global initiatives; and
WHEREAS, to facilitate local support of new solar development in Illinois, the Metropolitan
Mayors Caucus created the Community Solar Clearinghouse Solution (CS2) Program
(herein "Program") which will allow residents to support the development of shared solar
resource in Illinois without the need to install solar panels on their homes and properties
through subscriptions; and,
WHEREAS, The Program will assist the Village of Mount Prospect in its ongoing effort to
provide residents with access to sustainable energy solutions that enhance the quality of life
for residents along with protection and stewardship of the environment and sustainable
economic vitality; and
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES
OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS ACTING IN THE
EXERCISE OF THEIR HOME RULE POWERS:
SECTION ONE: The Village endorses the Community Solar Clearinghouse Solution (CS2)
Program proposed by the Metropolitan Mayors Caucus and agrees to educate and inform
residents regarding its availability; and
SECTION TWO: Staff is hereby authorized and directed to execute any necessary
documents to assure access for residents of the Program
SECTION THREE: That this Resolution shall be in full force and effect from and after its
passage and approval in the manner provided by law.

Dear Mr. Sutton,
We are pleased to inform you that we have reviewed your proposed community solar subscription
program terms for an offer available to all Village of Mount Prospect ("Village") residents, and
we are authorizing MC Squared Energy Services, LLC ("MC Squared") to represent that the
Village endorses the community solar subscription offer.
We understand that in order to claim that the Village endorses a community solar subscription
offer in a system participating in the Illinois Power Agency's ("IPA") Adjustable Block Program
("ABP"), the IPA or its designee must approve MC Squared's offer to our residents (on behalf of
the "Approved Vendors" for those community solar systems). We understand that the IPA has
granted this approval for similar subscription programs. We are writing this letter in support of
MC Squared's pending request for such approval for the Village of Mount Prospect.
On March 16, the Village Board voted to grant Village Administration the ability to endorse a
community solar subscription program for residential and small commercial customers within the
Village's limits. The key terms of the offer, for which the Village grants MC Squared and
associated (1) Approved Vendors the right to claim the Village's endorsement, include:
• The subscriber is guaranteed to save/retain an amount equal to [XX]% of the
net metering credits as long as the customer is receiving electricity supply
service on the Commonwealth Edison bundled electricity supply service;
• A customer may terminate at any time upon 60 days' notice;
• There are no early termination fees; and
• MC Squared will handle invoicing and customer care on behalf of the project.

The endorsed subscription offer may be for any community solar project within the
Commonwealth Edison service territory that is participating within the IPA ABP where MC
Squared is providing subscriber acquisition, subscriber management/customer care, and invoicing
services to the system.
This letter does not obligate the Village to undertake any additional actions on behalf of MC
Squared with regard to the endorsed subscription offer, including but not limited to an opt -out
municipal aggregation pursuant to Section 1-92 of the Illinois Power Agency Act. It is the
exclusive responsibility of MC Squared and the associated Approved Vendors to remain in
compliance with the requirements of the IPA's Adjustable Block Program.
The Village may revoke its endorsement at any time. In such event, MC Squared and associated
Approved Vendors shall promptly take steps to remove any marketing materials claiming the
Village's endorsement.
