Boesche and Evelyn P. Boesche, his wife (hereinafter "the .Seller"); I WITNES SETH *- WHEREAS,, the corporate authorities of the Village have determined that it is advisable., nec'essary and in the public interest that the Village purchase forpublic Purposes the property commonly known as 117 East Prospect Avenue, Mount Prospect, Illinois, and legally described as follows: together with Lot 1 in J. A. Weber ts Addition to Mount Prospect,, being a Subdivision of part, of the East 1/2 of the Northwest 1/4 Section 12, Towns,bi,p 41 North, Range 11 East of the Third PrIncapa-1 Meridian, in Cook County, Illinois', (hereinafter "the- Boesche Property,,); and .t WHEREAS, the Seller has agreed to sell the Boesche Property to the Village as hereinafter provided,- - 2 - NOW THEREFORE, in consideration of the mutual covenants and agreements hereinafter contained and other valuable consideration, it is mutually agreed between the Seller and the Village as follows: 1. The Seller agrees to sell the Boesche Property to the Village and the Village agrees to purchase the Boesche Property from the Seller for the sum of One Hundred Sixty -Five Thousand and no/100 dollars ($165,000.00). 2. The Village has paid Five Thousand and no/100 dollars ($5,000-00) as earnest money to be applied on the purchase price, and agrees to pay or satisfy the balance of the purchase price, plus or minus prorations, at the time of closing in cash or certified or cashier's check. S. The Seller shall, at closing, convey the Boesche Property to the Village by a stamped warranty deed, with re- lease of homestead rights, subject only to: (a) covenants, conditions and restrictions of record; (b) private, public and utility easements and roads and highways, if any; (c) special* taxes or assessments for improvements not yet completed; (d) any unconfirmed special tax or assessment; (e) installments not due at the date hereof of any special tax or assessment for improvements heretofore completed; and (f) general taxes for the year 1979 and subsequent years. 4. 1:2.1osing shall be on August 29, 1980 or on the date, if any, to which such time is extended by reason of paragraph 3 hereafter becoming operative (whichever date is later) unless subsequently mutually agreed otherwise by the Seller and the Village, at , provided title is shown to be good or is accepted by the Village. S. The Seller shall deliver possession to the Village on or before thirty days after the sale has been closed. The Seller agrees to pay to the Village the sum of dollars ($ ...... for each day the Seller remains in posses- sion between the time of closing and the time possession is 6. The Seller, at his own expense, agrees to furnish the Village a current plat of survey of the Boesche Property made, and certified by the surveyor as having been made, in compliance with the Illinois Land Survey Standards. 7. The Seller shall deliver or cause to be delivered to the Village or the Village's agent, not less than 5 days prior to the time of closing, the plat of survey required to be delivered under paragraph 6 of this contract and'a title com- mitment for an owner's title insurance policy issued by the Chicago Title Insurance Company or another equally reputable title insurance company in the amount of the purchase price, covering title to the Boesche Property on or after the date hereof, showing title in the intended grantor subject only to (a) the general exceptions contained in the policy, (b) the title exceptions set forth above, and (c) title exceptions pertaining to liens or encumbrances of a definite or ascer- tainable amount which may be removed by the payment of money at the time of closing and which the Seller may so remove at that time by using the funds to be paid upon the delivery of the deed (all of which are herein referred to as the permitted exceptions). The title commitment shall be conclusive evidence of good title as therein shown as to all matters insured by the policy, subject only to the exceptions as therein stated. The Seller also shall furnish the Village an affidavit of title in customary form covering the date of closing and showing title in the Seller subject only to the permitted exceptions in foregoing items (b) and (c) and unpermitted exceptions or defects in the title disclosed by the survey, if any, as to which the 'title insurer commits to extend insurance in the manner spec-ified in paragraph 8 below. a. If the title commitment discloses unpermitted exceptions, the Seller shall have 30 days from the date of delivery thereof to have the exceptions removed from the commitment or to have the title insurer commit to insure against loss or damage that may be occasioned by such ex- ceptions, and, in such event, the time of closing shall be 35 days after delivery of the commitment or the time specified in paragraph 4 above, whichever is later. If the Seller fails to have the exceptions removed, -or in the alternative, to obtain the commitment for title insurance specified above as to such exceptions within the specified time, the Village may terminate 'this contract or may elect, upon notice to the Seller within 10 days after the expiration of the 30 -day period, to take title as it then is with the right to deduct from the purchase price liens or encumbrances of a definite or ascer- tainable amount. If the Village does not so elect, this con- tract shall become null and void without further actions of the parties. 9. Rents, premiums under assignable insurance policies, water and other utility charges, fuels, prepaid service contracts, general taxes, if any, and other similar items shall be adjusted ratably as of the time of closing. If the amount of the current general taxes is not then ascertainable, the adjustment thereof shall be on the basis of 110% of the amount of the most recent ascertainable taxes. All prorations are final unless otherwise provided herein. Existing leases and assignable insurance policies, lif any, shall then be assigned to the Village. The Ser ler shall pay the amount of any stamp tax imposed by State . 5 - law on the transfer of the title, and shall furnish a completed Real Estate Transfer Declaration signed by the Seller or the Seller's agent in the form required Pursuant to the Real Estate Transfer Tax Act of the State Of Illinois and shall furnish any declaration signed by the Seller or the Seller's agent or meet other requirements as established by any local ordinance with regard to a transfer or transactions tax; such tax required by local ordinance shall be paid by the party upon who such ordinance places responsibility therefor.. If such`ordinance does not so Place responsibility, the tax shall be paid by the Seller. 10. The Seller warrants that the Seller, its benefi- ciaries, or agents of the Seller Or Of its beneficiaries have received no notices from any city, village or other govern- mental authority of zoning, building, fire or health code violations in respect to the real estate that have not been heretofore corrected. 11. The Provisions of the Uniform Vendor and Purchaser Risk Act of the State of Illinois shall be applicable to this contract. 12. The earnest money shall be held by for the mutual benefit of the parties. 13. If this contract is terminated without the Village's fault, the earnest money shall be returned to the Village, but if the termination is caused by the Village's fault, then at the option of the Seller and upon notice to the Village, the earnest money shall be forfeited to -the Seller and applied first to the payment of Seller's expenses; the balance, if any, to be retained by the Seller as liquidatedodamages, which shall be the Seller's sole remedy. -ft- 6 - 14. At the election of the Seller or the Village upon notice to the other party not less than 5 days prior to the time of closing', this sale shall be closed through an escrow with Chicago Title and Trust Company, in accordance with the general provisions of the usual form of Deed and Money Escrow Agreement then in use by Chicago Title and Trust Company, with such special provisions inserted in the escrow agreement as may be required to conform with this contract. Upon the creation of such an escrow, anything herein to the contrary notwith- ' standing, payment of purchase price and delivery of deed shall be made through the escrow and this contract and the earnest money shall be deposited in the escrow. The cost of the escrow shall be divided equally between the Seller and the Village. 15. Time is of the essence of this contract. 16. Twenty-elight (28) contractors and suppliers picked up plans and spec- ifications for this project (see enclosed list). Our office has reviewed the submitted bids. The low bid of $327,600.00 was submitted by Keno & Sons Construction Company from Highland Park. This bid was 1.5% higher than the engineer's estimate of $322r655.00. The high bid was 9.2% over the engineer's est,imate. An Alternate A bid was also received. Alternate A deleted Items 1E, 2D and 3E (painting and cathodic protection). The same contractor was low bidder on Alternate A. The: bid for Alternate A was $313,600.00, $14,00.00 less than the bid. It is our educated opinion that for a savings of $14,000.00 'it would not be to the Village's advantage to delete the painting and cathodic protection from this project. Keno & Sons Construction Company is well regarded as is evident after checking their extensive list of references. Dressen, Chairman SUBJECT: Proposal To Allow For No -Smoking Areas In Restaurants DATE: June 26, 1980 Managers or representatives of 50% or 35 of the 71 restaurants or food service establishments within the Village of Mqpnt Prospect were contacted directly by a member of the Board of Health regarding the establishing of a non-smoking area within each facility. Eight of the restaurants checked were found to have non-smoking areas and three used air purifiers- for smoke elimination as shown on the accompanying classifica- tion list. Sixteen were amenable to either establishing a non-smoking area or did not consider it a problem in their establishment because of their ability, upon request, to seat people in a -vented or smoke free area. Eight of the managers contacted objected in principal, because of their clientele or because of the limited amount of available space within the facility. In almost all cases managers of restaurants not havinq non-smoking sections have not encountered problems because of the lack of a non-smoking area. Our canvass would suggest that most restaurants listed in Item 2 of the classifi- cation would voluntarily set a -side a non-smoking section upon request of the Village Trustees, either directly or through the Chamber of Commerce.
