Burghard, Village Manager FROM: Martha H. Peppler, Director of Management Services DATE: March 13, 1981 Re: Prodedures for Tax Anticipation Notes for the Library Attached is a letter from Ron Norene, financial consultant, describing the procedures for issuing tax anticipation notes and warrants. Based on this information, tax anticipation notes appear to have the most advantages for the Library. In addition to the lower interest rates, notes present fewer paper -work problems to issue and to administer. Based on Mr. Norene's letter and the cash-flow projections which the Library provided, I have calculated the note expenses and the interest which can be earned during the period of the note. The attached cash-flow chart details the Library Fund on a monthly basis for the next two fiscal years. It is anticipated that the notes will need to be issued in early June; the notes will mature in November, 1982. With judicious investment of the Library cash balances, there should be little or no net interest costs to the Library. Market conditions throughout the term of the note and the interest rate that will have to be paid on the note, will affect the cash balances as presented, The law provides that the tax anticipation notes can be issued only for ' levies that have not yet been collected, thus we can only issue notes against the levy for 1981, which will be collected in 1982. Generally, the Village passes the levy in early September to meet the deadline set by State law. This year, in order to issue the notes for the Library, the levy will have to be passed in May to issue the notes in June. The following schedule will be necessary in order to meet the Library's cash-flow require- ments for June: May 4, 1981 First Reading of Tax Levy Ordinance May 19, 1981 Passage of Tax Levy Ordinance First Reading of Note Ordinance May 29, 1981 Note Bid Opening June 2, 1981 Passage of Note Ordinance June 5, 1981 Publication of Note Ordinance June 8, 1981 Note Closing; receive note proceeds. March 5, Mrs. Martha H. Peppler Director of Management Services Village of Mount Prospect Village Hall 100 South Emerson Street Mount Prospect, Illinois 60056 Dear Martha: z I understand that the Library's cash flow this year is such that C it will need an influx of borrowed funds. z On the assumption that C/) other Village funds are not available for that purpose, the Village 3? Z _n r- 0 will have to borrow funds on behalf of the Library. Those funds would 0 z be borrowed in anticipation of the receipt of property taxes and on > z < z that basis could be obtained either through the issuance of tax antici- 0 M z pation warrants or general obligation tax anticipation notes. 0 LL 0 z (n C<L The amount of either tax warrants or tax notes that may be issued 0 relates to the total amount of taxes that have been levied for the z > z Fund against which the proposed borrowing will be mades As this bor- --A rowing is proposed for the Library, the maximum amount of notes that may be issued is 85% of the Library levy provided that to comply with federal arbitrage regulations,, the maximum dollar amount is equal to the highest monthly negative cash flow plus the next month's expendi- tures. Arbitrage regulations also provide that the maturity of the notes cannot be later than 60 days after the second installment of taxes is due - for practical purposes, October 1. The maximum amount of warrants that may be issued is 75% of the levy and as warrants are payable and must be paid from the first taxes collected, they do not have a maturity date and there are not the same arbitrage considera- tions. As of right now, Notes could only be issued against the 1981 levy, collect 1982. Warrants though could be issued against either the second installment of 1980 taxes or the 1981 levy. If the 1981 levy has not been made and cash will be needed before it is made you would have to anticipate with warrants the second installment of 1980 taxes. The maximum you could anticipate would be 75% of the 1980 Library levy less the amount received as the first installment this year. 1944 Burr Oak Drive, Glenview, Ill. 60025 - Area 312-998-9848 R. V. NORENE & Associates, Inc. There are several reasons why notes are the better financing ve- hicle. Whereas warrants are a lien against the specific property tax levied (and if it is never collected, as occurred in the 30's, too bad for the holder), notes are a general obligation of the issuer secured by unlimited ad valorem property tax (in fact what happens is the levy for which you are issuing the notes is reduced on a dollar for dollar basis with the new levy for the notes, so there is no double taxation). Also, whereas warrants must be called and paid from the first tax re- ceipts of the levy before that levy can be used for its stated purpose,, notes have a fixed maturity -- investors obviously prefer a fixed ma- turity date for their own cash flow planning. Finally, the holder of a warrant has an investment for which there is little, if any, second- ary market beyond the interested financial institutions within the corporate limits. The note holder has a general obligation which has all the usual secondary market benefits of general obligations. I've enclosed for your general information a copy of the Note Or- dinance adopted by the City of Evanston for its General Obligation Note issue in 1980 (a portion of which was for public library purposes). I've also enclosed a copy of the Arbitrage Certificate applicable to the library portion of that issue. Finally, I've enclosed a copy of the Tentative Financing Timetable which I prepared for that issue to show you the sequence of the introduction and adoption of the Tax Levy Ordinance and the note sale. Please do not hesitate to call if you have any questions. RVN/ps Enclosures (3) (2) Yours truly, ILU-U- President R. V. Errerson Street Mount Prospect., 11. 60056 Dear Mrs. Krause: February 27, 1981 I -JAR 2 1881. Please be advised that the Board of Directors, Northwest Suburban Water System, on February 26, 1981, took formal action on several Matters two of which are of particular importance to your Mta3icipali ty. First, the Board of Directors accepted and approved the preliminary engineering report entitled Volume III, Preliminary Engineering Analysis Report., dated December 1980, as prepared by Metcalf & Edd-YlMc Donough Engineering. Upon a voice vote., the approval was unanimous with the exception that Buffalo Grove voted "present". Second, the Board of Directors determined that the 30 -Day Notice prior to the authorization to prepare final -detailed engineer- ing plans and documents is to be given to each Municipality on February 27., 1981 that on April 3,, 1981 authorization will be given to prepare the final engineering plans and documents. Upon a roll call vote the motion was approved as follows: AYES: Elk Grove Village, Schaumburg, Rolling Meadows and Mount Prospect (4). NAYS: Hoffman Estates, Hanover Park and Streamwood (3). Buffalo Grove voted "present". Therefore, in accordance with Section 4 of the Northwest Suburban Water System Agreement, the Board of Directors hereby gives formal Notice to the Corporate Authorities of your Municipality, that the 30 -Day Notice is given that on April 3, 1981 the Board of Directors will authorize the preparation of the final engineering plans and documents which will be in general conformity with the vol um III, Preliminary Engineering Analysis Report dated December 1980. Please note that Section 4 of the Northwest Suburban Water System Agreement also provides that "Prior to the date when the Board of Directors so authorizes the preparation of final engineering plans and documents, any Municipality may withdraw from the "Venture by giving written notice of such withdrawal to the Chairman of the Board of Directors and to each Municipality. The notice shall be in the form of a certified SCHAUMBURG ELK GROVE VILLAGE HOFFMAN ESTATES BUFFALO GROVE ROLLING MEADOWS MOUNT PROSPECT HANOVER PARK STREAMWOOD copy of an ordinance passed by the withdrawing Municipality's corporate authorities. The Chairman of the Board of Directors is Charles j. Zettek,, Village President, Elk Grove Village. Member Municipalities of the Northwest Suburban Water System are: Schaumburg, Hoffman Estates, Elk Grove Village, Rolling Meadows., Mount Prospect, Buffalo Grove, Hanover Park and Streamwood. This communication is also being sent to Citizens Utilities Company of Illinois who should take similar Notice of the foregoing action and, because of its past and current participation in the Planning process and interest in purchasing water from the Northwest Suburban water system, should be prepared to communicate an official Corporate statement if it (Citizens Utilities) wishes not to continue in the VENTURE project. The Company should observe the 30-Day Notice period as well as the procedures for ceasing to participate after the established deadline. The foregoing Notice is being sent to all named parties (Member Municipalities and Citizens Utilities Company of Illinois) upon the authorization of the Board of Directors of the Northwest Suburban Water System. WILLIS, Chairman Exec u ti ve Commi t tee c: Executive Committee Consultants Village of Mount Prospect Mount Prospect, Illinois INTEROFFICE MEMORANDUM TO: MAYOR AND BOARD OF TRUSTEES FROM: VILLAGE MANAGER DATE: MARCH 9, 1981 SUBJECT: ADDITIONAL REPAIRS WELL #11 Attached is a memo from the Director of Public Works recommending some additional expenses for the repair of Well #11. You may recall that this Well was repaired this time last year and it failed in December. At the time of the failure, the Board authorized repairs not to exceed $25,000. The manufacturer is repairing the Well bowl at their expense because of the warranty, however, they are concluding that its failure was due to electrolysis. While we have never experienced electrolysis problem with this Well previously, we can substantially reduce this risk by an additional expense of $4,500. This is the least expensive alternative and I recommend its approval. If the Mayor and Board agree with the recommendation, we would, ask that authorized repairs for Well #11 not exceed $31,000. The Board previously approved expenses of $25,000. The, replacement pipe at $1,500.00 and the baked coating at $4,500.00 would, bring the total to $31,000. This .is one of the Wells that will eventually be phased out in 1984-1985, therefore, we feel the less expensive method is worth it. TERRANCE L. BURG HARD, TLB/rcw attachment Villag if Mount Prospect Mount Prospect, Illinois INTEROFFICE MEMORANDUM TO: Village Manager FROM: Director of Public Works SUBJECT: Well #11 Repairs - (Location - middle of Golf Course near inter- section of WeGo and Shabonee) DATE: March 6, 1981 On December 19, 1980 Well #11 failed and could not be restarted. At the time the exact reasons for the failure were not known and would not be known till the well was taken apart and examined more closely. So that I would be able to give your office a minimum estimate for repairs, a repair figure of $25,000.00 was presented. This was based upon the assumption that the bowlwas still under warranty and that the Village should only be liable for labor costs on pulling the well and incidentals such as mileage charges, cleaning and checking pipe, retaping, etc. On February 6, 1981 the pump was pulled and sent intact to the Johnston Pump Company in Amarillo, Texas for inspection. Their findings was that the fail- ure of the pump was caused by an electrolytic action in the well. There was also some wear to the bearings attributed to sand. This particular well has n,ever-.-"had a history of any problems with electrolysis and it is very difficult at the time to ascertain what caused the chemical imbalance, as all materials are essentially the same. The Johnston Pump Company has stated that they -will rebuild our bowl section in those areas damaged by electrolysis which includes replacement of 3 stages. They also are picking up the freight and inspection charges. However, they stated that even a rebuilt bowl assembly will not last long due to the electrolysis conditions in the well. In subsequent conversations with our we'll contractor, Wehlinq Well Works,, Inc. and the manufacturer, it appears that we have two options; one would be to put in a complete new bowl assembly made of brass at an additional cost of $31,000-00. This all brass bowl would eliminate the problem of dissimilarity in metals which normally is the cause of any electrolysis action. As that cost is substantially higher than I would want to recommend, the other alter- nate we have is to spray a coating on this bowl assembly and then bake it to 400 degrees. This process is designed to control corrosion. This coating would be installed in a factory in Chicago approximately three to six mil thickness. The Johnston Pump Company engineers, and our well contractor, assures me that by this practice, I should achieve at least two years of additional life to the pump if in fact their assumption of electrolytic action is corrected. In SUBJECT: Well #11 Repairs Page / 2 addition we will have to assume the cost on replacing the bronze bearings in the pump which were worn due to sand and could not be attributed to the pump product. Further, there were 3 lengths of column pipe which will have to be replaced as one of them also has a hole in it and the other two have damaged threads. The estimated cost of this work is as follows: Replacement Wear Rings $3f800.00 Replacement Column Pipe 1f500.00 Baked on Coating 4r500.00 These new figures place my total estimated repair costs at approximately $31,000.00, and this is $6,000.00 over the December 24,, 1980 board approved amount. I request authorization to have this work done as recommended as soon as possible. After receipt of order it will be a minimum of 4 weeks before I can have the baked on material installed and approximately another week to re- install the pump in the well. There are funds available in the current budget under well repair for this expenditure. HW: l Herbert L. Weeks Director of Public Works ADDRESS REPLY TO JOHNS1 ON PUPSI I-1 COMPANY P. 0. In order to facilitate this change in the most cost effective manner, the existing parking "meter" system was replaced with a master collection box system. At first this new system caused some confusion but this has now passed and the collection box is working most satisfactorily. As a result, I have the following used meters which were taken out of the commuter lots: 13 Single Head Units 211 Side -by -Side Units 47 Back to Back Units These meters have 13 hour time limits, 10 cents per hour or 12 hours for fifty cents; they will accept nickels, dimes, and quarters. I have talked to the manufacturer, Duncan Meter Co., regarding selling them back and they are definitely not interested. Also after making several phone calls to neighboring towns, there seems to be a very poor resale value to these meters, if any. There is however, one possible solution in which to dispose of these meters and recapture some of our investment. The Public Works Open House is scheduled for Saturday, May 16, 1981 and I would suggest we offer these meters for sale, at a set minimum value, back to the citizens. People could use them as a conversation piece, install one in their driveway, make a lamp or bank out of one, etc. This would also act as a drawing card for people to attend and I will also have some conversion examples on exhibit. Therefore, I recommend the Village Board pass the attached ordinance declaring these meters surplus and available for sale at our Public Works Open House A- on Saturday May 16, 1981. I still have 23 single head meters in service at the center railroad commuter parking lot plus an adequate supply of replacement meters and parts which I intend to hold. Glen R.
