AN ORDINANCE RENAMING A PORTION OF A STREET WITHIN
—THE'CORPORATE BOUNDARIES OF THE VILLAGE OF MOUNT PROSPECT
WHEREAS, the President and Board of Trustees of the Village of
Mount Prospect have annexed certain land and territory to the
Village of Mount Prospect; and
WHEREAS- the President and Board of Trustees of the Village of
WHEREAS;
Mount Prospect have reviewed the names of certain streets in
the newly annexed area, being the subject of this Ordinance; and
WHEREAS, the President and Board of Trustees of the Village of
Mount Prospect believe it to be in the best interest of the
Village that a certain street name be changed.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS:
SECTION ONE:, That pursuant to the authority granted to the
Village of Mount Prospect under the Illinois Revised Statutes,
the name of the following street located as indicated below in
Township 42N, Range 11, East of the Third Principal meridian,
Cook County, Illinois, which street, being a cul de sac, is
presently t named Mamiya Drive and is hereby re -named so that
the portion of Mamiya Drive approximately 560 feet north of
the center line of Business Center Drive shall be known as
MAMIYA COURT and the balance of the cul de sac, being the
'bulb' of the cul de sac is hereby named BTERMANN CIRCLE,,
all of which is located within the West Half of the Northeast
Quarter of Section 35, Township 42N, Range 11 East of the
Third Principal Meridian, in Mount Prospect, Cook County,
Illinois. A map of the street name change as set forth
herein is attached hereto and hereby made a part hereof.
SECTION TWO: The Village Clerk is hereby direct@d to notify

WHEREAS, Mr. and Mrs. Jack Lococo, owners of certain,prop-
erty hereinafter described, located at 1761 Corktree Lane, in
the Village of Mount Prospect, Illinois, have filed an appli-
cation seekinq a variation for the provisions of Section 14.1102.*
of Chapter 14 of the Village Code of Mount Prospect, Illinois,
pertaining to the minimum rear yard area required in an R-1
Single Family Residence District; and
WHEREAS, the subject property is described as follows:

In'AEREAS, the Community Development Department of the
Vill-age of Mount Prospect has made application to rezone
certain property owned by Raymond H. and Florence J. Huntzicke
of 1105 Cora Street, Des Plaines, Illinois, and located at
33 West Kensington Road in the Village of Mount Prospect,
Illinois (hereinafter referred to as the "subject property")
from its Present zoning classification in the B-3 Business,
Retail and Service District to the R-1 Single Family Residence
District, as provided in Article VIII of Chapter 14 of the
Village Code of Mount Prospect, Illinois; and *
WHEREAS, the subject property is legally described as
follows:
Lot 1 in Huntzicker Subdivision, being a sub-
division in the Northwest Quarter of the North-
west Quarter and of the Northeast Quarter of
the Northwest Quarter of Section 34, Township
42 North', Range 11 East of the Third Principal
Meridian, in Cook County, Illinois.
WHEREAS, prior to 1973,, the subject property was zoned
in the R-1 Single Family Residence District, and in 1972
the owners thereof subdivided the subject property and the
lot adjacent thereto on the south (Lot 2) and thereafter ob-
tained a rezoning of the subject property from the R-1
Single Family Residence District to the B-3 Business, Retail
and Service District, for the purpose of establishing an
electronics service and sales store thereon; and
WHEREAS, at the time of said rezoning the subject prop-
erty was separated from the Single Family Residence Develop-
ment to the south by a Commonwealth Edison substation structur
and tower located on the adjacent Lot 2 of said Subdivision,
which substation served as a buffer between the residence
uses to the south and the subject property which was therefore
considered to be an appropriate site for the location of an
electronics service and sales store; and I
INHEREASF subsequent to said rezoning of the subject
r�xoperty, the same has remained vacant and the proposed
electronics sales and service store was never constructei
thereon; and
WHEREAS, the use of the adjacent property (Lot 2) to the
south of the subject property as an electrical substation and
tower, 'has been terminated and the substation structure has
*een removed; and
WHEREAS, in April, 1981, 4 revised Comprehensive Plan for
the Village of Mount Prospect was adopted which designated the
subject property to be more appropriately developed as a single;
family residence following the elimination of the incompatible
electrical substation structure; and
WHEREAS, in order to bring the subject property into con-
formity with the Comprehensive Plan of the Village, subject
application for rezoning the same from B-3 Business, Retail
and Service District to R-1 Single Family Residence District,
was filed; and
WHEREAS, a public hearing was held on said rezoning ap-
plication (designated as Case No. ZBA-29-Z-82) before the
Zoning Board of Appeals of the Village of Mount Prospect on
the 26th day of August, 1982, pursuant to proper publication
of due notice thereof in the Mount Prospect. Herald, on
August 10, 1982; and
WHEREAS, the Zoning Board of Appeals has forwarded its
finding and recommendation to the Board of Trustees of the
Village that the requested rezoning be denied, and the President
and Board of Trustees have considered said application and
the finding and recommendation of the Zoning Board of Appeals
pertaining thereto, and have determined that the best interests
of the Village of Mount Prospect would be obtained by the
adoption of the necessary ordinance to accomplish said rezoning
in conformity with the Comprehensive Plan of the Village.

The petitioner is requesting variations from Sections 14.1102.A.
and 14.2062.B. in order to enlarge his existing driveway in the
required front yard by 6 feet to provide another off-street
parking space. The subject resident has a one -car attached
garage and has insufficient side yard to permit either an addition
to the garage or a driveway to the rear. Mr. Markham stated that
he had a child that would be approaching driving age and would
have his own automobile and a parking space would be needed for
this vehicle. Mr. Viger inquired as to whether or not there was
a maximum size of driveway in any of the Village ordinances and he
was advised that there was no maximum size. Mr. Viger also
pointed out that there are two definitions of front yard in the
Zoning Ordinance and was advised that it was a codifying error.
Chairman Basnik went through the findings of fact and the
Zoning Board of Appeals determined that the petitioner did have
a hardship in that he had a one -car garage and could not provide
additional off-street parking.
The motion to grant the petitioner's request to widen the
driveway six feet to the North was moved by Mr. Cassidy, seconded
by Mr. VanGeem, with a vote of 6-0 in favor of granting the
request.
Mr. Fritz, Director of Community Development, asked the Zoning
Board of Appeals to consider the advisability of an amendment
to the Zoning Ordinance which would permit driveways of a certain
maximum width with special consideration to such issues as
drainage, etc. provided specific standards to be developed could
be met.

highways, then the license fees provided
for in Section 17.103. shall be due and pay_

established, or such vehicle is removed
from storage and placed in use and opera-
tion upon the streets and highways of this

Sealed bids were publicly opened on September 27, 1982 for
the proposed installation of thermal windows on the Senior
Center Building. We are proposing to replace all the exist-
ing metal single glazed windows with an aluminum constructed
double hung and/or picture window combination including
polyurethane thermal breaks, 7/8" insulated glazing and 1/2
screens.This installation will eliminate the current frost-
ing of windows that occurs during the winter months because
of the tremendous heat loss that is occurring. Bid tabula-

The remaining $442 will require a request for reprogramming which
would also be taken from the Contingency Account, but 'could take
up to two to three weeks for approval. Due to the short time we
have before cold weather, I would request authorization to charge
the $442 against the $4,500 we have budgeted on Page 78 for
Senior Center Building Maintenance should we not receive approval.
This will enable the contractor to order the windows immediately

A `request for the installation of a, traffic signal at the ALGONQUIN ROAD AND
intersection of Algonquin Road and Bri arwood Drive was BRIARWOOD DRIVE
reviewed at the November 2, 1981 meeting. At that time,
it was determined the traffic flow on Briarwood Drive
did not warrant the installation, but recommended that
another traffic count be taken at a later date. In July,
1932, new traffic counts were taken and indicated that a
traffic signal is still not warranted. A motion was made
by Commissioner Beening, seconded by Commissioner Frank
that no action be taken.

NEW BUSINESS
A. A request from Mrs. Domek, 507 N. Pine Street to prohibit GREGORY ST. BETWEEN
parking on Gregory St. between Main St. and Wille St. was MAIN ST. AND WILLE
reviewed. The Commission concurred`w-th the request in parte
based on the width of the street ( 24 feet) and the traffic
signal at the intersection. A motion was made by Commissioner
Beening, seconded by Commissioner Frank to recommend NO
PARKING. ANYTIME on Gregory St. from Main St. to a point 150
feet west of Main St. '

B. A request from Mrs. Dinkelkamp, 200 Orchard Place for mid -block ORCHARD PLACE
street lighting on Orchard Place was reviewed. After being
informed there are no utility easements from the rear yard easement
to the parkway, Mrs. Dinkelkamp stated she would inquire from her
neighbors if someone would grant the easement and then contract
the Village Engineering staff.
C. Apetition signed by 22 of the 36 owners of townhomes 'in the area ALBERT STREET
1 N
was received from Mrs. Owens, 58 N. Albert St. to revise the BETWEECENTRAL
parking restrictions on Albert St. between Central Road and ROAD AND HENRY T.
Henry St. The Commisssion concurred with'the request based on
the fact, this area has changed in the last few years with the
Rand/Central/Mt.Prospect Road improvement and the remodeling
of a drive in restaurant to a sit d"6wn only restaurant. A motion
by Commissioner Beening, seconded by Commissioner Frank was made
to recommend deleting the NO PARKING 6:00 P.M. to 6:00 A.M.
(Sec. 18.2010) from the Traffic Code and to have the standard NO
PARKING 2.-00 A.M. to 6.-00 A.M.
Motion was passed unanimously.
D. A request from Ms.Komarda, 619 S. Albert Street for a FOUR-WAY COUNCIL TR, AIL AND
STOP at the intersection of Council Trail and Albert Street was ALBERT STREET
reviewed. Presently, -;"-.,he intersection is TWO-WAY STOP on Albert
Street. Ms.Komarda stated it is difficult to enter the inter-
section because of the speed of the vehicles on Council Trail
and the number of vehicles that use this route to avoid the con-
gestion at the intersection of Mt.Prospect Road, Prospect Avenue
and Northwest Highway. Chairman Mitchell indicated the new traffic
signals at that intersection would be in .operation in the next few
weeks which should reduce the amount of traffic on Council Trail
and asked the engineering staff to check the signage and the police
staff to patrol for speed violatiors .
E. Apetition signed by eight _of the ten, homeowners in the area was DOGWOOD LANE
received from Mr.Simenson, 1132 Juniper Lane, requesting the AND JUNIPER LN.
installation of a street light at the intersection of Dogwood
Lane and Juniper Lane. Homeowners for and against the light dis-
cussed the advantages and disadvantages they believe the light
would have on their neighborhood. The majority of the homeowners
affected are in favor of the light,,,and for safety the Village
eventually would like every intersettion.illuminated, therefore,
a motion was made by Commissioner Frank, seconded by Commissioner
Beening to recommend the installati'bn of a street light,,'at the
southwest corner of Dogwood Lane and Juniper Lane.

SECTION ONE: There has been submitted to this Board by Opus

Illinois Gas Company, a certain Plat and Easement Agreement
designated "Drainage, Recreation and Access Easement Agreemen-'7,"

This Agreement is made this day-of
1982 by and between Opus Corporation, a Minnesota corporation,
authorized to transact business in Illinois as Opus Designers,
Builders, Developers, Inc., (formerly known as Rauenhorst
Corporation ("Opus"), Alscor Investors Joint Venture,, a
joint venture ("Alscor"), American National Bank And Trust
Company of Chicago, not personally, but solely as Trustee
under a Trust Agreement dated the 10th day of February, 1979
and known as Trust No. 45771 (the "Trustee"), Northern
Illinois Gas Company, an Illinois corporation ("NI-Gas"') and
the Village of Mount Prospect, an Illinois municipal corpora-
tion (the "Village"),,
W I T N E S S E T H
WHEREAS, Opus is the owner of various parcels of
real estate which are located in Cook County, Illinois and
included within various subdivisions and resubdivisions
known as Kensington Center, according to the subdivisions
and resubdivisions of Kensington Center recorded in the
Office of the Recorder of Deeds of Cook County, Illinois,, or
registered in the Office of the Registrar of Titles of Cook
County, Illinois, or both, (such parcels are hereinafter
called "Kensington Center"); and
WHEREAS ...Alscor is the owner of Lot 10 in Kensington
Center Phase one, and Lot 109 in Kensington Center Phase
Three -A (the "Alscor Property"), according to the plats
of subdivision of Kensington Center Phase One and Kensington
Center Phase Three -A recorded in the Office of the Recorder
of Deeds of Cook County, Illinois, and registered in the
Office of the Registrar of Titles of Cook County, Illinois;
and
- WHEREAS, the Trustee is the owner of certain real
estate located in the North half of Section 35, Township 42
North, Range 11, East of the Third Principal Meridian, in
Cook County, Illinois (the ",Trustee's Property"); and
WHEREAS, NI -Gas is the owner of the beneficial
interest in the Trustee's Property; and
WHEREAS, NI -Gas and Opus have entered into a
certain agreement (the "Purchase Agreement"), dated August_
1, 1978, under which Opus obtained an option to purchase
certain property from NI -Gas, including the Trustee's
Property; and
WHEREAS, Opus, the Trustee, NI -Gas and the
Village have entered into a certain Annexation Agreement
(the "Annexation Agreement") relating to the development
of Kensington Center and the Trustee's Property; and
WHEREAS, in connection with the development of
Kensington Center and the Trustee's Property, and in order
to achieve the goals of the Annexation Agreement, the parties
desire to execute this Agreement to grant certain easements
and to make certain agreements relating to drainage areas
and facilities, and recreational areas and facilities, on
and serving the Alscor Property, Kensington Center and the
Trustee's Property.
.,NOWf THEREFORE, in consideration of Ten Dollars
($10-00) and other good and valuable consideration paid by
each party to the others, the receipt and sufficiency of
which are hereby acknowledged, the following grants and
agreements are made.

Agreements for Drainage Creek Easement
1. Opus hereby grants to the Village a non-
exclusive easement for the operation, maintenance, repair
and, replacement of a storm water drainage system, including
he existing drainage creek, and related and ancillary
equipment and facilities, over, across, upon, under and
through that portion of Kensington Center described on
xhibit A, attached hereto and made a part hereof. (The
r►perty described on Exhibit A is hereinafter called the
$Drainage Creek Easement Area").
2. The'Village agrees that it will use the Drainage
:.reek Easement Area for the operation, maintenance, repair
and replacement of a storm water drainage system for the
'enefit of Kensington Center, and such other property as is
presently served by Feehanville Creek, which is located in the

ightly condition.
3. The parties acknowledge that the Drainage
.reek Easement Area provides substantial aesthetic and
conomic value to Kensington Center and surrounding properties,
End the parties intend to maintain the Drainage Creek Easement

Area in its present state to the extent possible consistent
with the drainage requirements described herein. Theparties
agree that the Village will not regrade the Drainage- Creek -
Easement Area, or construct or install additional equipment
therein, or remove vegetation there -from (except routine
and minor trimming), without in each case the prior written
consent of opus. Except as required by an emergency, the
Village will give Opus notice of its intent to perform
maintenance, repair or replacement activities in the Drainage
Creek Easement Area at least two business days prior to the
performance of such activities, and a representative of
Opus shall be permitted to accompany the Village's repre-

sentatives at any time the Village's representatives are
conducting activities in the Drainage Creek Easement Area.
4. The parties expect that in connection with
the development of Kensington Center and the Trustee's
Property, additional areas will be added to the Drainage
Creek Easement Area. The parties agree that additional
areas may be added to the Drainage Creek Easement Area, and
become subject to the terms hereof, by a supplement to this
Agreement, executed by the Village and the owner of such
property to be added to the Drainage Creek Easement Area,
which refers to this Agreement and is recorded in the Office
of the Recorder of Deeds, or registered in the Office of
the Registrar of Titles, as appropriate.
5. The duration of the easement granted hereby in
the Drainage Creek Easement Area shall be perpetual, provided
however, that the easement may be terminated by Opus at such time
as the Drainage Creek Easement Area is no longer used for the
drainage purposes described herein, or if the Village fails

to perform its obligations hereunder, and such failure
continues for more than 30 days after notice of such failure
is given to -the Village. The right to terminate the easement
shall not constitute the sole or exclusive remedy available
for breach of obligations hereunder, and Opus shall also be
entitled to any other remedies available for such breach in
law or equity, including, but not limited to, damages or
injunctive relief,
Agreements For Jogging'Path
And Recreational Area Easement
Opus hereby grants to -the Village a non-
exclusive easement for operation, maintenance, repair and
replacement of a jogging path, and other recreational uses
as described herein, over, upon and across that portion of
Kensington Center described on Exhibit Br attached hereto
and made a part hereof. Alscor hereby grants to the Village
a nonexclusive easement for operation, maintenance, repair
and replacement of a jogging path, and other recreational
uses as described herein, over, upon and across. that portion
of the Alscor Property described on Exhibit C, attached
hereto and made a part hereof. The Trustee hereby grants to
the Village a nonexclusive easement for operation, maintenance,
repair and replacement of a jogging path, and other recreational
uses as described herein, over, upon and across that portion
of the Trustee's Property described on Exhibit DI attached
hereto and made a part hereof (the property described on
Exhibits B, C and D is hereinafter called the "Recreational
Easement Area" )r and grants to Opus an easement for the con-
struction of a jogging path, as described below, on such
portion of the Trustee's Property, together with an easement
for temporary access over other portions of the Trustee's
Property as is reasonably necessary for construction of the
jogging path.

2. Opus agrees to construct a jogging path within
k" -he Recreational Easement Area, generally in accordance with
"-he description of the logging path construction in the
knnexa tion Agreement, and generally in accordance with plans
entitled Feehanville Creek Jogging Path, prepared by Opus
)esigners, Builders, Developers, Inc., dated June 29, 1982.
Such construction shall be in accordance with a schedule
developed by Opus, and shall be based generally upon the
Schedule for the development of the lots on which the Recreational
area Easement is located. The Village acknowledges that the
-Wonstruction of the jogging path in accordance with this
'agreementl and the grant of the basement in the Recreational
..asement Area as described herein, will satisfy the require -
rents of Section 17D of the Annexation Agreement., and will
,lonstitute the performance of the obligations of Opus there-
ender,
3. Upon completion of construction of the jogging
)ath the Village will maintain the jogging path and related
Lnd ancillary equipment as a public improvement of the
Fillage, and will be responsible for maintenance, repair and
--eplacement as necessary to maintain the jogging path and
)ther equipment and improvements in the Recreational Easement
krea in a serviceable, clean and sightly condition. The
lillage will be responsible for cleaning and removal of
:rash from the Recreational Easement Area, and for the
,ecurity of persons and property in and about the Recreational
asement Area. The Village will restrict access to and use
f the Recreational Easement Area during such times as
s appropriate to protect the security of persons and property
n the areas in which the Recreational Easement Area is
ocated.
4. The Village may use the Recreational Easement
rea for the benefit of the general public for jogging and

other recreational purposes consistent with jogging use, but
shall not permit the Recreational Easement Area to be used
for the operation of motorized vehicles or other uses which
are inconsistent with use as a jogging area. In the event
of a dispute between the parties as to whether a use is
permitted hereunder, the decision of Opus, with regard to
the portion of the Recreational Easement Area located in
Kensington Center or the Alscor Property, and the decision
of the Trustee, with regard to the portion of the Recreational
Easement Area located on the Trustee's Property, shall
control,
5. The owners of the property on which the
Recreational Easement Area is located, and Opus, with
regard to the portions of the Recreational Easement Area
located in Kensington Center, may grant other easements in
the Recreational Easement Area, and may use the Recreational
Easement Area for other purposes, provided such other easements
or uses are not inconsistent with the use of the Recreational
Easement Area as described herein, and may relocate the
Recreational Easement Area, in accordance with ,the provisions
of paragraph 17D of the Annexation Agreement (whether such
relocation occurs during or after the expiration of the term
of the Annexation Agreement).
6. The parties expect that in connection with the
development of Kensington Center and the Trustee's Property
additional areas will be added to the Recreational Easement
Area. The parties agree that additional areas may be added
to the Recreational Easement Area, and become subject to the
terms hereof, by a supplement to this Agreement, executed by
the Village and the owner of such property to be added to
the Recreational Easement Area, which refers to this Agree-
ment and is recorded in the Office of the Recorder of Deeds,
or registered in the Office of the Registrar of Titles, as
appropriate.

7• The duration of the easement granted hereby in
the Recreational Easement Area shall be perpetual, provided
however, that the easement may be terminated by Opus, with
regard to the portion of the Recreational Easement Area
located in Kensington Center, by Alscor, with regard to the
portion of the Recreational Easement Area located on the
Alscor Property, and by the Trustee, with regard to the
portion of the Recreational Easement Area located on the
Trustee's Property, at such time as the Recreational Easement
Area is no longer used for the recreational purposes described
herein, or if the Village fails to perform its obligations
hereunder, and such failure continues for more than 30 days
after notice of such failure is given to the Village. The
right to terminate the easement shall not constitute the
sole or exclusive remedy available for breach of obligations
hereunder, and Opus, Alscor or the Trustee shall also be
entitled to any other remedies available for such breach in
law or equity, including, but not limited to, damages or

Agreements For Access Easements
1. Opus hereby grants to the Village a non-
exclusive easement over, across and upon the areas described
on Exhibit EP attached hereto and made a part hereof (the
"Access Easement Areas") for the purpose of providing access
to the Drainage Creek Easement Area and the Recreational
Easement Area.
2. The Village shall use the Access Easement
Areas solely for access to the Drainage Creek Easement Area
and the Recreational Easement Area -and the transportation of
personnel and equipment between a public right of way and
the Drainage Creek Easement Area and the Recreational Easement
Area, and for no other use or purpose.

3. Opus shall have the right to relocate the
Access Easement Areas within any lot in Kensington Center to
another portion of such lot by recording or registering, as
appropriate, an Amendment of this Easement Agreement to
of f ect such relocation.
4. The Alscor Property and lots 302A. 3020r 302D, 303
305, 307, 309, 3108, 3100, 310D and Outlot 1 in Kensington Center
presently abut the Drainage Creek Easement Area or the Recreational
Easement Area. The Access Easement Areas described on
Exhibit E are located on Lot 307. No portion of the Access
Easement Areas is located on Lot 305, and no portion of the
Access Easement Areas shall be located on Lot 305. Opus
agrees that as additional lots are added to Kensington
Center which abut on the Drainage Creek Easement Area or the
Recreational Easement Area, it will consult with the Village
with regard to adding areas to the Access Easement Areas.
The parties agree that additional areas may be added to the
Access Easement Areas, and become subject to the terms
hereof by -a supplement to this Agreement, executed by the
Village and the owner of such property to be added to the
Access Easement Areas, which refers to this Agreement and is
recorded in the Office of the Recorder of Deeds, or registered
in the Office of the Registrar of Titles, as appropriate.
5. The Access Easement Areas shall remain unobstructed,
and improvements shall not be constructed thereon, except
that the Access Easement Areas may be used for driveways and
parking areas and related improvements, including lighting,
curbing and landscaping. The Village shall not use the
Access Easement Areas in such manner or with such equipment
as will result in damage to the Access Easement Areas, and
will promptly repair and restore any damage caused by the
use of the Access Easement Areas by the Village or its
representatives or agents, including any damage to improve-
ments or landscaping.
6. The easements granted hereby, over, across and
upon the Access-Easement Areas shall terminate at such time
as the herein granted easements to the Village over the
Drainage Creek Easement Area and the Recreational Easement
Area terminate.
IV.
Agreements Relating to the
Use of the Trustee's Propertv
1. Opus will pay all costs for construction of
improvements to be constructed by Opus on the Trustee's
Property, and will. keep the Trustee"s Property free from
claims of mechanics or materialmen. Upon completion of
construction, Opus will, upon request of the Trustee or NI -
Gas, deliver evidence of payment in full of costs of con-
struction.
2. Opus and the Village shall construct and
operate facilities on the Trustee's Property in such manner
that the construction and operation shall not, in the reason-
able judgment of NI -Gas, cause substantial interference with
the utility operation of NI -Gas on the Trustee's Property.
3. Prior to the commencement of construction of
any improvements by Opus on the Trustee's Property, Opus
will provide to NI -Gas evidence of insurance in force and
effect with coverages, companies, and amounts reasonably
satisfactory to NI -Gas. For the purposes hereof, liability
insurance having single limit coverage of $1,000,000.00 or
more shall be satisfactory to NI -Gas.
4. Opus may finance the design, construction, and
installation of facilities on the Trustee's Property by
means of an Improvement Mortgage (as defined in the Purchase
Agreement) under the conditions set forth in the Purdhase
Agreement.
5. Any portion of the Trustee's Property which is
conveyed to Opus and included within a subdivision or
resubdivision of Kensington Center shall, from and after the
date of recordation or registration of such subdivision or
resubdivision, constitute a part of Kensington Center for
purposes of this Agreement, and shall no longer constitute a
part of the Trustee's Property,
V.
General Provisions
1. Subject to the provisions set forth below in
this paragraph, all provisions of this Agreement are binding
upon and inure to the benefit of the successors and assigns
of the parties hereto Whenever a transfer occurs of owner-
ship of a portion of Kensington Center, the Alscor Property
or the Trustee's Property, or of the easements herein granted,
the transferror shall have no further liability for breach
of covenant occurring thereafter as to such land or easement
which has been transferred. Notwithstanding any transfer or
conveyance of a portion of the Alscor Property by Alscor,
or of Kensington Center by Opus, the rights to terminate the
easements, to exercise remedies for breach, or to exercise
other rights under this Easement Agreement as the owner of
the Alscor Property or Kensington Center shall be held and
exercisable only by Alscor or Opus, respectively, unless
Alscor or opus, as the case may be, shall specifically
assign such rights by an assignment recorded in the Office
of the Recorder of Deeds of Cook County, Illinois, or
registered in the Office of the Registrar of Titles of Cook
County, Illinois, as appropriate. Furtherr, notwithstanding
any transfer or conveyance of a portion of the Alscor
Property by Alscor, or of Kensington Center by Opus, the right
reserved herein to relocate any easement granted hereby on
the Alscor Property or on Kensington Center may be exercised
only with the prior written consent of opus,

and authority conferred upon and vested in it as such Trustee.
All agreements and covenants of the Trustee are undertaken
by it solely as Trustee as aforesaid, and not individually,
and no personal liability shall be asserted against American
National Bank And Trust Company of Chicago by reason of any
