meeting were: Mayor Gerald L. Farley; Trustees George Cil es, Timothy

Acceptance of the Minutes of August 8,1995. Motion made by Trustee Wilks and

CITIZENS TO BE HEARD
Gemid Sod 1777 Crystal Lana„ spoke. He stated that he has recently
completed a study of seven important rta.nt Tillage 'issues. He analyzed the voting
records f the Trustees to determine if patterns existed in their voting on these
issues. He stated that he felt that Trustees Clowes and Hendricks were the
taxpayers' best friends because they consistently voted against tax 'increases,.
Myr Farley .stated that he wanted to'rake an announcement. He stated that it
is with deep regret he must inform the Board and the audience ofthe passing
toddy of former Trustee Colonel Ralph Arthur. Colonel Arthur had served on the
Zoning Board of Appeals, eller Creek Committee and had been 'Involved Ire the
community for a number r f years and he will be sorely missed.

Television.
Attached you will find several exhibits for distribution and discussion at the September 12
meeting. A summary of these items and their discussion points are listed below:
EXHIBIT A -Overview of Franchise Renewal Process
Included in this exhibit is a Checklist of requirements the Village must meet based
on the Cable Act. The materials provided are from the recent IL NATOA
Conference and very succinctly describe the process the Village has been
following and why these steps are necessary.
EXHIBIT B - Upd on Technical Review
Included in this exhibit are: 1) Copies of the 1994 inspection report that was
presented to the Village Board on March 7,1995 along with a verbal update on
the 1995 reinspection; 2) a copy of letter sent to Telenois notifying them that a
written corrective action plan was due within thirty (30) days as directed by the
Village Board on March 7..1995; 3) the correspondence submitted by Telenois on
March 29 and April 13,1995 in response to the demand for a written corrective
action plan; 4) the CSC response to Telenois' March 29 and April 13.. 1995
correspondence; and 5) CSC's final report summarizing the whole process which
spanned from 1994 through 1995.
EXHIBIT C -Report on Survey Results
Included in this exhibit is a binder which contains three portions of the final results
of the survey that were compiled by an independent third party -The Institute for
Public Policy and Administration at Governors State University. The survey was

conducted to ascertain what the community would like to have in a cable system
and how the current operator has performed. The first portion in the binder is a
brief analysis by Professor Paul Green, a well known political analyst.. of the
statistical data and what trends were apparent. The second portion is the actual
statistical data from the surveys. The third portion is the appendix which contains
samples of the general comments that were added to or attached to the survey.
The analysts at GSU noted to staff that many of the survey responses reflected a
favorable rating in the area where a number rating was to be assigned by the
person completing the survey, but then also contained a direct contradiction to
the number rating by the written comments placed below the number rating.
Prof. Green alludes to this in his summary analysis.
In addition to the analysis provided by Prof. Green, the Village has received an
offer from Dr. Connie Book of Georgia College for an additional analysis of the
data collected at no charge. Dr. Book is a noted expert in the area of cable
television surveys, and most recently conducted a major survey of cities regarding
cable television for NATOA. Dr. Book's analysis will be available at a later date.
EXHIBIT D - Fourtee Year Performance Evallucilion
Included in this exhibit are: 1) a copy of Section 6.404 of the Cable
Communications Code which outlines the requirements for the fourteenth year
performance evaluation; 2) a copy of the legal notice that appeared in the
September 1, 1995 Daily Herald announcing the public hearing; 3) a copy of the
notice sent to Telenois on August 10, 1995 regarding the public hearing; and 4)
a copy of a letter sent to Telenois on September 7,,1995 reminding the company
that they must comply With Section 6.404.C. of the Cable Communications Code
and post notice of the public hearing on their system.

There are currently over 10,000 franchising authorities in the United States, Each
has granted a cable television operator the authority to provide cable television service
within its jurisdiction. This authority may take the form of a resolution, license, permit,
agreement or a lengthy franchise document in excess of 200 pages. No matter the form,
the authorization will eventually expire, requiring the operator to again seek authorization to
provide service in the community.
Typically, franchises across the United States were granted for 15 year terms. The
vast majority of franchises were granted in the late '70s and early '80s. Consequently,
thousands of franchises will soon expire. Prior to franchise expiration, however, cable opera
tors and franchising authorities are expected to consider renewal using the procedures speci-
fied in the Cable Communications Policy Act of 1984, as amended by the Cable Consumer
Protection and Competition Act of 1992 (hereinafter collectively referred to as the "Cable
Section 626 of the Cable Act (47 U,S,C. 546) identifies speciflc procedures to be
followed in order to renew cable television fi-anchises. The Cable Act contemplates both a
"formal" and "informal" procedure to accomplish renewal. Typically, the process begins
approximately three years prior to franchise expiration, with the cable operator sending a
letter to the fi-aauthority requesting renewa
nchisingl.
Most commentary on franchise renewal deals with procedural issues outlined under
the "formal" renewal process of the Cable Act A handful of cases have helped to interpret.
some of the more confusing aspects of the formal renewal process and the process was
slightly amended in 1992 to clarify certain ambiguities. In practice, however, the vast
majority of cable television franchises are renewed "Informally." While cable operators are
wise to reserve their rights to the formal protections identified in Section 626 of the Cable
Act, most cable operators and franchising authorities prefer the flexibility of the informal
renewal processO
Unless a franchising authority has had ongoing disputes with its cable operator or
otherwise has reason to anticipate a difficult franchise renewal process', the informal renewal
process should be far preferable. The informal process affords the franchising authority
significant flexibility and allows for a greater exchange of information with the cable opera-
tor, ultimately resulting in gready improved franchise documents.

likely encourage informal negotiations. Upon receipt of this letter, the city should respond
by agreeing to proceed informally and requesting that the operator agree in writing to place
the formal renewal process "on hold" until the parties determine whether renewal can b ~

Most cable operators prefer the informal renewal process and will execute a standstill
agreement so long as each party has the right to reenter the formal process at any time.
Typically, the operator will request information on the timing and details of the informal
process to be undertaken by the city. The city should endeavor to keep the operator
informed of the informal renewal procedure as it moves toward the negotiation stage.

What the city must do to accomplish this goal:
Shortly after a standstill agreement is signed, the city should draft an outline of the steps to
be undertaken in its informal renewal process. The informal renewal process should include
information gathering/needs assessment, document preparation,, analysis of the operator's
response and negotiation. Pardcular emphasis should be placed on the information
gathering/needs assessment stage, during which the city should solicit information from all
interested parties within the city. The informal renewal process should also outline a
general time frame to assist the parties in moving forward in the process.
What to expect from the cable operator..
Most cable operators prefer to handle franchise renewal as quickly and painlessly as
possible. Some operators will suggest that the old franchise documents should simply be
extended for an additional 15 years. Other operators may suggest a face-to-face meetin
between the company's general manager and the city's mayor or city manager. The
operator may appear to be surprised to find the city ha:s developed a detailed informal
renewal process. Remember, however, that the operator needs the city's authorization

cities conduct franchise fee audits to ensure the payments have been correctly made and
often discover underpayments going back several years, resulting in a financial beneflt to
the city. These issues, if properly documented, can also be used to strengthen the city's
negotiation position during franchise renewal.
In order to effectively deal with an operator's deficient past performance, the city must
issue a written notice of franchise violations and provide the operator an opportunity to
cure the deficiency. Operators will argue that if written notice was not provided, the city
waived its right to raise objections.

operator. If outside technical or flnancial consultants are involved, their recommendations
should be incorporated into the report. The report should be concise in order to be of
maximum benefit for document preparation and negotiations.

The cable operator will likely challenge many of the conclusions made in the needs
assessment report. In some cases, the operator will conduct separate surveys or evaluations
of the system to rebut the city's conclusions. If properly prepared, the needs assessment
report will nevertheless serve as a valuable tool to ensure the legitimate needs and interests
of the city are addressed in the new franchise documents.

regulatory ordinance..
If more than one operator seeks a franchise from the city, the ftanchise
agreement can address issues which may be unique to that operator.
What the city must do to accomplish this goal:
In preparing the regulatory ordinance, the city should incorporate all rights and regulato
authority allowed under the Cable Act and applicable FCC regulations. The regulatory
ordinance should include provisions regarding customer service, technical standards, publi
educational and govemmental access channels, franchise fee requirements, transfer,
renewal, indemnification and insurance and related provisions. The franchise agreement
should include provisions authorizing operations within the city, line extension criteria,
public access equipment and facilities, performance bond and/or security fund provisions,
franchise term, and other issues unique to the relationship between the operator and the
citys I
What to expect from the cable operator:
It is not uncommon for a cable operator to provide the city with its own draft franchise
documents for the city's review and consideration. The cable operator will prefer to
negotiate from their own documents since it is' far easier for the operator to work fi-om
language which generally favors its poon. The city should avoid working fi-om the cable
operator's fi-anchise documents. The city will incur far greater expense attempting to
negotiate addidons/deledons to the operator's proposed fi-anchise than would be expended
in drafting its own model documents.,

The city should establish a negotiation team which consists of individuals with expertise on
each particular provision to be negotiated. In other words, if technical or financial issues
are to be addressed, the city's negotiation team should consist of individuals knowledgeable
in these areas. It is often helpful to have an elected official (city council member) serve on
an advisory committee or even the negotiation team to ensure the documents ultimately
negotiated will meet the expectations and desires of the city. The negotiation strategy itself
should identify all open issues, the strengths and weaknesses of each provision and how the
city plans to rebut the cable operator's arguments.

The cable operator's negotiation team will consist of experienced industry professionals
who deal in cable television 365 days a year. They will know the cable television industry
better than most city representatives and will reference federa " I laws, regulations or trends

The city's goal:
Ensure all federal, state and local procedural steps are satisfied when adopting franchise
documents.
Why is this goal important?
Typically there are numerous procedural steps to be fbllowed when adopting an
ordinance and entering into a contract with a private entity.
Procedure must be coordinated to ensure that necessary steps at city council
level are fulfilled.
What the city must do to accomplish this goal:
The city should outline all federal, state and local proceduraf requirements to be followed
in adopting franchise documents. If the city is within the informal renewal process and a
public hearing has already been held, no federal procedural requirements will exisL
Typically, under state and local law, adoption of an ordinance requires published notice
given approximately two weeks before the scheduled meeting in a newspaper of general
circulation. There may be multiple reading requirements, de pending upon local law, and
typically the ordinance, or a summary of it, must be published within two weeks following
adoption. The franchise should identify various acceptance documents to be provided by

documents, payment of franchise renewal expenses, and acceptance agreements.

The cable operator will likeJy attempt to delay acceptance of the franchise documents for
as long as possible. Many operators are now requesting between 60 and 90 days to accept
a franchise once approved by a city council. Assuming,the process proceeds informally,
there is no reason an operator should need more than 30 days to obtain necessary
signatures for acceptance of fi-anchise documents.

There are many safety issues related to Teleno1s/TCI's plant system that demand immediate atten-
tion, and which should be of concern to the Village. There are picture quality issues at the headend
and in the outside plant system that degrade reception for Village subscribers.
Additonally, contained in the report is my review of Telenols/TCIs Summer 1994 proof -of -
performance documentation. The proof-of-perfoxii irce. test� mandated by the FCCis so flawed a

The bottom line is that Telenois/TCI is facing a major project to make its system safe for the pub-

Based on the large number of subscriber network channels with serious
visible distortions'. Mr. Kramer recommended'. and Telenois/TCI concurred that it
would not be useful to conduct signal quality tests of Telenois/TCI's system at this
time.
Telenois/TCI is obligated to operate a separate institutional network serv-
ing a list of locations specified M* its franchise. This network is to provide author-
ized institutions with the ability to conduct video teleconferences, training, data
transmission, and similar non -entertainment functions.3
CSC intended to conduct a review of the operations of that network as a
part of this examination. In discussing this matter with Telenois/TCI staff, it was
revealed that the operational condition of this network, as well as specific network
locations, are unknown to Telenois/TCI. Further, Telenois/TCI reports that it
plans to convert the I -Net to fiber optic transmission. Telenois/TCI's staff agreed
with Mr. Kramer that it would not be possible to properly test the network at the

Based on the numbers and types of physical problems observed in the in-
spection of only a small portion of this system, on a system -wide basis it is believed
that many thousands of physical and safety violations require immediate corrective

nance over a long term. Given that Telenois/TCI's technicians and installers must
drive by so many obvious physical problems during their normal trips to and from
subscriber and plant locations, the condition of the system suggests that either the

maintenance, or they are unable to effect the actions necessary to cause repairs of
the plant. In either case, a serious system management lapse is suggested.

In conjunction with the inspection, CSC reviewed Telenois/TCI's Summer
1994 Proof -of -Performance. test results. These tests, mandated by federal regula-
tions5, require that Telenois/TCI conduct a self-examination of its system to de-
termine compliance with the FCC signal quality rules.6

make many or most of its headend signal level measurements. Most other equip-
ment calibration information data and dates are omitted with the caption
used in -stead of a date certain. The use of "NeV' rather than a specific date is am-
biguous. Telenois/TCI does not specify whether "New" means within the past 10
days; the past 60 days; or the past year. This becomes a critical matter since some
calibrated every six months. Other items of test gear have a one year calibration
cycle.

CSC concludes that significant portions of this system pose a threat tj
public safety. These dangers are attributed to an apparent lack of adequate mainj
tenance of the physical plant of this system.
Immediate and effective steps to correct the existing problems must be un-
dertaken by Te1enois/TC1. Further, given the numbers and types of problems obj
served, CSC concludes that additional physical plant problems are based on faulty
installations, poor preventive maintenance, and ineffective management oversight.
Based on these findings, we offer the following recommendations to the

along with reports indicating the status of all construction
problems logged by Telenois/TCI and the Village's inspec-
tor(s).

12. That upon Telenois/TCI's notice that they have inspected
and cured all plant violations, the Village reevaluate the
plant to independently assess the then present compliance
level with the NESC and NEC codes,, and the FCC rules.
13. That Telenois/TCI be notified that its proof -of -performance
tests for the period of Summer 1994 are invalid based on
improper testing procedures and calibration issues, and that
Telenois/TCI be directed to re -test its system with the Vil-
lage fully complying with FCC rules governing such tests.
14. That the Village seek the opinion of its legal counsel regard-
ing these matters, as well as matters related to reimburse-
ment of all direct and indirect inspection and administration
costs already incurred, and to be incurred as a result of
Telenois/TCI's plant violations.
15. That the Village notify TCI that it will require demonstra-
tion of the technical operations of its electrical transmission
systems (both subscriber cables, and the institutional net-
work) prior to the end of 1994.

This attachment provides (at Figure 1) an illustration of common physical discrep-
ancies observed in this system, and reported in Attachment A (above).
The second illustration (Figure 2) provides a guide for compliance with the Na-
tional Electrical Safety Code. This draw is also used to illustrate various rules
violations observed in this system.
Figure 3 illustrates the basics of reserving adequate climbing space on the pole so
that worker can safely climb around and over television cables to reach other wires
on the same pole.
The importance to pedestrian safety of installing down guy guards is illustrated at
Figure 4.

In the near future the franchise of TCI will be up for renewal.
We understand that at the present time technical review of the
system is in Progress.
As you know from previous correspondence we find it necessary
to contact TCI several times annually to have violations of
our Multiple Unit Service Agreement corrected. Phone calls
by us or residence to correct problems have generally not
been satisfactory, when action is taken it usually is short
lived because the next time service is necessary, the condition
resorts back to an unsatisfactory condition.
Attached are some snap shots of typical violations of the agree-
ment. I hope you will share them with the Village Board when
the franchise is received by them.

Enclosed is a detailed response to those issues that Mr. Kramer found pending
during his March 6, 1995 physical plant review.
Duane Gibb's, Regional Construction Manager, and myself drove out these
locations and have completed or scheduled any issues that remained.
I have included notations highlighted as "Please note" where there are also
issues with another utility. In several ■of these cases I thought you would want
to ■know so that you could contact the other utilities to correct these issues.
A complete response to Mr. Kramer's audit is currently being prepared. We
would appreciate any additional reports that are filed by Mr. Kramer as soon
as possible so that we may include that in our response.

Note: Please review the attached listing for the numbering system to
identify the explanation for those locations listed. We have
addressed only those items where Mr. Kramer noted an incomplete
or new issue.
1. A 6 foot length of 'Inactive cable was lashed into the active cable.
When the dual cable was disconnected this piece appears to not have
been removed from the active line and was still lashed to it.
Conclusion: No safety hazard as cable was lashed in place. No
technical impact to the system as the cable was dead.
Result.- Cables were delashed and dead piece removed.
Please Note: At this location there is a 25'coil of telephone wire
hanging loose at a level of 3' from the ground. This wiring comes
from the ground and then is coiled and hung to the pole. This is a
safety hazard as it is within reach of a child.
2. (a) Cable that is on pole is not loose and removal is simply an
aesthetics item. No action required.
(b) New pole was recently set between two existing poles. TO was
not attached.
Conclusion: TCI has attached to pole.

11. TCI is at 15'2" over the road. Road has no thru traffic.
Conclusion: TCI will violate clearance with CE in order to raise an
additional 5". Lineswill be completely removed upon
completion of the' Mt. Prospect construction currently
underway. This work will be complete by July, 1995.
12/13. Upon inspection it has been found that at the pole before
and after these two poles, TCI is at correct spacing. On these two
poles there are visible holes where CE has moved its lines to insert
additional equipment thus creating the violation.
Conclusion: TCI has requested a walkout with CE, however, it is
CE's responsibility to place new poles as they have created the
spacing violation.
15. TCI 'i's grounded to ground rod.

Conclusion: This is an acceptable maintenance practice to re -secure
lashing wire with an additional lashing clamp. No safety hazard and
no technical hazard. CE has informed us that they are currently
doing work on these poles. Upon their completion, we will re -work
lines. TCI cannot perform work while CE is working on the pole or
their lines. Work will be completed by 4-21-95.
39. Upon inspection, CATV built by code following where

This response addresses the technical audit issues raised by Co :1unications, Support
Corporation.

During Mr. Kramer's visit August 15-22, Mr. Kramer did not perform tec al tests on the
Mt. Prospect Headend. The distortions represented on Report Page 4 were identified
through a channel check on the television set in the Headend. Mr. Kramer, based on this
TV, had no way of dete 1 1 inj*ng the signal quality of any channel leaving the Headend. No
test set or equipment was attached to the lines leaving the Headend to determine the signal
quality of these pictures.
Channels had been tested by TCI personnel prior to Mr. Kramer's amval and met and
exceeded required FCC levels.
Mr. Kramer's subsequent testing on his second visit verified this fact.

Mr. Kramer did not discuss the I -NET network with TCI staff. A listing of locations was
not requested.
Had Mr. Kramer asked he would have been informed that TCI had on staff two, now three,
I -NET Technicians whose sole responsibility is to maintain the I -NET in the Mt. Prospect
System. He would also have been provided the listing of locations using the I -NET.
PHYSICAL CONSTRUCTION ISSUES.,
Mr. Kramer claims that his listing of Plant Discrepancy only identified 5 percent of the
problems in the cable system and yet has no justification for this statement.
The facts are that Mr. Kramer, accompanied by TCI staff, drove every of the M
Prospect franchise area. Mr. Kramer also logged discrepancy that he found du
the drive out.
Please review the attached response to Mr. Kramer's discrepancies. It is, as you will verify,
a gross overstatement that these issues are "potentially dangerous" as we clarify in our
response. (Exhibit A)

Telenois has invested $7.8 million in capital in 1993 9 $8.9 million in 1994 and $4.4 million
is planned this year. These monies include a total rebuild of our Headend, plant upgrade
and installation of 255.,1iles of fiber with standby power.
In addition, Telenois installed an $800,000 phone system, is now providing 24 hour, seven
day a week phone response and 24 hour dispatch. We added 16 technical people in 1994
including I -NET personnel and maintenance personnel. Telenois also added 24- additional
Customer Service persons.
Telenois is meeting and exceeding NOTA Customer Service Standards and is enjoying the
highest subscriber base in its history. Customer and City complaints are at an all-time low
with satisfaction at an all-time high.
Given these improvements and satisfaction ratings, Telenois cannot accept Mr. Kramer's
recommendations and conclusions regarding the Mr. Prospect Technical Audit. Many of the
recommendations that Mr. Kramer makes are either unnecessary as proven in our attached
Exhibits or are already under way. Please see "Exhibit E" in regards to the types of training
a,
that are currently in process in the Mt. Prospect System.
It is our recommendation that the Village Board review the Winter, 1995 Proof of
Performance Test results as an evaluation of the technical quality of the Mt. Prospect Plant.
The results exceeded not only FCC requirements but also TO standards which are far more
stringent. Even Mr. Kramer had to admit that the test results were "impressive". These
results were provided to Ms. Pasalic.
In summary, Telenois, Inc. is working very hard to provide quality service and a quality
product to its subscribers. We are constantly testing new services and technology to provide
a service that is consistent, reliable and of value to our customer. We realize that we are
in a highly competitive environment and are making the *investments in capital and
manpower necessary to guarantee a successful future.
We look forward to working with the Village of Mt. Prospect to create an environm that
can foster an improved business relationship that will satisfy both the Village and the
community that we both serve.

Note,-. Please review the attached listing for the numbering system to

addressed only those items where Mr. Kramer noted an incomplete

1. A 6 foot length of inactive cable was lashed into the active cable.
When the dual cable was disconnected this piece appears to not have
been removed from the active line and was still lashed to it.
Conclusion. No safety hazard as cable was lashed in place. No
technical impact to the system as the cable was dead.
Result: Cables were delashed and dead piece removed.
Please Note: At this location there is a 25'coil of telephone wire
hanging loose at a level of 3' from the ground. This wiring comes
from the ground and then is coiled and hung to the pole. This is a
safety hazard as it is within reach of a child.

Corporation with regards to his recent technical audit of the Mount Prospect system. The
attached copy does not include the photographic exhibits, as they are bound in the original of
the report in my possession. I would invite you or Doug Williams to contact me if you wish to see
the photographic exhibits, and I will be happy to arrange a time for you to view them in my
office.
It is my intention to formally present this report to the Village Board early in December when Mr.
Kramer will again be present to answer any questions. The tentative date for this meeting is
December 6,1994. 1 will confirm this date with you once I know that it is definite.
Mr. Kromer and Doug Williams of TCl's division office have been in contact regarding the audit
findings, and I am sure that we wiii all be discussing the findings shortly. Itis advisable that the
company begin developing the corrective action plan that will be necessary to correct the
