II WHEREAS. the Mount Prospect Park District and the Village of Mount Prospect. ,
I municipal corporations, entered into an Agreement for the Development and IHainte- ,
nance of Park Site and Retention Area dated March 10, 1970 and concerning the I
I property presently known as Clearwater Park; and I
I
WHEREAS, said agreement was for the purpose of developing said property for park r
recreation, flood control and municipal purposes; and I
WHEREAS, it is necessary for the Village of Mount Prospect to take certain actions ,
pursuant to the terms and conditions of said agreement; I
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEEJ
!OF THE VILLAGE OF 1\10UNT PROSPECT, COOK COUNTY, ILLINOIS: I
I SECTION ONE: That the following legally described real property: I

That part of Lot 3 lying South of the South line of Lot 1 extended I
West, in the Division of the Louis F. Busse Farm, being the i
Northeast 1/4, except the West 686.40 feet of the Northwest 1/4 I
of said Northeast 1/4, of Section 15, Township 41 North, Range 11 I
East of the 3rd Principal Meridian, Cook County, Illinois, I
be and the same hereby is leased to the Mount Prospect Park District under the termt
and conditions contained in the copy of said lease attached hereto as Exhibit A. The I
Villag'e President and Village Clerk are hereby authorized to execute the duplicate

ISECTION TWO: That the fOllowing legally described real property: I
i The East 240.0 feet of the West 840.0 Feet (except the North 170.0 i
Ii feet thereof and except the South 60.0 feet thereof) of Lot 1 and II

taken as a tract, in the Division of the Louis F. Busse Farm,
I being the Northeast 1/4, except the West 686.40 feet of the North-
I west 1/4 of said Northeast 1/4 of Section 15, Township 41 North,
I Range 11, East of the 3rd Principal Meridian in Cook County,

shall be conveyed to the Mount Prospect Park District pursuant to and under the
terms and conditions of a deed containing a reverter clause in favor of this Village
I which shall provide that the said real property shall revert to the Village of NIount
Ilprospect in the event that said re81 property is no longer to be used for flood
I control, water retention, or a lake.

WITH
RIGHT OF FIRST REFUSAL
This Agreement, dated this
day of
, 1977,
between THE VILLAGE OF MOUNT PROSPECT (hereinafter referred to as
the "Lessor") and THE MOUNT PROSPECT PARK DISTRICT (hereinafter
referred to as the "Lessee"), both being municipal corporations
organized under the State of Illinois and both acting by and through
their duly elected Presidents'
WITNESSETH:
1. The Lessor hereby leases to the Lessee, and the Lessee
hereby leases from the Lessor, the parcel, five (5) acres more or
less, fronting on Golf Road in the Village of Mount Prospect and
legally described as follows:
That part of Lot 3 lying South of the South
line of Lot 1 extend West, in the Division
of the Louis F. Busse Farm, being the North-
east 1/4, except the West 686.40 feet of the
Northwest 1/4 of said Northeast 1/4, of
Section 15, Township 41 North, Range 11 East
of the 3rd principal Meridian, Cook County,
Illinois;
(here ina fter referred to as the "demised premises "), for a -term
of ninety-nine (99) years commencing on the date of the execution
of this agreement, to be used and occupied by the Lessee for park
and recreational purposes upon the covenants and conditions
following:

A. 'The Lessee shall pay to the Lessor for the demised

premises an annual rental of One Dollar ($1.00) which
shall be payable for the first year on the date of this
lease and on May 1, of each of the ninety-eight (98)
succeeding years thereafter; the aforesaid payments of
rental to be made without demand at 112 East Northwest
Highway, Mount Prospect, or such other place as Lessor
may designate by notice in writing to the Lessee.
ALTERATIONS
B. In the event the Lessee desires to make any altera-
tions and changes in the demised premises, it is under-
stood and agreed that the same shall be made without the
prior consent of the Lessor, provided, however, that the
Lessee covenants and agrees that no permanent structure
or any production or piece of work artificially built up
or composed of parts joined together in some definite
permanent manner shall be placed on said property during
the term of this lease.
It is further understood and
agreed that all other alterations and improvements shall
become the property of the Lessor upon installation.
TERMINATION
c. Both the Lessor and the Lessee have the right and
power hereunder to cancel this lease upon a one (1) year
written notice by certified mail to the other party. How-
ever, the right of first refusal conferred upon the Lessee
in Paragraph 2 below shall not be terminable except as set
forth therein.
2. Whenever, within said period of ninety-nine (99) years

from the date of this lease, the Lessor through its Board of Trustees
shall adopt an ordinance declaring that it is no longer necessary
for it to use, occupy, or improve the above-described premises, the
Lessor shall deliver to the Lessee, by registered mail, a certified
copy of said ordinance.
The Lessee may elect to purchase the demised
premises to which said ordinance relates for the price of Two Hundred
Thousand Dollars ($200,000.00) in cash, by giving written notice by
registered mail to the Lessor of such election within sixty (60) days
after delivery to the Lessee of said ordinance.
The Lessee shall then
have a period of eighteen (18) months from the mailing of said notice
to tender to the Lessor the said Two Hundred Thousand Dollars
($200,000.00) purchase price. Upon such tender anq delivery of the
said purchase price to the Lessor, the Lessor Village shall execute
and deliver to the Lessee, the Mount Prospect Park District, its
Warranty Deed to the said demised premises.
If the Lessee does not
elect to purchase the demised premises within the said sixty (60)
day period, the Lessor may accept any offer for the purchase of the
remised premises, and the Lessee's right of first refusal shall be
deemed released and this lease terminated.
IN WITNESS WHEREOF, the parties hereto have duly executed this
agreement.
