This cause coming on for hearing on the Stipula-
tion and Agreement of the parties hereto, hereinbelow en-
dorsed, ~~e parties having represented ~~at all matters in
controversy in this cause have been resolved and settled
and that the findings and Decree hereinafter set forth may
be entered, and the Court being fully advised in ~~e premises;
The Court hereby finds as follows:
1. This Court has jurisdication of the subject
matter hereof and of ~~e parties hereto.
2. The VILLAGE OF MOUNT PROSPECT, by Resolution
No. 35-69 passed. and approved on pee P (Y'I b f=' r :2-
, 1969,
approved and authorized ~~e execution of an Annexation Agree-
ment dated Oecember 2, 1969 by and bebveen the Village of
Mount Prospect and La Salle N'ational Bank, as Trustee, under
E X H I BIT "A~

Trust No. 28948, Trust No. 19237 and Trust No. 33425 and
~~e beneficiary of sa~d Trusts, Roy Gottlieb, providing for
the annexation and development of a parcel of real estate
legally described on Exhibit A attached hereto and incorpo-
rated herein by this reference (hereinafter referred to as
the "Subject Property"), wi~~ a residential planned develop-
ment in accordance with a site plan therefor incorporated
in said Annexation Agreement.
3. Pursuant to and in accordance with the afore-
said Annexation Agreement, the VILL~GE OF t~OUNT PROSPECT,
by Ordinance No. 2278 passed and approved on December 22,
1970, authorized the issuance of. a special permit for the
construction of a planned residential development on the
Subject Property, which development is hereinafter referred
to as "Huntington Estates".
4. Huntington Estates was and is being developed
in various phases.
5. One phase of the development of Huntington
Estates was the construction of approximately sixty-eight
(68) townhome condominium units on a portion of the Subject
Property legally described on Exhibit B attached hereto and
incorporated herein by this reference (hereinafter referred
to as the "Bralen Property") .
6. The owners of all or any portion of ~~e Bralen
Property are members of the BRALEN TOWNHO~~ OWNERS ASSOCIA-
TION, an Illinois not-for-profit corporation, organized and
existing for the purposes set forth in a Declaration of

Covenants and Restrictions dated ~m~ 15 , 19~,
and recorded with the Cook County Recorder of Deeds as Docu-
men t No. 21974867
7. Another phase of the development of Huntington
Estates is the development of a portion of the Subject Prop-
erty legally described on Exhibit C attached hereto and in-
corporated herein by this reference (hereinafter referred
to as the "Harris property"), with ten (10) 3-story build-
ing complexes. The HARRIS BANK AND TRUST COMPANY, as Trus-
tee under Trust No. 37886 and Trust No. 37887, both dated
April 23, 1977 (hereinafter referred to as the "Trustee"),
are the legal owners of the Harris Property as of ~~e fil-
ing of this lawsuit.
8. The VILLAGE OF MOUNT PROSPECT, by Ordinance
No. 2745 passed and approved on September 6, 1977, author-
ized an amendment to the site plan for ~~e Harris Property
to permit the development thereof in accordance with the
site plan attached hereto as Exhibit D and incorporated
herein by this reference.
9. A portion of ~~e Bralen Property abuts a por-
tion of the Harris Property.
10. BRALEN TOWNHOME OWNERS ASSOCIATION, on its
own behalf and on behalf of all owners of the Bralen Prop-
erty, filed ~~is lawsuit alleging ~~at ~~e Harris Property
is being developed in violation of the Village of Mount
Prospect Zoning Ordinance. The amended complaint prays for
an injunction restraining completion of Building 1314 as
shown on ~~e site plan, Exhibit D hereto, (also referred to

as Building 34, as shown on the marketing site plan attach-
ed hereto as E~~ibit E and incorporated herein by this ref-
erence), or, alternatively, the removal of such building.
BRALEN TOWNHOME OWNERS ASSOCIATION also prays for a writ
of mandamus directing the VILLAGE OF MOUNT PROSPECT to order
cessation of construction and removal of the same building.
All defendants deny that BRALEN TO\~rHOME OWNERS ASSOCIATION
on its own behalf or on behalf of any present or former mem-
ber thereof is entitled to any relief whatsoever, and !!1ain-
tain that the development of the Harris Property as shown on
Exhibit D attached hereto is valid and proper in every re-
spect.
II. Nevertheless, in order to avoid further de-
lay and costly litigation, the parties hereto consent to
the findings contained'herein and to ~~e entry of this Decree.
Bralen Townhome Owners Association, for itself and on behalf
of all its members, expressly represents and warrants that
its duly constituted Board of Directors unanimously author-
ized and approved the findings and terms of this Decree and
that its members, at a meeting duly held on April 16, 1979
pursuant to notice, a true and correct copy of TN'hich is at-
tached hereto as Exhibit F and incorporated herein by this
reference, ratified the same and directed the execution of
this Decree bv Bralen Townhome Owners Association on its

behalf and on behalf of all its members.
12. Ordinance No. 2278, passed and approved by
the VILLAGE OF MOUNT PROSPECT, and any and all amendments
thereto, including but not limited to Ordinance No. 2745,

passed and approved by the VILLAGE OF MOUNT PROSPECT on
September 6, 1977, were adopted pursuant to proper notice
and hearing and are in all respects valid and proper.
13. The real estate described on Exhibit A here-
to has been developed and is proposed to be developed in
compliance with the VILLAGE OF MOUNT PROSPECT ordinances.
14. Without limiting the findings set forth in
paragraphs 12 and 13 of this Decree in any way, the Court
finds:
(a) That the published and mailed notice of
the public hearing held on the request-
ed amendment to the site plan for the
Harris Property, which amendment was
passed and approved by the Village on
September 6, 1977, complied in all re-
spects with the requirements of any ap-
plicable ordinance, statute or consti-
tutioni
(b) That all public hearings required to
be held by ~~e corporate authorities
or any other body by any ordinance,'
statute or constitution were duly held;
and
(c) That the proposed development of ~~e
Harris Property shown on the site plan
for such property, E~~ibit D hereto,
complies in all respects wi~~ the Village

of Mount Prospect Zoning Ordinance,
including applicable height and set-
back requirements set forth in said
Zoning Ordinance.
IT IS THEREFORE ORDERED, ADJUDGED k~D DECREED:
A. The Trustee of Trust No. 37887 and Richard
Fanslow shall discontinue construction of Building 1314 as
shown on the site plan, Exhibit D hereto, and shall construct
no building within the rectangle outlined in red on Exhibit
D hereto.
B. The Trustee of Trust No. 37887 and Richard
Fanslow shall, within six (6) months from ~~e date hereof,
fill the excavation on the site of Building 1314, and within
ninety (90) days after ~~e issuance of final occupancy cer-
tificates for all buildings on the Harris Property.by the
VILLAGE OF MOUNT PROSP.ECT, grade and sod said site.
c. The Trustee of Trust No. 37887 and Richard
Fanslow shall designate ~~e area shown with a red rectangle
on Exhibit D hereto as private open space on the plat of
open space easement to be submitted to the VILLAGE OF MOUNT
PROSPECT in accordance with the provisions of ~~e Village
of Mount Prospect ordinances.
D. Nothing herein contained shall be deemed to
impair or prevent the installation, maintenance, removal,
replacement and relocation of underground utility lines and
pipes on any portion of the area shown with a red rectangle
on Exhibit D hereto.
E. A summary of the provisions of this Decree,
in a form mutually acceptable to the parties, may be

Notice is hereby given to the member of Bralen Townhome
Owners Association that a special "meeting of all of the members
will be held on Monday evening, April 16, 1979, at 7:30 p.m.
at the Church of The Nazarene, located at the corner of
Linneman Street and Huntington Commons Road, Mount Prospect, Illinois,
at which time the Board will present to the membership the
proposal of the Defendants in the pending litigation, number
