The Fire Department station alerting system has •- in place • • 15 years and is in need • -• and upgrading The station alerting system provides critical dispatch information to our responders. In addition to location and nature of call the alerting system would provide GPS information as well as a more accurate response time goal for each call (turnout time The updated system would include better pre -tones and incorporate lights to aid in "soft waking" of our Firefighters. This woul reduce cardiac stress, anxiety, optical shock, and sleep deprivation with ramped tones and zone alerting. The radio equipmen would allow for each station to have a stand-alone system which would eliminate call printouts (rip and runs) and move to a 11 all-digital platform. Information would be clearly displayed on monitors throughout the station instead of on a sheet of paper i one area. This system would also allow for each station to monitor frequencies unique to their area of mutual -aid response. The new system would include upgraded radio equipment, call display boards, turn -out countdown clocks and an LED ligh system for each station. The dispatch alerts with this system simultaneously dispatches to one or more stations in less than on 'I second, reducing overall response times. This project aligns with the Governance Goal of the Village"s Strategic Plan in that i i will allow the Fire Department to provide residents with high value, relevant municipal services. General Bid Information and Budget Impact: The cost to upgrade alerting systems in all three stations was outlined and approved in the 2018 and 2019 Community Investment Program (CIP) for a total of $110,000 ($55,000 for Stations 12 and 14 in 2018 and $55,000 for Station 13 in 2019). These CIP costs reflected a single source equipment vendor/installer and included retrofitting the current Station 13. The overall costs have changed with the purchase of the new Station 13 building and conducting a bid process for installing thc equipment at Station 12 and 14. The equipment is proprietary and remains single source, however staff found multiple vendors licensed and qualified to install the equipment. The cost of the equipment for Stations 12 and 14 from US Digital Designs is $16,918.92 and the price of installation for Stations 12 and 14 is $8,857.00 for a total cost of $25,775.92. The Customer's rights and remedies with respect to a product found to be defective in material or workmanship shall be limited exclusively to the rights and remedies set forth herein, Any misuse, unauthorized modification, improper installation, excessive shock, attempted repair, accident, or improper or negligent use, storage, transportation, or handling by any party other than USDD shall render this warranty null, void and of no further effect, USDD cannot warrant nor support any system or component it has not proofed engineering for and has not specifically authorized for use within public safety environments 7,1 PRODUCT DEFECTS, If a product is defective and a valid claim is made within the Warranty Period, at its option, USDD will either (1) repair the defective product at no charge, using new parts or parts equivalent to new in performance and reliability or (2) exchange the product with a product that is new or equivalent to new in performance and reliability and is at least functionally equivalent to the original product Any replacement product or part, including a user -installable part that has been installed in accordance with instructions provided by USDD, shall remain under warranty during the Warranty Period or for 90 days from the date of repair, whichever is later. When a product or part is exchanged, any replacement item becomes the Customer's property and the replaced item becomes the property of USDD, Customer shall be responsible for and bear all risks and costs of shipping any products to USDD for repair, USDD shall be responsible for and bear all risks and costs of returning any product to Customer after repair or replacement Replacement products will be returned to Customer configured as it was when the product was originally purchased, subject to applicable updates.. 7,2 CLAIMS Prior to making a Warranty claim, Customer is encouraged to review USDD's online help resources. Thereafter, to make a valid claim hereunder, Customer must contact USDD technical support and describe the problem or defect with specificity. The first such contact must occur during the Warranty Period USDD's technical support contact information can be found on USDD's web site at http://stationalerting com/home/about-usdd/contact-usdd/ Customer must use its best efforts to assist in diagnosing defects, follow USDD's technical instructions, and fully cooperate in the diagnostic process Failure to do so shall relieve USDD of any further obligation hereunder 7,3 EXCLUSIONS AND LIMITATIONS USDD does not warrant that the operation of is product or any related peripherals will be uninterrupted or error -free, USDD is not responsible for damage arising from Customer's failure to follow instructions relating to the product's use, This Warranty does not apply to any Hardware or Software (as defined below) not used for its intended purpose This Warranty does not apply to monitors or televisions manufactured by third parties. Repair or replacement of such components shall be subject exclusively to the manufacturer's warranty, if any, Recovery and reinstallation of Hardware and user data (including passwords) are not covered under this Warranty, This Warranty does not apply: (a) to consumable parts, such as batteries, unless damage has occurred due to a defect in materials or workmanship; (b) to cosmetic damage, including but not limited to scratches, dents and broken plastic on ports; (c) to damage caused by use with non-USDD products; (d) to damage caused by accident, abuse, misuse, flood, lightning, fire, earthquake or other external causes; (e) to damage caused by operating the product outside the permitted or intended uses described by USDD; (f) to damage or failure caused by installation or service (including upgrades and expansions) performed by anyone who is not a representative of USDD or a USDD authorized installer or service provider; (g) to a product or part that has been modified to alter functionality or capability without the written permission of USDD; or (h) if any serial number has been removed or defaced. CONDITIONS OF PERFORMANCE: The responsibility of Advanced Wiring Solutions, Inc. ("AWS") with respect to the services to be performed hereunder shall be limited to either the customer's side of the interconnect devices connecting the equipment to the system operated by the local telephone or other relevant utility, or if no such interconnect devices exist, to the customer's side of the point of connection between the equipment and said local system. The customer shall allow employees of AWS free access to premises and facilities where the equipment is to be maintained at all hours consistent with the requirements of this agreement. Any maintenance or service work performed on the equipment by others during or after the period of this agreement without written consent of AWS shall cause any warranty granted to customer by AWS under this agreement to become null and void. 2. FORCE MAJEURE: The timeliness of performance by AWS of maintenance or services hereunder or the performance of any other obligations of AWS under this agreement is in every case subject to delays caused by an act of God, war, riot, fire, explosion, accident, flood, sabotage, inability to obtain materials or power, civil commotion, governmental laws, regulations or orders, acts or inaction of customer, inability of AWS's subcontractors to perform, or any other cause beyond the reasonable control of AWS, or labor trouble, strike, lockout or injunction (whether or not such labor event is within the reasonable control of AWS). In the event of any such delay, the period of time for performance of services affected by such delay will be extended to reflect the effective delay occasioned thereby. 3. LIMITATION OF LIABILITY: The customer agrees that neither AWS nor its subcontractor shall be liable for any loss or damage to the equipment or other property or injury or death to the customer's agent, employees or customers arising in connection with the maintenance or other services provided by AWS or its subcontractor under this agreement unless such loss, injury, death or damage results solely from the gross negligence or willful misconduct of AWS's officers, employees or agents or those of AWS's subcontractor. IN NO EVENT SHALL AWS OR ITS SUBCONTRACTOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY LOSS BY CUSTOMER OF BUSINESS, REVENUES OR GOODWILL), ARISING IN CONNECTION WITH THIS AGREEMENT OR THE EQUIPMENT OR ANY SERVICES PERFORMED OR MATERIALS PROVIDED INCIDENTAL THERETO. 4, WARRANTY DISCLAIMER: AWS shall assign any warranty on equipment installed to the customer, however, the warranty shall be as between the customer and the manufacturer and AWS shall have no duties or responsibilities with respect to said manufacturer's warranty. EXCEPT AND TO THE EXTENT EXPRESSLY PROVIDED IN THIS AGREEMENT, AND IN LIEU OF ALL OTHER WARRANTIES, THERE ARE NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR AS TO MATERIALS OR LABOR PROVIDED BY OR AT THE DIRECTION OF AWS. 5. TERMS AND PAYMENT: Net 30 days A. Unless otherwise specified in a signed AWS proposal, payments due from the customer to AWS hereunder shall be made within thirty days from the date of AWS's invoice. All new customers are subject to payment in advance via certified check or money order. B. Customer shall pay a late charge of 1.5% per month (18% ANNUAL PERCENTAGE RATE) or at the maximum rate permitted by applicable law, whichever is less, on any unpaid amount for each calendar month, or fraction thereof, that any payments to AWS are in arrears, based upon the schedule of payments set forth above. C. AWS may terminate this agreement in the event that customer makes an assignment for the benefit of creditors, or a voluntary or involuntary petition is filed by or against customer under any law having for its purpose the adjudication of customer a bankrupt or the reorganization of the customer, or may be cancelled by AWS without notice should customer default in any payments due AWS as herein provided. 6. LEGAL COSTS AND EXPENSES: In the event that AWS shall incur any legal fees or costs or expenses in order to enforce or attempt to enforce this agreement caused by a breach hereof or default herein by the customer, the customer shall pay all such attorneys' fees and costs, provided that they are reasonably incurred by AWS, said cost to be paid within 30 days following the date that they accrue to AWS. 7. TAXES: The services rate(s) or other charges incurred by customer under this agreement do not include any federal, state or local privilege, use, sales or excuse taxes paid or payable by either AWS or customer with respect to this agreement or any of the services performed or materials, equipment or other items provided by AWS or customer which shall be paid by customer, except for taxes based on AWS's net income or capital stock, which shall be borne by AWS. 8. ASSIGNMENT: AWS may assign, subcontract, transfer or otherwise dispose of, in whole or in part, any of its interests, rights or obligations under this agreement. Any subcontractor performing maintenance services or other services hereunder will be subject to the same terms and conditions as are set forth herein. Customer shall not assign or subcontract any part or all of its interests hereunder except upon the prior written consent of AWS, which consent shall not be unreasonably withheld, and any attempted assignment or subcontracting without AWS's prior written consent shall be null and void. 9. CONTRACTOR STATUS: It is understood and agreed that AWS is neither the agent nor employee of the manufacturer of the equipment or any lessor thereof, and unless expressly set forth herein AWS does not assume responsibility for the obligations of said manufacturer or any lessor under any warranty or agreement of the manufacturer or lessor. It is, however, understood that all references herein to the equipment specifications shall be deemed to include the specifications, recommendations or requirements of any manufacturer of the equipment. 10. GOVERNING LAW, JURISDICTION AND VENUE: This contract shall be governed by, and construed and enforced in accordance with the laws of the State of Illinois. In the event of a dispute hereunder, the parties consent to the exclusive jurisdiction of the state courts of, and federal courts sitting in, the State of Illinois. Any state court action, or any alternative dispute resolution proceeding shall be filed and maintained in Cook County, Illinois and any federal court action shall be maintained in the federal court venue nearest to Cook County, Illinois. 11. ENTIRE AGREEMENT: This agreement shall constitute the entire agreement between the customer and AWS irrespective of inconsistent or additional terms or conditions in customer's purchase orders or other documents submitted by the customer to AWS. This Agreement supercedes any other agreement whether written or verbal between the Customer and AWS and this Agreement may not be modified except by a written amendment specifically referencing this Agreement. 11 12. BINDING EFFECT: This agreement shall be binding upon the parties hereto and their heirs, executors, personal representatives, beneficiaries, successors and assigns, subject to the limitation of assignment set forth herein. Additional Terms and conditions: All material is guaranteed to be as is specified. All work will be completed in a workmanship like manner according to standard practices. All field personnel to be union members. Any alteration from the original plans and specifications, as outlined in this proposal, will be executed upon written orders only. All field work orders and/or change orders shall be executed prior to the performance of the work. All signatures of W/O & C/O acceptances will constitute acceptance of the outlined scope and confirm and guarantee payment in the amount as shown, over and above the original accepted contract/proposal amount. Field production will progress contingent upon strikes, weather conditions, uncontrollable shortages of materials and all other delays beyond the control of Advanced Wiring Solutions, Inc (AWS). Production delays, caused by performance of other trades, shall not constitute reason for AWS to work overtime to maintain the job progress schedule. In addition, no overtime has been included in this proposal unless expressly indicated. It is understood that the owner, or their agents, shall carry fire, tornado and other pertinent insurance coverage. AWS shall provide certificates of insurance for all require insurances including workman's compensation insurance. All AWS field personnel and supervisors have completed required OSHA sanctioned courses. No bond(s)(ing) has been included in this proposal unless otherwise outlined above. AWS will contact J.U.L.I.E. for location of public utilities. All private utilities and underground services will be located by others and will not be warranted by AWS Site obstructions precipitating progress delays will be charged for accordingly. Warranties: Both labor and manufacturers warranties are null and void in the event of (a) customer's negligence, (b) theft, abuse, (c) fire, flood, wind, lightening or any other acts of God, (d) any alteration of equipment from any other vendors not authorized by Advanced Wiring Solutions, Inc., (e) use of any equipment for other than the ordinary use for which the equipment was designed or the purpose for which such equipment was intended, or (f) failure to provide a suitable operating environment as prescribed by Advanced Wiring Solutions, Inc. or manufacturer, including without limitation, with respect to electrical power, air conditioning and humidity control. This will require a lift to be provided for us to do that part of the install. Please note the TV's are already in place and interfaced. We are bringing new 18/4 to the head end of each zone and moving on from there for the remaining speakers in said zone. We are also pulling 3 POE lines (CAT5e) to accommodate the CIR(s) and the Message Remote. All audio will be moved over from the Bogen amps currently in use over to the amps in the ATX. All the speakers we are installing are to be cut out of ceiling tiles and installed. The desired tiles will be marked out clearly on a pre -install walk thru. Existing speakers will be left in place and decommissioned by customer. All parts will be provided by the customer and are not included in this proposal. Notes: 1.
