Village of Mount Prospect 100 S. Emerson Mount Prospect, Illinois 60056 FINANCE COMMISSION JANUARY 15, 1981 Minutes The meeting was called to order by Chairman Ronchetto at 8:00 P.M. Present: Chairman Ronchetto, Commissioners Bachhuber, Beier, Hallman, Haase, Smilanic, Holloway. Mr. Paul Williams, Vice President of John Nuveen & Company, and Terrance L. Burghard, Village Manager were also in attendance. After a brief introduction by Mr. Burghard, Mr. Williams reviewed the major elements and directions of Venture. The communities currently participating in Venture are Buffalo Grove, Elk Grove Village, Hanover Park, Hoffman Estates, Mount Prospect, Rolling Meadows, Schaumburg, and Streamwood, and, Citizens Utilities Company. Venture has determined that its best interest lies with securing water from the City of Chicago in the vicinity of the east side of O'Hare. Evanston does not have the pumping capacity to serve Venture and DAMP, and until the recent Keifer study no other viable alternative has been proposed. The estimated cost of construction, engineering, and inspec- tion is $93.5 million. That construction estimate is based on an assessment of future dollars and represents the mid -point construc- tion cost, July, 1983. The vehicle for securing and operating the water system will be a "Joint Action Agency," which is authorized by the Illinois Constitution and recently modified by special legislation in 1980. The Agency will have a Board of Directors comprised of one elected representative from each municipality and an Executive Committee comprised of the managers of each community. Each municipality will have one vote and the private utility company may attend and parti- cipate in all meetings but does not have a vote. The likely financing vehicle will be the issuance of revenue bonds by the Joint Action Agency backed by take or pay contracts from the individual municipalities. It is estimated that the bonds will have an "A" rating. - 2 - Further, it is estimated that a total of $110 million to $115 million worth of bonds will have to be issued (inclusive of bond discounts and issuance fees). They will mature serially over a 35-40 year period. It is possible that Venture will use staged financing and smaller amounts over the life of the contracts, but this will have to be determined at the time of issuance and is de- pendent upon market rates. It is estimated that we would have a 9% interest rate. The average wholesale rate currently estimated is developed as follows: 90.97 Debt Service 11.070 O and M 2.04G Power 69.02 Chicago Rate 173.10 Per Thousand Gallons Venture has determined at this point that the formula for the amortization of debt service should include payment for the construction of future capacity. With that weighted formula, we could expect that communities with limited future growth might pay less than the available wohlesale rate and communities with poten- tial future growth would pay more than the available wholesale rate. Mr. Williams then indicated that the major issues facing Venture currently center about the need to form the Agency, nego- tiate with Chicago, and revise local water rates. After some general discussion, the Commission questioned as to why distance factors had not been incorporated into the rate formula. Mr. Williams and Mr. Burghard responded that distance had been an active consideration, but that because of various com- plexities and minor formula problems the idea had to be discarded. The Finance Commission requested to see existing data as it related to distance and that this matter be presented to the Commission at a subsequent meeting. After some further general discussion, the Commission expressed its appreciation to Mr. Williams for his time and explanation and continued this matter to a future agenda. Mr. Burghard distributed copies of the budget brief for fiscal year 1981-1982. After some general discussion about the directions of the budget and the Village's current cash position, the Manager reviewed briefly with the Commission the current sit- uation with Library financing. There being no further discussion before the Commission, Chairman Ronchetto adjourned the meeting at 10:20 P.M. Our examination will be made in accordance with generally accepted auditing standards and accordingly will include such tests of the accounting records and such other auditing procedures as we consider necessary in the circumstances. We direct your attention to the fact that the Village has the respon- sibilities for the proper recording of transactions in the books of account, for the safeguarding of assets and for substantial integrity of the financial state- ments. It is anticipated that Village personnel will supply the following data to us: adjusted trial balances for the various Tends, selected account analyses, bank reconciliations, budget data, ordinances relating to levies, other revenues and expenditures, selected paid invoices and other documentation or information relevant to our assignment. FEES. BILLING AND PAYMENT Our fees will be based on professional personnel time requirements, at the standard billing rates of our firm, plus any out-of-pocket expenses incurred. We estimate that our charges for the above services will not exceed $18,000. This estimate is exclusive of charges in connection with the Mount Prospect Public Library and are based on the expectation that your personnel will assist us as discussed above. If at any time during the engagement an extension of our services requiring an increase in our estimated fee appears to be required, we will discuss the circumstances with you immediately before expanding the examina- tion. We will bill you periodically, on an interim basis, as the work pro- gresses.
