V9 z Introduction Approximately every three years, the police department rebids the police towing and storage contract. The purpose of the contract is to select a single company to tow and store crashed, disabled, abandoned and impounded vehicles. The contract is regulatory only. It is intended solely to ensure vehicles are towed quickly and effectively by a professional towing service according to a fixed fee schedule. The police department gains no monetary consideration by contracting this service. Hence, timely, efficient and professional service is paramount for both the police department and the citizens it serves. On April 29, 2012, a legal notice was published in the Daily Herald inviting sealed bids for a new three -year contract scheduled to be in effect for the period of July 1, 2012 through June 30, 2015. On May 14, 2012, the Village Clerk opened and read the one (1) bid received from Hillside Auto Body, Towing Services, Inc. of Arlington Heights, Illinois. No other bids were submitted. Attached is a copy of the bid documentation submitted by Hillside Towing. Review of Bid Police staff evaluated this company according to its ability to meet the contract requirements. The bid document specifies several qualifications, including a license to do business in the Village, satisfactory evidence of professional experience, and satisfactory evidence of its ability to meet the performance requirements of the Towing Contract. Award of the contract is subject to the Village's consideration of price "and such other factors as would be in the best interest of the Village and the operational efficiency of the Police Department," with "proximity of storage facility /business headquarters being a critical factor in evaluating bid proposals that are otherwise similar in charges and services." The bidder was required, among other things, to provide the following information: the number, type, capacity and availability of the bidder's tow trucks, the size and security of the bidder's storage facility, the bidder's professional and police towing experience, the bidder's ability to meet the response times specified in the contract, the bidder's office hours and general availability, and the bidder's types of communications equipment (radios, cellular phones, pagers, etc.). Page 1 of 3 MOUNT PROSPECT POLICE DEPARTMENT I CHF 12 -91 FORMAL MEMORANDUM CONTROL NUMBER On May 17, 2012, an inspection of the bidder's business location was conducted by staff in an effort to ensure the facility met with contract specifications. These included general storage area, secured storage area, communication and dispatch systems, tow equipment, facility operating hours, security and surveillance systems, lot lighting and bidder's system to adequately store and retrieve vehicles. Additionally, when a bidder listed experience as tow agent for another police agency, we contacted most, if not all of those agencies, to obtain their experience on the bidder's quality of service. The Police Department's records and those of the Illinois Commerce Commission and Office of the Illinois Attorney General were reviewed to determine the bidder's quality of past services. Police staff also reviewed and considered the bidder's vehicle towing and storage fee schedules. The company's fee structure was reviewed for fairness and equity to those requiring tow services. Attached for your review is a comparison of the 2005, 2008 and proposed 2012 fee schedule for Hillside Towing. Although some costs have increased, most fees remained unchanged from the 2008 contract. Those fees which were increased were nominal and can be contributed to current fuel costs. Hillside Auto Body, Towing & Services Inc Hillside Auto Body is located at 200 E. Palatine Road in Arlington Heights. This location is at the intersection of Arlington Heights Road and Palatine Road. The business is staffed 24/7 with customer assistants and dispatch personnel. The business normally has 18 to 25 tow operators on duty during business hours and additional operators on call at all times. The business has 3 to 7 operators on call on the weekends and outside of normal business hours with additional personnel available as needed. Personnel are dispatched via a Nextel telephone system or a two way radio system. The location can store up to 300 vehicles. The area used for vehicle storage is fenced appropriately. The exterior holding facility is predominantly gravel and is appropriately lit by exterior lighting. The customer service section of the facility is maintained and meets the needs of the business. In addition to this primary site facility, the business operates an additional storage facility. The second site is located at 120 University in Arlington Heights. This new facility is surrounded by an 8' concrete fence and can store over 400 vehicles in the exterior and interior portions. The business operates 26 tow vehicles. Those on site were well maintained and clearly marked as tow vehicles per state law. Currently the business tows for 8 police agencies in the area. Contact was made with the following personnel from this group: Sergeant Gadomski of Rolling Meadows, Captain Nicholas Pecora of Arlington Heights, and Sergeant Scott Senminger of Buffalo Grove. All parties indicated positive experience with the tow company. Additionally, Captain Pecora added there have been no significant incidents at either Hillside facility in their town. A check was made through the Illinois Commerce Commission and the Office of the Attorney General regarding any complaints made against the company. Both agencies indicated they had no complaints on file for the tow company. A check through department records for complaints or disputes lodged against the company for incidents occurring in Mount Prospect in 2009, 2010 and 2011 was conducted. During this period, no complaints were lodged against Hillside Auto Body. It was concluded Hillside Auto Body, Towing & Services, Inc. met all aspects of the bid requirements. Page 2 of 3 MOUNT PROSPECT POLICE DEPARTMENT I CHF12 -91 FORMAL MEMORANDUM CONTROL NUMBER Recommendation When determining the company to best meet the needs of the department and the community, several factors in addition to cost, response, facilities, etc., are considered. It is of utmost importance that a tow company is able to provide a high level of service to both the police department and the individuals to which it provides tow services, i.e., professional service not only in the manner in which vehicles are towed or relocated but also in service provided to customers retrieving vehicles. Hillside Auto Body has proven its ability to provide a high level of timely professional service to both the police department and their customers. Hillside Auto Body has provided quality towing services to the Village for more than 15 years. During this time, they have proven reliable, cooperative and responsive. Hillside has demonstrated a keen awareness of the needs of the department when maintaining and releasing vehicles. They have met all the contract specifications and have earned the support of patrol shift supervisors and officers. Although the only bidder, Hillside Auto Body offers a combination of reasonable cost, excellent service and extensive experience in towing and storage of vehicles. Accordingly, Police staff recommends the police towing and storage contract be awarded to Hillside Auto Body, Towing & Services, Inc., as the lowest responsible bidder. RECEIPT OF PROPOSALS Sealed bid proposals to provide vehicle towing and storage services must be received in the Mount Prospect Village Manager's Office, 50 South Emerson Street, Mount Prospect, Illinois 60056, no later than 1:00 p.m. on May 14, 2012. Bids arriving after that time will not be accepted. Mailed bids, which are delivered after the specified hour, will not be accepted regardless of postmarked time on the envelope. All bid proposals will be publicly opened and prices read aloud thereafter on the same date at the Mount Prospect Village Hall, 50 South Emerson Street, Mount Prospect, Illinois. The bid proposal must be delivered in a sealed envelope to the Village Hall and marked to the attention of the "Village Manager ". The bid proposal must be clearly marked: "Sealed Bid — Village of Mount Prospect Vehicle Towing and Storage Contract" with the bid call number (if any), and the date of the bid opening. No proposal will be considered unless it is submitted on the bid proposal form, Exhibit A, included in this bid packet. The bid proposal must be typewritten or legibly completed in ink. QUALIFICATION OF BIDDERS To be entitled to consideration, bids must be submitted in accordance with this Notice to Bidders and the "Village of Mount Prospect Instructions to Bidders" (Appendix 1), and on the Proposal Form (Exhibit A). In addition, bidders must be licensed to do business in the Village of Mount Prospect, and must furnish satisfactory evidence of their professional experience and ability to meet the 280444_1 performance requirements of the Vehicle Towing and Storage Contract (Exhibit B) . 3. AWARD OF CONTRACT TO SUCCESSFUL BIDDER The Village of Mount Prospect will be the sole interpreter of all bid documents, and reserves the right to make its own assessment of bids received; to reject any and all bids; to waive irregularities and technicalities in the bids; to further negotiate details of the contract with the low bidder after award of the contract; and to award the contract based upon its consideration of the following criteria: a) Lowest responsible bidder. b) The ability, capacity, and skill of the bidder to perform the contract to provide the service required. c) Whether the bidder can perform the contract or provide the service promptly, or within the time specified, without delay or interference. d) The character, integrity, reputation, judgment, experience, and efficiency of the bidder. e) The quality of performance of previous contracts of services. f) The previous and existing compliance by the bidder with laws and ordinances relating to the contract or service. g) The sufficiency of the financial resources and ability of the bidder to perform the contract or provide the service. h) The ability of the bidder to provide future maintenance and service. i) The number and scope of conditions attached to the bid. j) Whether the bidder has a place of business in the Village. k) Responsiveness to the exact requirements of the invitation to bid. 1) Ability to work cooperatively with the Police Department and its staff. m) Past records of the bidder's transaction with the Village or with other entities as evidence of the bidder's responsibility, character, integrity, reputation, judgment, experience, efficiency and cooperativeness. n) Such other factors as would be in the best interest of the Village and the operational efficiency of the Police Department. 280444_1 The Village of Mount Prospect may make such inspections, as it deems necessary, including the right to inspect all bidder worksites related to the bid. CONTRACT The specifications and terms for award of this contract include all of those set forth in this Notice to Bidder, the Instructions to Bidder (Appendix 1), Proposal Form (Exhibit A) and Vehicle Towing and Storage Contract (Exhibit B). The successful bidder will be required to execute the Vehicle Towing and Storage Contract for the duration specified in that contract and the successful bidder's submitted Bid Proposal Form will be attached to and incorporated into that Contract. 160843_1. DOC 280444_1 VILLAGE OF MOUNT PROSPECT INSTRUCTIONS TO BIDDERS Appendix 1 To be entitled to consideration, bids must be made in accordance with the following instructions: The Village of Mount Prospect reserves the right to reject any or all bids, or any part thereof, or to accept any bid or any part thereof, or to waive any information in any bid when, it its opinion, the best interest of the Village will be served by such action. 2. Bidders may withdraw or cancel their bid, in written form, at any time prior to the advertised bid opening time. No bid may be withdrawn after that time for at least thirty (30) days. 3. Bids must be signed by an authorized official of the organization submitting the bid with the name of the official and his /her title typed below the signature. 4. The parts and materials bid must be of current date (latest model) and meet specifications. This provision excludes surplus, re- manufactured and used products except as an alternate bid or as specifically identified in a cover letter attached to the bid documents. 5. All equipment and material bid shall be in accordance with all applicable Federal, State and local laws, rules and regulations in effect at the time of bid. 6. Bids will be considered on equipment or material complying substantially with the specifications, provided each deviation is stated and the substitution is described, including technical data when applicable, in a letter attached to the bid. The Village of Mount Prospect reserves the right to determine whether such substitutions or deviations are within the intent of the specifications and will reasonably meet the service requirements of the applicable Village Department. Brand names which may be mentioned in the specifications do not indicate a preference and are used only as a reference to the type and quality of materials or equipment desired. 7. The brand name and /or manufacturer of each item proposed must be clearly stated. Guarantee and /or warranty information must be included with this bid. 8. Unless otherwise specified, materials and equipment purchased will be inspected by the receiving department to determine whether such items meet the requirements contained in the bid specifications. When deemed necessary, samples of supplies or materials will be taken at random from goods received for submission to a commercial laboratory, or other appropriate inspection agency, for analysis and testing as to whether the material conforms in all respects to the specifications. In cases where the commercial laboratory report indicates that the material does not meet the specifications, the expense of analysis is to be borne by the successful bidder and the order or balance thereof may be cancelled without penalty or premium to the Village. 9. Unless otherwise indicated, the bid price is to be FOB Mount Prospect, Illinois, with delivery as indicated on the purchase order. 280444_1 10. All Municipal, County, and State of Illinois Sales Taxes and Federal Excise Taxes, which are NOT applicable to sales to the Village of Mount Prospect, must be excluded from bid prices. 11. Prices shall be stated in units when applicable and quotation made on each item separately. In case of conflict, unit price shall govern. 12. Bidders must be sure to specify any terms which they wish to offer in the space provided. Cash discounts will be deducted from the base bid in determining the low Bidder. 13. Time of delivery is a part of the consideration and must be stated in definite terms where indicated on the bid sheet. If delivery or performance is not made within the specified time, the Village of Mount Prospect reserves the right to cancel the order or any portion thereof without penalty or premium to the Village. 14. The Village of Mount Prospect reserves the right to require the successful Bidder to furnish a performance bond. If required in the specifications, said bond shall be furnished within seventy -two (72) hours after notification of award in an amount not to exceed one hundred percent (100 %) of the net bid price. 15. If required in the specifications, each Bidder must submit with his bid a certified check or bid bond in an amount up to ten percent (10 %) of the total base bid, payable to the Village of Mount Prospect as a guarantee that the successful bidder will supply material and /or services as specified. The proceeds of any bid guarantee shall become the property of the Village if the successful Bidder, within 30 days after the opening of bids, withdraws his bid or if on notice of award refuses or is unable to comply with the contract requirements. 16. In case of default by the Bidder, the Village of Mount Prospect may procure the articles or services from other sources and may deduct the cost of such articles or services from the unpaid balance due the Bidder, or may collect against the bond or surety for excess costs so paid, and the prices paid by the Village shall be considered the prevailing market price at the time such purchase is made. 17. The Bidder shall hold the Village of Mount Prospect, its officers, agents and employees, harmless from liability of any nature or kind on account of the Village's use of any copyrighted or uncopyrighted composition, trade secrets, secret process, proprietary rights, patented or unpatented invention, article or appliance furnished or used under the bid specifications. 18. Successful Bidder is specifically denied the right of using in any form or medium the name of the Village of Mount Prospect for any advertising, promotion or reference unless express written permission is granted by the Village. 19. The vehicle owner is responsible for the payment of towing and storage charges before the vehicle is released by Contractor. In no event shall the Village of Mount Prospect or the Mount Prospect Police Department be charged for the towing or storage of any vehicles, including the towing of Mount Prospect Police Department vehicles, and vehicles towed for evidentiary, seizure, or impoundment purposes, pursuant to Section 8 of the Vehicle Towing and Storage Contract. In the event that the Police Department errs in having a vehicle towed, or extenuating circumstances exist, as determined solely in the Police Department's discretion, Contractor shall cancel all charges assessed against the vehicle owner at the request of the Police Department. If a vehicle owner does not pay, or cannot be located to pay the towing and /or storage charges, those charges shall be deducted from any funds derived from a subsequent sale or other disposition of the vehicle pursuant to state law. If the amount received by Contractor upon such disposition does not equal the storage charges, Contractor agrees to absorb the difference without charge to the Village of Mount Prospect. If a vehicle is towed to a location other than the Contractor's Storage Facility pursuant to a police investigation, and subsequently towed to the Storage Facility, the vehicle owner shall be required to pay for only one tow. No labor or material charges will be assessed for clean up, pursuant to Section 7 of the Vehicle Towing and Storage Contract. 280444_1 5. Attach to this form all documentation to show proof of ability to meet the specifications contained in the Notice to Bidders, Instructions to Bidder (Appendix 1) and Towing Contract (Exhibit B). All exceptions to the specifications must be explained in written detail by the bidder. Alternates will be considered but they must be thoroughly documented. 6. Please note, all storage facilities will be inspected by members of the Mount Prospect Police Department as part of the bid award process to ensure that the facilities comply with the specifications set forth in Exhibit B. Bids will be rejected if the facilities do not exist at the time of the bid or do not meet said requirements. In submitting this Proposal Form requesting award of the Village of Mount Prospect Vehicle Towing and Storage Contract, I hereby certifying that: 1. I am licensed to perform towing services by the Illinois State Commerce Commission (please attach proof); 2. All vehicles to be used to perform towing operations under the Towing Contract are properly registered and licensed by the Illinois Secretary of State for towing operation (please attach proof); 3. 1 will accept responsibility for any and all property left in towed and stored vehicles; 4. 1 will not assign or subcontract towing services for the Village without prior written approval of the Corporate Authorities of the Village of Mount Prospect; 5. Neither I, nor any person operating a tow truck on my behalf, has been convicted under the laws of Illinois or any other state of an offense which under the laws of this state would be a felony involving the theft of property, violence to persons, or criminal damage to property. PaIgAtm W. W. Nts. Illinois, (hereinafter the "Contractor "). 1. GENERAL This Towing Contract is for towing and storage services provided by Contractor upon the request of the Mount Prospect Police Department (hereinafter the "Police Department ") within the corporate limits of the Village of Mount Prospect. Contractor's bid responses, which were set forth in Attachment B of the Proposal Form, Village of Mount Prospect, Vehicle Towing and Storage Contract (hereinafter the "Proposal Form "), are attached hereto and incorporated herein as Exhibit A, and shall be a substantive part of this Contract. Contractor acknowledges that the Village is entrusting this service to it, and, as such, expects Contractor to provide a high quality of service and professional treatment to the Village, its personnel, and the public. 2. SCOPE OF SERVICES Contractor shall furnish all services, labor, equipment, facilities, and materials for towing and storage at the request of the Police Department for: a. vehicles involved in traffic accidents; b. abandoned vehicles on roadway; C. disabled vehicles; d. abandoned or unclaimed vehicles on private property; e. vehicles seized or impounded as evidence; f. recovered stolen vehicles; g. vehicles involved in crimes; h. vehicles relocated during a village emergency; and i. such other vehicles as may be requested by the Police Department. Unless otherwise specifically authorized by the Police Department, all vehicles towed pursuant to this Contract shall be towed to Contractor's storage facility, located at 20C E. Pclatic\P- Rd -,, Rnuator 11- (hereafter the "Storage Facility. ") 3. CALLS FOR SERVICE Services under this Contract are to be rendered only upon request of the Police Department. Contractor, upon notification by the Police Department, shall immediately send the requested number of tow trucks to the designated location(s) and, at the direction of the Police Department's officer -in- charge at the location of the tow, shall remove the vehicle or vehicles from the scene(s) directly to the Storage Facility, for the charge referred to in Section 13, 280444_1 Contractor shall consider calls from the Police Department as having first priority over requests for towing services from other parties. Upon the effective date of the Contract, Contractor shall furnish the Police Department with the names of all other public agencies having towing contracts or agreements with Contractor. During the term of the Contract, Contractor shall provide such information to the Police Department regarding contracts subsequently entered into by Contractor. 4. CONTRACTOR RESPONSIBILITY FOR PROPERTY /HOLD HARMLESS Contractor assumes full responsibility and liability for all property in its care or possession, including all vehicles and contents thereof, as a result of Contractor's towing and or storage services under this Contract, and indemnifies and holds harmless the Village of Mount Prospect, its officers, appointed and elected officials, Mayor and Board of Trustees, employees, volunteers, attorneys and agents from and against all claims for loss or damage to such property. 5. HOURS OF SERVICE Contractor shall maintain an office at the Storage Facility, which will be the central contact point for the public and Police Department personnel to communicate with Contractor in person and by telephone. Said office shall be open to the public during the following times, at a minimum: a. 9:00 am - 5:00 pm, Monday through Friday; b. 9:00 am - 12:00 pm, Saturdays; and C. 9:00 am - 12:00 pm, Sunday. In lieu of providing such office hours on Sunday, Contractor must provide a contact agent or employee available for immediate call out, in which case the after -hours release fee shall not be charged to vehicle owners for vehicles released during that time. Contractor will have an employee available at all hours when the office is not open to the public, to allow Police Department access to vehicles towed pursuant to this Contract, and to release vehicles under emergency situations subject to the approved release fee. Contractor shall maintain the equipment and labor force necessary to provide the towing and storage services contemplated under this Contract twenty -four (24) hours per day, three hundred and sixty -five (365) days per year. 6. TOW TRUCKS & TOWING EQUIPMENT Contractor shall have in operation at all times a minimum of two (2) heavy -duty tow trucks, each equipped with a minimum 10,000 pound capacity power winch, crane and boom; two (2) flatbed type heavy -duty tow trucks with a minimum 10,000 pound capacity; one (1) tow truck with 8,000 pound capacity power winch with remote underlift capability; one (1) 25 ton tow truck with underlift towing and transport capabilities, equipped with dual 25,000 pound capacity power winches. In the event that Contractor is unable to provide the flatbed -type tow truck, it may provide such service by contracting with an alternate towing agency. In such 280444_1 case, Contractor shall provide the Village with a written statement, stating that such a tow truck will be available, and indicating the name and location of that alternate towing company, said statement to be incorporated as part of this Contract upon acceptance by the Village. If a written contract is executed between the Contractor and the alternate towing agency, a copy of that contract shall be provided to the Police Department. In the event that an alternate towing company is used, all tows by that company will be made to the Storage Facility. 7 r� Each tow truck shall comply with all applicable requirements of the Illinois Vehicle Code, 625 ILCS 5/1 -100 et seq., shall carry the full complement of service items and insurance as outlined in the Illinois Vehicle Code, 625 ILCS 5/12 -606, and be equipped with all safety devices and lights required by Interstate Commerce Commission (ICC) regulations. Additionally, each tow truck must be equipped with radio or telephone equipment that allows Police Department personnel to immediately access the tow truck operator while enroute to a scene, in order to update, alter or rescind instructions previously given for a towing assignment. At least one tow truck must have the capability of relocating vehicles to the evidence bay in the underground parking garage of the Police and Fire Headquarters Building, located in the rear of 112 East Northwest Highway, Mount Prospect, Illinois. REMOVAL OF DEBRIS When there is debris, shattered glass, or other material from wreckage at the site of an accident, Contractor shall remove such material, spread dirt, sand or oil absorbent anywhere that oil or grease has been deposited, and otherwise act in compliance with Section 12 -606 of the Illinois Vehicle Code, 625 ILCS 5/12 -606. Such work is an integral part of every tow and no additional labor charge shall be assessed for this cleanup, or for materials used in the cleanup process. POLICE VEHICLE TOWS /STORAGE Contractor will provide certain tows and storage for the Police Department at no charge to the Village. Such tows, and any resulting storage, shall include the towing of Police Department vehicles, vehicles towed for evidentiary purposes, and vehicles seized or impounded (hereinafter collectively referred to as "Police Tows "). (All other tows are hereafter referred to as "Police- Directed Tows. ") When a vehicle is towed to a location other than the Storage Facility pursuant to a police investigation, and subsequently towed to the Storage Facility, the vehicle owner shall be required to pay for only one tow. The Police Department may place a hold on a towed vehicle by so informing Contractor (hereafter a "HOLD "). Vehicles subject to a HOLD shall not be released, serviced, inspected, repaired, contracted for service or repair, or have personal property on or within the vehicle removed without a written release from the Police Department. Any vehicle impounded or seized for evidentiary purposes shall be deemed to be subject to a HOLD. 280444_1 In the event that the Police Department errs in having a vehicle towed, or extenuating circumstances exist, as determined solely in the Police Department's discretion, Contractor shall cancel all charges assessed against the vehicle owner at the request of the Police Department. Contractor will process unclaimed and abandoned vehicles in accordance with the applicable provisions of the Illinois Vehicle Code (Chapter 625 of the Illinois Compiled Statutes) and the Municipal Code of the Village of Mount Prospect. Contractor shall maintain all appropriate records as specified by these statutes and ordinances. Such records will be open for inspection and copying by the Police Department at any time. 9. STORAGE FACILITY The Storage Facility shall be a fenced, locked, secure site for the storage of all vehicles towed pursuant to this Contract. Said Storage Facility must comply with all state, county, and municipal laws and /or ordinances applicable to the Facility's location. The Storage Facility must have a capacity sufficient to hold, at a minimum, seventy -five (75) vehicles towed under this Contract, and must be located so as to enable Contractor to meet the response time limits set forth in Section 10 of this Contract. 10. RESPONSE TIMES Upon the Police Department's request for services on Monday through Friday during the office hours described in Section 5, the requested equipment shall arrive at the requested location within fifteen (15) minutes of notification. On weekends and after office hours, the requested equipment shall arrive at the requested location within twenty -five (25) minutes after notification. Contractor shall provide its employees with the communications equipment necessary to maintain the required response times and shall insure that its employees comply with all applicable traffic laws in meeting this response time requirement. 11. EMPLOYEES / OPERATORS Contractor will assign only competent, courteous, trustworthy, and sober employees to provide towing services under the provisions of this Contract. Tow truck operators shall meet the following requirements: a. Hold a valid driver's licenses to operate such vehicles. b. May not have been convicted under the laws of Illinois or any other state of an offense, which under the laws of this state would be a felony involving theft of property, violence to persons, or criminal damage to property. C. During two years immediately preceding, may not have been convicted of safety violations on 3 or more occasions in which his or her vehicle was taken out of service, or which otherwise shows the applicant to be unfit. d. Notwithstanding the limitations set forth in subsection 2, if said person was convicted more than two (2) years prior and can demonstrate evidence of rehabilitation, the Village Manager may approve an otherwise ineligible 280444_1 operator, so long as he or she holds a valid driver's license to operate such vehicles. Upon the effective date of the Contract, and upon the hiring of any tow truck operators during the term of the Contract, Contractor will provide the Police Department with the following information for each tow truck operator: a. Name b. Address C. Date of birth d. Drivers license number, state, and classification. 12. ADHERENCE TO LAWS Employees and agents of Contractor shall obey all federal, state, county and municipal laws and ordinances during the execution of their duties under this Contract. The existence of this Contract does not exempt such individuals from compliance with such laws or ordinances, nor does it convey any special rights or privileges upon those individuals. Contractor shall meet all applicable licensing requirements of the Village of Mount Prospect. If Contractor or the Storage Facility is determined to be in violation of any zoning or building code regulation, the Village may terminate the Contract immediately. In addition, Contractor is required to comply with all federal, state, county and municipal laws and ordinances, including the following: a. Provide a drug free workplace pursuant to the Illinois Drug Free Workplace Act (30 ILCS 580/1, et seq.); b. Comply with the Illinois Public Works Employment Discrimination Act (775 ILCS 10/1 et seq.); C. Comply with Article 2 of the Illinois Human Rights Act (775 ILCS 5/2 -101, et seg. and the Rules and Regulations of the Illinois Department of Human Rights, including establishment and maintenance of a sexual harassment policy as required by Section 2 -105 of that Article and Act; d. Comply with the Americans with Disabilities Act; and e. Comply with the provisions of the EQUAL EMPLOYMENT OPPORTUNITY CLAUSE required by the Illinois Department of Human Rights as a material term of all public contracts, which states as follows: Title 44, Part 750, Section 750, APPENDIX A, Illinois Administrative Code, Equal Employment Opportunity Clause EQUAL EMPLOYMENT OPPORTUNITY In the event of contractor's non - compliance with the provisions of this Equal Employment Opportunity Clause, the Illinois Human Rights Act or the Rules and Regulations of the Illinois 280444_1 Department of Human Rights ( "Department "), contractor may be declared ineligible for future contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations, and the contract may be cancelled or voided in whole or in part, and such other sanctions or penalties may be imposed or remedies invoked as provided by statute or regulation. If any such labor organization or representative fails or refuses to cooperate with the contractor in its efforts to comply with such Act and Rules, the contractor will promptly so notify the Department and the contracting agency and will recruit employees from other sources when necessary to fulfill its obligations thereunder. 5) That it will submit reports as required by the Department's Rules, furnish all relevant information as may from time to time be requested by the Department or the contracting agency, and in all respects comply with the Illinois Human Rights Act and the Department's Rules. 6) That it will permit access to all relevant books, records, accounts and work sites by personnel of the contracting agency and the Department for purposes of investigation to ascertain compliance with the Illinois Human Rights Act and the Department's Rules. 7) That it will include verbatim or by reference the provisions of this clause in every subcontract it awards under which any portion of the contract obligations are undertaken or assumed, so that such provisions will be binding upon such subcontractor. In the same manner as with other provisions of this contract, the contractor will be liable for compliance with applicable provisions of this clause by such subcontractors; and further it will promptly notify the contracting agency and the Department in the event any subcontractor fails or refuses to comply therewith. In addition, the contractor will not utilize any subcontractor declared by the Illinois Human Rights Commission to be ineligible for contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations. With respect to the two types of subcontracts referred to under paragraph 7 of the Equal Employment Opportunity Clause above, following is an excerpt of Section 750.30 of the Department of Human Right's Rules and Regulations for Public Contracts: Title 44, Part 750, Section 750.30, Illinois Administrative Code, Subcontracts Each public contractor and subcontractor shall in turn include the Equal Employment Opportunity Clause set forth in Appendix A of this Part in each of its subcontracts under which any portion of the contract obligations are undertaken or assumed, said inclusion to be either verbatim or by reference so that the provisions of the clause will be binding upon such subcontractors. 280444_1 13. FEE SCHEDULE The charges to be assessed by Contractor under this Contract are set forth in the fee schedule contained in Exhibit A. Said charges are further subject to the limitations set forth in Sections 5, 7, 8 and 15. Contractor shall prepare a printed fee schedule, describing the fees set forth in Exhibit A, to be made available upon request to person(s) serviced under this Contract. Additionally, a copy of the printed fee schedule shall be posted in plain view of the public in a conspicuous place at the Storage Facility and Contractor's office location. 14. LOG BOOK, RECORDS & REPORTS REQUIRED Contractor will maintain a logbook, or other acceptable record keeping system, to record the following information for all tows pursuant to the Contract: a. time, date, and location of tow, hold information (if applicable), the name or star number of the officer authorizing the tow, and the police report number; b. the year, make, model, registration number, and vehicle identification number of the towed vehicle; and C. the date the vehicle was released. Contractor shall maintain the following additional records for all Police- Directed Tows: a. the date and time the vehicle owner was notified of the tow, b. itemized billing of all towing and storage charges; C. a copy of the signed release form completed by person claiming vehicle; and d. copies of all complaints. Contractor shall make a customer complaint form, approved by the Police Department, available to vehicle owners for the filing of complaints about Contractor, its employees, or the service provided under the terms of this Contract. Contractor shall forward a copy of every such complaint to the Police Department within twenty -four (24) hours of submission of the complaint to Contractor. On a monthly basis, Contractor shall provide the Police Department with a written inventory and status report on all Police- Directed Tow vehicles. This report shall be due before the tenth day of the following month. If Contractor fails to include any Police- Directed Tow vehicles in this report, the vehicle owner's responsibility will be limited to the charges incurred during the month it was towed. 280444_1 All such records shall be open for inspection and copying by the Police Department at any time. 15. OWNER /AGENT NOTIFICATION Contractor shall use reasonable efforts to contact the owner and /or insurance agent of Police- Directed Tow vehicles within forty -eight (48) hours of the tow. If Contractor has been unable to contact the owner and /or insurance agent within thirty (30) days of the tow, Contractor will notify the Police Department Abandoned Auto Processing Officer to process the vehicle as an unclaimed vehicle. If a vehicle owner does not pay, or cannot be located to pay the towing and /or storage charges, those charges shall be deducted from any funds derived from a subsequent sale or other disposition of the vehicle pursuant to state law. If the amount received by Contractor upon disposition, as an unclaimed vehicle, is not at least equal to the towing and storage charges, Contractor agrees to absorb the difference without charge to the Village. 16. REMOVAL OF PERSONAL PROPERTY With the exception of vehicles subject to a "HOLD," Contractor shall allow owners of Police- Directed Tow vehicles to remove personal property from their vehicles and to remove the license plates from such vehicles. No property is to be removed from vehicles subject to a "HOLD" without the prior authorization of a Police Department official. 17. METHODS OF PAYMENT Cash, certified check, and any major credit cards under generally accepted business guidelines are accepted methods of payment for Contractor's services. 18. HOLD HARMLESS AGREEMENT (CONTRACTUAL LIABILITY) Contractor assumes full responsibility for the acts and omissions of its employees and agents while engaged in performing services under the Contract. Contractor agrees, to the greatest extent permitted by Illinois law, to protect, indemnify, save and hold forever harmless the Village, its officers, appointed and elected officials, Mayor and Board of Trustees, employees, volunteers, attorneys and agents from and against any and all liabilities, obligations, claims, losses, damages, penalties, and costs and expenses resulting from any suit, claim, demand, judgment, or cause of action initiated by any person, including Contractor and its officers, officials, employees, subcontractors, volunteers and agents, arising out of, connected with, or in any way associated with the work covered by this Contract or the equipment used in connection therewith. 19. CONTRACTOR'S LIABILITY INSURANCE Contractor shall not commence work under this Contract until it has obtained all insurance required hereunder and such insurance has been approved by the Village. Certificates of such insurance shall be filed with the Village prior to 280444_1 commencing work. Additionally, Contractor will provide the Village with a letter from the insurance carrier that the Village will be notified within thirty (30) days of the pending cancellation of any policy relating to this Contract. Each insurance company shall be subject to approval by the Village, and the respective policies shall name the Village of Mount Prospect as an additional named insured. Approval of the insurance by the Village shall not relieve or decrease the liability of Contractor hereunder. Such insurance is primary and in no event will be considered contributory to any insurance purchased by the Village. Such insurance will not be canceled, reduced, or materially changed without providing the Village thirty (30) days advance written notice, via certified mail. In addition to the insurance requirements referred to in Section 6, Contractor will provide certificates of insurance evidencing the following types and limits of insurance. a. Comprehensive General Liability: $1,000,000 combined single limit per occurrence for bodily injury, personal injury, death and property damage. Minimum general aggregate shall be no less than $2,000,000. A copy of the policy may be required. b. Public Liability: $1,000,000 combined single limit per occurrence. The minimum general aggregate shall be no less than $2,000,000. C. Automobile Liability: $1,000,000 single limit per accident for bodily injury with a minimum aggregate of $1,000,000. $500,000 single limit per accident for property damage with a minimum aggregate of $500,000. Said insurance is to be extended to cover hired and non -owned vehicles. d. Workers' Compensation: is to be provided as required by State statue, by an insurance company licensed to write worker's compensation coverage in the State of Illinois. e. Garage Liability: $1,000,000 combined single limit per occurrence. The minimum general aggregate shall be no less than $3,000,000. f. Garagekeepers Liability: $1,000,000 combined single limit per occurrence. The minimum general aggregate shall be no less than $1,000,000. g. Umbrella or Excess Liability: $2,000,000 per occurrence and in the aggregate. h. Insurance Rating: All insurance policies required by this contract shall be underwritten by insurance companies with a minimum A.M. Best rating of A: VII. Contractor shall maintain all insurance required under subsections a through h of this Section for not less than one (1) year after completion of this contract. 280444_1 20. CONTRACT TERMINATION The Village and Contractor reserve the right to terminate the Contract at any time upon thirty (30) days advance written notice to the other party. In addition to the provisions set forth in section 9 for immediate termination, failure of Contractor to perform any aspect of this Contract properly, to provide proper treatment to the general public, and /or to promptly respond to calls for service without good reason, in the sole discretion of the Vilage, is cause for immediate termination of the Contract without prior notice. 21. LENGTH OF CONTRACT This Contract shall be in effect beginning July 1, 2012, and shall remain in effect until June 30, 2015, unless terminated by either party under the conditions specified in Section 20, Contract Termination. The Contract may be extended for up to two (2) successive one (1) year periods beyond the termination date by mutual, written agreement between the Village and the Contractor. 22. CONTRACT RENEGOTIATION During the term of the Contract, but prior to April 30 of each Contract year, Contractor may submit a written request for modification of any provision of the Contract, including a request to increase towing or storage charges. Such a request must include a written justification for the modification. Requests for towing or storage charge increases must be based upon increases in Contractor's operating costs related to Contractor's fulfillment of the Contract requirements. Such a request must be directed to the Chief of Police, who will be responsible for determining its merits, and negotiating any changes in the Contract. If a modification of any Contract provision, including the fee schedule, is agreed upon, the Contract must be amended in writing and executed by Contractor and the Village Manager. Any unchanged Contract provisions shall remain in full force and effect. In the event a requested fee schedule change increase is not granted, Contractor shall have the option of terminating the Contract pursuant to Section 20. 23. COMPLIANCE WITH FREEDOM OF INFORMATION ACT REQUEST The Illinois Freedom of Information Act (FOIA), 5 ILCS 140/1 et seq., applies to public records in the possession of a party with whom the Village of Mount Prospect has contracted. The Village will have only a very short period of time from receipt of a FOIA request to comply with the request, and there is a significant amount of work required to process a request including collating and reviewing the information. Contractor acknowledges the requirements of FOIA and agrees to comply with all requests made by the Village of Mount Prospect for public records (as that term 280444_1 is defined by Section 2(c) of FOIA) in its possession and to provide the requested public records to the Village of Mount Prospect within two (2) business days of the request being made by the Village of Mount Prospect. Contractor agrees to indemnify and hold harmless the Village of Mount Prospect from all claims, costs, penalty, losses and injuries (including but not limited to, attorney's fees, other professional fees, court costs and /or arbitration or other dispute resolution costs) arising out of or relating to its failure to provide the public records to the Village of Mount Prospect under this Contract. 24. ASSIGNMENT Contractor shall not assign this Contract or any part thereof without the prior written consent of the Village. Approval, if any, for such assignment shall be made by the Corporate Authorities of the Village. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective assigns, legal representatives and successors in interest. 25. GOVERNING LAW This Contract shall be governed by and construed in accordance with the laws of the State of Illinois and applicable federal law. Venue shall only be proper in a court of competent jurisdiction located within the County of Cook, Illinois. 26. SEVERABILITY The invalidity or unenforceability of one or more of the terms or provisions contained in this Contract shall not affect the validity or enforceability of the remaining terms and provisions of this Contract so long as the material purposes of this contract can be determined and effectuated. 27. INTERPRETATION Any headings of the Agreement are for convenience of reference only and do not define or limit the provisions thereof. Words of gender shall be deemed and construed to include correlative words of other genders. Words importing the singular shall include the plural and vice versa, unless the context shall otherwise indicate. All references to any person or entity shall be deemed to include any person or entity succeeding to the rights, duties and obligations of such person or entity succeeding to the rights, duties and obligations of such person or entity in accordance with the terms and conditions of the Contract. 28 WAIVER OF BREACH If either party waives a breach of any provision of this Contract by the other party, that waiver will not operate or be construed as a waiver of any subsequent breach by either party or prevent either party from enforcing such provisions. 29 MERGER - AMENDMENT 280444_1 This Contract sets forth the entire understanding of the parties relative to the subject hereof and supersedes any and all prior agreements, express or implied, oral or written. No amendment or modification of this Contract shall be effective unless reduced to writing and executed by the parties. 30 COUNTERPARTS This Contract may be executed in several counterparts each of which shall be an original and all of which shall constitute but one and the same instrument. 31. JANONIS FROM: VEHICLE /EQUIPMENT SUPERINTENDENT DATE: JUNE 6, 2012 SUBJECT: SUBURBAN PURCHASING COOPERATIVE FUEL BID AWARD ($188,000) Background Annually, the Village has utilized the Northwest Municipal Conference (NWMC) /Suburban Purchasing Cooperative (SPC) bid contract to purchase fuel for the Village's fleet of vehicles and equipment. Since June 6, 2008 the bid was awarded to Texor Petroleum Company, of Riverside, Illinois. This bid award had provisions which included three (3) additional one (1) year optional contract extensions. Each year, following the initial award, the NWMC /SPC exercised all of the contract extensions. The final contract extension expired on June 5, 2012. Bid Award On May 29, 2012 we were notified by the NWMC that this years SPC fuel bid was awarded to Palatine Oil Company, Inc., of Schaumburg, Illinois. Four (4) fuel supply firms participated in the NWMC /SPC public bidding process. The cost of fuel per gallon will vary according to market conditions, as reflected in the Oil Price Information Service (OPIS) low rack published price. Palatine Oil Company's bid was for $0.0475 over (profit/overhead) the OPTS low rack cost of fuel for unleaded gasoline and $0.0575 for #2 bio- diesel. The final contract extension that just expired with Texor Petroleum was for $0.0595 over the OPIS low rack cost of fuel for unleaded gasoline and $0.0869 for #2 bio- diesel. Attached is a fuel bid work sheet that compares last year's Village contract pricing with the new SPC bid award pricing. The current bid award also includes a provision to extend the contract three (3) additional one -year periods under the same terms and conditions of the original contract. SPC Fuel Bid Award June 12, 2012 Page 2 of 2 Discussion The NWMC /SPC fuel bid award is in effect from June 6, 2012 to June 5, 2013. Throughout the potential four -year term of this contract (initial award and three (3) one - year extensions), the OPTS low rack price may rise and fall on a daily basis but the amount of money paid to Palatine Oil Company as profit/overhead will not change. It will remain fixed at $0.0475 over the OPIS low rack price for unleaded gasoline and $0.0575 for #2 bio- diesel. Based on our five (5) year average consumption of 100,000 gallons of gasoline and 50,000 gallons of diesel fuel, we would realize a savings of $4,575 compared to last year's contract pricing through Texor Petroleum. Palatine Oil has been in business for forty (40) years, has an experienced staff, and sales for their last fiscal year totaled $85,000,000. The first three (3) trucks listed are Ford % ton four -wheel drive pickup trucks used by the Public Works Department as transportation, hauling supplies, snow removal, ice control, and towing trailers /equipment to jobsites throughout the Village. The Forestry /Grounds Division primarily utilizes 2732 and 4534 in their daily maintenance of the Village's tree population. The Water Division primarily utilizes 2759 in their daily maintenance of the Village owned water system and sewer systems. All of these vehicles are also utilized during snow events to remove snow and control ice in parking lots, cul -de -sacs, and water /sewer system properties. 4539 is a Chevrolet % ton two -wheel pickup truck used by the Street/Building Division of Public Works as transportation, hauling supplies, equipment, and tools to maintain all Village owned buildings. Additionally, this truck has a utility body with storage compartments to keep tools and specialized equipment secure. Replacement Schedule All four (4) pickup trucks were purchased in 2001. The vehicle /equipment replacement schedule for pickup trucks is 10 years or 50,000 miles. These trucks have completed their 11 year of service and each one has logged over 50,000 miles. All vehicles were deferred from previous budget years and have exceeded the vehicle /equipment replacement schedule criteria for replacement. Life Cycle Cost Analysis Life cycle cost analyses have been completed for all trucks and are attached for your review. The optimum economic replacement point for each vehicle has been calculated between years 4 and 5. The modified economic replacement point for each vehicle, which considers the depreciation expense of the proposed new replacement vehicle, has been calculated between years 10 and 11. However, the total cost of the same purchase is $757 higher. Replacement Recommendation It is my recommendation that four (4) replacement vehicles for 2732, 2759, 4534 and 4539 be purchased during the 2012 budget year. Additionally, the purchase price has remained at 2010 State Contract bid pricing and will increase substantially during the next model production year. Bid Recommendation I am recommending that the Village Board accept the State of Illinois bid results and authorize the purchase of four (4) new 2012 Ford F -250, Super Duty Pickup Trucks from Morrow Brothers Ford, Inc., of Greenfield, Illinois at a cost not to exceed $88,500. Funds for this proposed purchase are currently 100% funded through the Vehicle Replacement Fund and are available in the 2012 budget. The remaining funds will be used to purchase necessary additional equipment, and one service body to provide completely functional vehicles. The furniture will be purchased through Business Office Systems at a cost not to exceed $48,925.00. Attached for your review is a detailed quote outlining the furniture to be purchased, their prices and graphic illustrations. Discussion The entire complement of police department office furniture was purchased in 1993 as part of the newly constructed Public Safety Building project. Although the original furniture has provided many years of satisfactory service, the furniture has become worn, soiled and in desperate need of replacement. Investigative section furniture has shown exceptional wear due to its extensive use over the years. Additionally, investigative supervisors are afforded a minimal amount of filing and storage space. In recent years, other Village departments have purchased modular style office furniture. This style allows for interchangeability of components, while maintaining ample storage and filing space. Additionally, modern furniture is configured for computer related tasks which represent a substantial portion of investigators' daily activity. Modular components also provide personnel ample counter, filing and storage space. In 2008 and subsequent years, the department replaced the office furniture in the records section, patrol supervisors, report writing, and the front desk area as part of an overall planned furniture replacement schedule. In preparation for these purchases, staff researched which vendor best met the needs of the department and the characteristics of furniture in use by other Village departments. Staff reviewed office furniture offered by both Warehouse Direct Office Products and Business Office Systems, as these two vendors supplied office furniture to the Village and both have provided excellent service and quality products. Warehouse Direct Office Products offered furniture from the HON furniture product line. This product line is comparable to the NVision furniture product line offered by Business Office Systems in both style and manufacturing components. Based upon cost, features and quality it was staff's recommendation to purchase NVision Groupe Lacasse furniture manufactured by Haworth, Inc. and offered by Business Office Systems of Carol Stream. It is staff's recommendation to purchase furniture from Business Office Systems based upon the proposals submitted by the two vendors. Pricing through Business Office System was based upon a competitive bid process and was substantially lower ($6,151.00) than pricing for comparable furniture offered by Warehouse Direct. In addition to providing pricing via a competitive bid process, other Village departments have been well satisfied with the quality of furniture and the service provided by Business Office Systems. Additionally, Business Office Systems offered NVision Groupe Lacasse furniture pricing through the U.S. Communities National Sales Agreement Pricing, a competitive bid process (N051017 US Communities Sole Source). Conclusion & Recommendation In determining the needs of the department and its personnel in choosing furniture for the investigative section, factors such as vendor satisfaction, quality, durability, comfort, and price were considered. Based upon these factors, it is staff's recommendation to purchase NVision Groupe Lacasse furniture manufactured by Haworth, Inc. as offered through Business Office Systems. Public agencies must register to participate. There are no restrictions on the amount or size of a public agency order. How much does it cost to participate in U.S. Communities? There are no costs or fees to the local agency to participate. How is U.S. Communities funded as a nonprofit? Suppliers pay an administrative fee between 1 % and 2.5 %, based on sales generated, to participate in the program. Those fees fund operating expenses and offset costs incurred by national and state sponsors. Can agencies other than public agencies use the program? Yes, nonprofit agencies providing a service on behalf of a governmental entity can use the program, in addition to counties, cities, special districts, schools, universities and colleges, towns, villages and state agencies. If there is a performance problem, do I still look to my local representative to resolve it? Yes, your local representative remains your primary contact for every aspect of your transaction, from initial inspections and reports to long -term preventive maintenance, as required by the terms of your contract.
