Village computers are currently running Microsoft Office 2003, which is no longer supported by Microsoft. The Village has budgeted to upgrade to the current version this year. Staff is requesting approval to purchase Microsoft Office from CDW under the CMS Illinois state bid award. The office suite upgrade has been on hold, waiting for availability of Office 2010, which is now available. The license agreement will allow us to install Office 2007 now and upgrade to Office 2010 when we are ready without additional expense. Not all workstations need the full version. Office Professional Plus includes Word, Excel, PowerPoint, Outlook, OneNote, Publisher, InfoPath and Access. The Standard version, which includes everything except Access and InfoPath, will be purchased for those that do not require Access. CDW holds the Illinois state contract for Microsoft volume licensing, which makes their price more than 30% less than other suppliers. Costs are shown in the chart below. SUBJECT: COMPREIII:NSIVE BIKI: PLAN 4 RECOMMENDATION TO IIIRE CONSULTANT - $35,427.71 �►=: BACKGROUND The Village of Mount Prospect is seeking to complete a Comprehensive 13ike Plan tailored to the specific needs of Mount Prospect. The completed plan will include bicycle - related goals for the town, an inventory and evaluation of existing bicycle facilities and amenities, a proposed bicycle facility plan, and a detailed implementation plan to achieve the goals. The bike plan will be funded through the Department of Energy's Energy Efficiency and Conservation Block Grant Program. The Village of Mount Prospect solicited interested contractors though a Request for Statement of Qualifications. According to 501LCS 510 Local Government Professional Services Selection Act and Title 23, Chapter 1, Subchapter 1, Paragraph 112(b)(2) of the United States Code, local governments must negotiate and enter into contracts for architectural, engineering and land surveying services on the basis of demonstrated competence and qualifications for the type of services required and at fair and reasonable compensation. Awarding a contract to the lowest bidder through competitive bidding is not allowed. The act requires local governments to rank a minimum of three firms in order of preference and begin negotiations with only the top ranked firm. It is customary that a selection committee ranks the firms. RESULTS A Statement of Qualifications was released publicly to planning and engineering firms. After reviewing the qualifications, Staff interviewed the following consultant teams: • Active Transportation Alliance, League of Illinois Bicyclists, Sam Schwartz Engineering • Bonestroo and LYKAH • T.Y. LIN Based on the material submitted and the interview process, staff ranked the three consultants and selected to negotiate an agreement with the first ranked consultant, Active Transportation Alliance. The negotiation process produced a final scope and compensation for the required services. Comprehensive Bike Plan Contract July 20, 2010 Village Board Meeting Page 2 DISCUSSION The three top ranked consultant teams submitted documentation indicating their ability to perform the necessary services, which included references from past projects. During the interview process, Staff questioned the consultants and discussed: • Similar project experience. • Capacity to perform the work and key personnel committed to the project. • Understanding of the project needs. • Ability and methods used to interact with the public and solicit public feedback. Based on our evaluation of the statements of qualifications, interviews, and negotiations with the first ranked consultant, Active Transportation Alliance, Staff has determined that they are the most preferred and can perform the necessary services within the budget limits for the project. Active Transportation Alliance is currently working with the Northwest Municipal Conference on the implementation plan for a regional bike plan. RECOMMENDATION Staff is recommending that the negotiated proposal submitted by Active Transportation Alliance be accepted with a not to exceed amount of $35,427.71 at the July 20, 2010 Village Board Meeting. The Village of Mount Prospect budgeted $40,000 for this project through the Energy Efficiency and Conservation Block Grant Program. H:\ PLAN\ Bicycle\ contractto V B_July2010.d oc VILLAGE OF MOUNT PROSPECT CONSULTANT AGREEMENT FOR A COMPREHENSIVE BICYCLE PLAN This CONSULTANT Agreement For A Comprehensive Bicycle Plan (referred to as the "Agreement ") is entered into on the EFFECTIVE DATE as hereinafter defined, by and between the Village of Mount Prospect, an Illinois home rule municipal corporation (referred to as the "VILLAGE "), and Active Transportation Alliance, an Illinois Not - for - Profit Corporation (referred to as the "CONSULTANT ") (CONSULTANT and VILLAGE are sometimes referred to as "PARTY" and "PARTIES "). WHEREAS, the VILLAGE is eligible to receive a grant of EECBG funds (referred to as "EECBG Funds ") from the U.S. Department of Energy's (DOE) Energy Efficiency and Conservation Block Grant Program (referred to as the "EECBG Program "), authorized under the Energy Independence and Security Act of 2007 (Title V, Subtitle E) and funded by the American Recovery and Reinvestment Act (ARRA) of 2009; and WHEREAS, the EECBG Program's three main objectives are: (1) reduce fossil fuel emissions; (2) reduce total energy use; and (3) improve energy efficiency in the building, transportation, and other appropriate sectors; and WHEREAS, in 2007, the VILLAGE's Comprehensive Plan was updated and included a directive to study public transportation, bike routes, and pedestrian amenities, and in 2008, the VILLAGE worked with the Regional Transportation Authority (referred to as "RTA ") under the Community Planning Program to study and evaluate the level of service for public transportation modes throughout the community, including METRA Commuter Rail and PACE Suburban Bus Service of the RTA and bike routes, recommending a more detailed analysis of the bike plan component (referred to as the "Bike Plan "); and WHEREAS, the Bike Plan is funded by EECBG Funds; and WHEREAS, the VILLAGE has determined that it is necessary to employ a qualified planning and engineering consultant to create the Bike Plan (referred to as the "Services "); and WHEREAS, the VILLAGE desires to retain CONSULTANT to provide the Services, as more fully described below, and CONSULTANT desires to provide such Services. NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, and other good and valuable consideration the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Incorporation of recitals. The Provisions stated in the preamble above are incorporated herein and made operative provisions, as if fully set forth. 2. Services. The Services (sometimes referred to as "Work ") to be provided to VILLAGE by CONSULTANT are set forth in Attachment 1, Scope of Work, which is attached hereto and incorporated herein. All Work completed by the CONSULTANT, including, but not limited to, all GIS Shape Files, research, related data, maps, and all of the deliverables identified in Attachment 2, Project Scope, shall be the property of the VILLAGE. 3. Payment. The VILLAGE agrees to pay the CONSULTANT a total amount not to exceed thirty -five thousand four hundred twenty -seven dollars and seventy -one cents ($35,427.71), in the specific amounts upon completion of each phase (Task) of the Work, as described in Attachment 2 — Project Scope, and approval and acceptance of such phases by the VILLAGE. Since Task 7 requires Consultant to report to the Village on an ongoing basis over the term of the Agreement, costs associated with Task 7 may be billed monthly as the activities are completed, rather than upon completion of the entire Task. All payments shall be made to the CONSULTANT by the VILLAGE pursuant to the provisions of the Local Government Prompt Payment Act (50 ILCS 505/1 et seq.). 252751_4 4. Term of agreement; Termination. The Services shall be completed within 15 months after the effective date as hereinafter defined. 5. Performance of Work. The Services performed or furnished by CONSULTANT under this Agreement will be performed or furnished with the care and skill ordinarily used by members of CONSULTANT's profession practicing under similar conditions at the same time and in the same locality. 6. Compliance with EECBG Program Requirements. CONSULTANT shall comply with the EECBG Program Requirements, as amended from time to time, including, but not limited to, compliance with the Buy American Act, 41 USC 10(a)- 10(d), the Davis Bacon Act, 40 USC 3141 et seq. (prevailing wages), and the National Environmental Policy Act (NEPA), 42 USC § 4321 et seq., publication and reporting requirements. 7. Infringement. CONSULTANT guarantees that all Work provided is original and shall not be subject to any claims of infringement. 8. CONSULTANT advertisement or promotion. The CONSULTANT is specifically denied the right of using in any form or medium the name of the VILLAGE of Mount Prospect for any advertising, promotion or reference, unless express written permission is granted by the VILLAGE. 9. Designation of CONSULTANT's Personnel. The VILLAGE reserves the right to designate alternative personnel of the CONSULTANT when the VILLAGE is dissatisfied with the performance of assigned personnel after the Work commences. 10. Compliance With All Laws. All Work under the Agreement must be executed in accordance with all applicable federal, state and local laws, ordinances, rules and regulations, including, to the extent applicable: a. The Illinois Public Works Employment Discrimination Act (775 ILCS 10/1 et seq.); b. The Americans with Disabilities Act; c. The Illinois Drug Free Workplace Act (30 ILCS 580/1 et seq.); d. The Federal Funding Opportunity Announcement, No. DE -FOA- 0000013; and e. State and federal prevailing wage laws. 11. Equal Employment Opportunity. CONSULTANT, every contractor and subcontractor shall comply with the Equal Employment Opportunity Clause, 44 ILL. Adm. Code 750, which is attached hereto and incorporated herein in Attachment 3, and is incorporated by reference into every bid specification and contract under the Agreement 12. Agreement Alterations. No amendment of the Agreement shall be valid unless made in writing and signed by the Village President, Village Manager, or their authorized representative. 13. Non - Assignability. The CONSULTANT shall not assign the Agreement, or any part thereof, to any other person, firm or corporation without the previous written consent of the VILLAGE. Such assignment shall not relieve the CONSULTANT from its obligations or change the terms of the Agreement. 14. Indemnity. The CONSULTANT shall indemnify and save harmless the VILLAGE, its officers, employees, and agents (the "Indemnitees ") from any and all liability, losses or damages, including attorneys fees and costs of defense, the lndemnitees may suffer as a result of claims, demands, suits, actions or proceedings of any kind or nature, including workers' compensation claims, in any way resulting from or arising out of the operations of the CONSULTANT under this Agreement, including operations of CONSULTANT's subcontractors; and the CONSULTANT shall, at its own expense, appear, defend, and pay all fees of attorneys and all costs and other expenses arising therefrom or incurred in connection therewith; and, if any judgments shall be rendered against the Indemnitees in any such action, the CONSULTANT shall, at its own expense, satisfy and discharge same. The CONSULTANT expressly understands and agrees that any performance bond or insurance protection required by the Agreement, or otherwise provided by the CONSULTANT, shall in 252751_4 no way limit the responsibility to indemnify, keep and save harmless and defend the Indemnitees as herein provided. 15. Insurance. CONSULTANT shall obtain and maintain insurance coverage, inclusive of liability and worker's compensation insurance, related to providing the Services hereunder in the following minimum amounts: Limit/ Limit/ Type of Insurance Ea. The Indemnitees, as defined in paragraph 13 of this Agreement, shall be named an "additional insured" and "loss payee" status on all applicable insurance policies. Said policies will not be cancelled unless the VILLAGE is provided a thirty (30) day written notice. Nothing contained in the insurance requirement shall be construed as limiting the extent of the CONSULTANT's responsibilities for payment of damages resulting from its operations under this Agreement. The CONSULTANT shall not commence work under the Agreement until it has obtained all insurance required hereunder and such insurance has been approved by the VILLAGE. Certificates of such insurance shall be filed with the VILLAGE prior to commencing work. 16. Contract Documents. The Request for Statement of Qualifications, released by the Village on April 14, 2010 (referred to as the "Request "), Instructions to Bidders, and all other portions of the bid documents, are incorporated herein by reference and shall constitute part of the legal contract between the VILLAGE and the CONSULTANT. In the event of a conflict between any provision in the Agreement and any of the bid documents, the Agreement provision shall govern to the extent of the conflict. 17. Default. The VILLAGE may terminate the Agreement by written notice of default to the CONSULTANT if the CONSULTANT: a. Fails to make delivery or perform the services within the time frame specified in the Agreement, or b. Fails to make progress so as to endanger performance of the Agreement, or c. Fails to provide or maintain in full force and effect, the liability and indemnification coverage or performance bond as is required. Termination shall be effective on the seventh (7 calendar day following CONSULTANT'S receipt of a notice of default unless CONSULTANT has cured the default or, if the default is not able to be cured in that time, CONSULTANT has undertaken reasonable steps, as determined by the VILLAGE, to cure the default and thereafter proceeds diligently to cure the default. If the VILLAGE terminates the Agreement, the VILLAGE may procure services similar to those so terminated, and the CONSULTANT shall be liable to the VILLAGE for any excess costs 252751_4 reasonably incurred for similar services, unless the CONSULTANT provides acceptable evidence that failure to perform the Agreement was due to causes beyond the control and without the fault or negligence of the CONSULTANT. 18. Permits and Licenses. CONSULTANT shall obtain, at its own expense, all permits and licenses that may be required to complete the Services under the Agreement (where applicable). 19. Notices and Communication. All notices and communications required hereunder shall be given in writing and shall be sent registered or certified mail, postage prepaid to, or served personally upon, the respective Parties as follows: If to the VILLAGE: Village Manager VILLAGE OF MOUNT PROSPECT 50 S. Notice shall be effective upon the date of receipt by personal service or as evidenced by a valid return receipt or refusal. 20. Amendment. This Agreement sets forth all the promises, inducements, agreements, conditions and understandings between the CONSULTANT and the VILLAGE relative to the subject matter thereof, and there are no promises, agreements, conditions or understandings, either oral or written, express or implied, between them, other than are herein set forth. Except as herein otherwise provided, no subsequent alteration, amendment, change or addition to this Agreement shall be binding upon the Parties hereto unless authorized in accordance with law and reduced in writing and signed by them. 21. Counterparts. This Agreement may be executed in two (2) or more counterparts, each of which taken together, shall constitute one and the same instrument. 22. Venue. The Parties hereto agree that for purposes of any lawsuit(s) between them concerning this Agreement, its enforcement, or the subject matter thereof, venue shall be in Cook County, Illinois, and the laws of the State of Illinois shall govern the cause of action. 23. Effective Date. In addition, the requirements identified below are based on the DOE'S EECBG Program and any work conducted by the CONSULTANT according to this section must meet the Program's requirements. At a minimum, the CONSULTANT will provide professional consulting services for the following: Plan Overview The Bike Plan's first objective is to develop a comprehensive biking and walking network consisting of marked on- street bikeways, signed routes, and multi -use trails where possible. A complete inventory and evaluation of existing streets in Mount Prospect, including a bike level of service (LOS) analysis on 60% of the streets, will be included in the plan to justify the Consultant's recommendations for the proposed bicycle facility plan. Research will include an assessment of existing conditions, planned improvements, pedestrian routes, network gaps, and problem areas (through the use of accident data). The Consultant will also review current policies and make policy recommendations to ensure that Complete Streets policies are integral to walkable and bikeable communities. The Consultant will determine problem areas by analyzing crash data. The Consultant will meet with transit partners to assess existing and potential connections with bike and pedestrian transportation. The second objective of the plan is to develop a safety and education program for the Village. The program should discuss and recommend education, encouragement, and enforcement activities and resources that may benefit motorists, cyclists, and pedestrians. Recommendations could include safety programs like Safe Routes to Schools and Bicycling Ambassadors. The final objective will be to market bicycling, walking, and transit as viable transportation options to the community. The Consultant will develop a marketing strategy program to reach out to Mount Prospect residents and businesses. Scope of Work Task 1. Mobilize Task Force: Consultant will convene a Task Force of key stakeholders including staff from appropriate Village departments, elected officials and residents. The Task Force will guide the planning process and involve other community groups and residents. The Task Force will assist the Consultant team in defining goals, introduce technical standards, providing feedback, assisting in the public process and reviewing the project milestones throughout the length of the project. Task 2. Conduct Comprehensive Bicycle Plan Public Meeting /Open House: The open house /public meeting will provide residents and staff with the opportunity to identify bike - specific goals, map out the best routes for biking and walking, and identify missing links and routes to popular regional and local destinations. Stakeholders will identify key opportunities and priorities through the planning workshop and will set the stage for an open, transparent planning process. The Consultant will invite Mount Prospect residents to participate in the planning process through several advertising mediums, including the Consultant's 40,000 - person database and social networking techniques (Facebook, Google Calendar, etc.). The Consultant will prepare the presentation and meeting facilitation materials. The presentation will include the goals of the planning effort and components of the bike network. The Consultant will lead the meeting attendees through the public input portion of the meeting and encourage feedback and 2527514 opinions. The Consultant is responsible for producing all handouts and visuals at all public and task force meetings. Task 3. Inventory Existing Conditions: The project team will produce a complete inventory of on- and off - street bikeway network and facility opportunities, pedestrian facility opportunities, and bicycle parking. The team will use a Bicycle Level of Service (BLOS) to analyze at least 60% of Village streets and will geocode data into Geographical Information Systems (GIS) for existing and potential network improvements and facilities. The information will be illustrated through GIS maps utilized for developing and prioritizing a proposed bikeway network. The GIS shapefile information will also have the potential to become attractive, high - quality maps for public distribution. Attributes of the maps include bike, pedestrian, and transit access and promote the use of those modes of transportation. The Consultant will provide all GIS shapefiles to the Village upon the conclusion of the project. The Consultant will conduct the necessary fieldwork to establish the cost and feasibility of developing the proposed bicycle network. The Consultant will work closely with the task force members to use their knowledge of current road network. The Consultant will inventory the pedestrian infrastructure and identify any gaps or barriers to walking. The Consultant will also work with the community to identify priority pedestrian routes and prepare an itemized list of needed improvements that focus on safety. Additionally, the consultant will tailor potential safety, education and encouragement programs based on the existing conditions for the Village to adopt. Finally, the Consultant will study current Village policies using Complete Streets standards to ensure that all policies are consistent with a bike plan. The Consultant will make recommendations to Village policies to ensure their compliance with Complete Streets policies. Task 4. Energy Efficiency and Conservation Strategies The Plan must incorporate specific energy efficiency and conservation strategies related to the bicycle plan's implementation recommendations. To meet this requirement, energy efficiency and conservation metrics must be developed and analyzed in respect to the Plan's recommendations. At a minimum, such metrics much include energy savings (kWh), energy cost savings, and greenhouse gas reductions. The Village encourages the Consultant to develop more than one metric for each energy efficiency and conservation category. If any bicycle plan recommendations include renewable energy components, the Plan must also provide an appropriate metric. The Consultant may use the U.S. Department of Energy and other resources to help develop those metrics. Before the draft Plan is reviewed by the Village Task Force, the Village must agree to the Consultant's methods for calculating the metrics above. These metrics will be used by the Task Force, along with the other agreed to criteria, to prioritize the Plan's recommendations. Task 5. Analyze Existing Data & Recommend Facilities for Development: The team will conduct a bikeway feasibility analysis using the data collected in the Task 3 and create a bikeway feasibility map. The Consultant will identify potential opportunities and any barriers to bicycle and pedestrian facilities. The team will work with the task force to provide recommendations for transportation network signage, a pavement striping and maintenance plan, and a prioritized project list (implementation schedule). The recommendations will be prioritized based on feedback from the task 252751_4 force. The Consultant shall prepare recommended bike treatments throughout town with justification for the recommendations. Task 6. Present Draft Plan to Public: The Consultant will organize and conduct a bicycling and walking tour of the transportation network for the task force and interested parties. Additionally, the Consultant will present initial findings and gather input about opportunities, barriers and gaps within the proposed network at a subsequent public meeting. Task 7. Project Oversight Throughout the project, management of goals and timelines is essential. The Consultant will clearly report progress to the Village and will submit a timeline with expected deadlines for each task. Monthly reports shall be prepared by the Consultant and comply with the Department of Energy's Energy Efficiency and Conservation Block Grant Program to help track the project milestones and communicate energy savings of the project. Task 8. Final Comprehensive Bicycle Plan: The Consultant will deliver a draft report to the task force that includes the following: • Physical location of non - motorized transportation network, facilities, and bike parking with illustrative map • Short -term, mid -term, and Tong -term recommendations to make bicycling, walking, and transit use easy and convenient for Mount Prospect residents and visitors • Safety, education, encouragement and enforcement program recommendations • Complete inventory of existing conditions with rationale for recommendations • Bike- related goals and objectives determined through process. • Complete Streets policy recommendations • Implementation schedule with list of priorities • Implementation strategies • Energy cost savings (measured in kw /hr or greenhouse gas reduction for Department of Energy report) for each recommendation • Renewable energy capacity and generation for each recommendation • Estimated costs • Funding strategy • Resource list • Other recommendations Upon review and agreement from the Task Force, the Consultant will deliver the final Comprehensive Bicycle Plan. 252751_4 ATTACHMENT 2 - PROJECT SCOPE Village of Mount Prospect Bike Plan DATE OF PROPOSAL July 14, 2010 RECIPIENT CONTRACTOR Clare O'Shea Active Transportation Alliance Village of Mount Prospect 9 W. During the performance of this contract, the contractor agrees as follows: 1. That he or she will not discriminate against any employee or applicant for employment because of race, color, religion, sex, sexual orientation, marital status, national origin or ancestry, citizenship status, age, physical or mental disability unrelated to ability, sexual orientation, military status or an unfavorable discharge from military service; and, further, that he or she will examine all job classifications to determine if minority persons or women are underutilized and will take appropriate affirmative action to rectify any underutilization. 2. That, if he or she hires additional employees in order to perform this contract or any portion of this contract, he or she will determine the availability (in accordance with the Department's Rules and Regulations) of minorities and women in the areas from which he or she may reasonably recruit and he or she will hire for each job classification for which employees are hired in a way that minorities and women are not underutilized. 3. That he or she will submit reports as required by the Department's Rules and Regulations, furnish all relevant information as may from time to time be requested by the Department or the contracting agency, and in all respects comply with the Act and the Department's Rules and Regulations. 6. That he or she will permit access to all relevant books, records, accounts and work sites by personnel of the contracting agency and the Department for purposes of investigation to ascertain compliance with the Act and the Department's Rules and Regulations. 7. That he or she will include verbatim or by reference the provisions of this clause in every subcontract awarded under which any portion of the contract obligations are undertaken or assumed, so that the provisions will be binding upon the subcontractor. In the same manner as with other provisions of this contract, the contractor will be liable for compliance with applicable provisions of this clause by subcontractors; and further it will promptly notify the contracting agency and the Department in the event any subcontractor fails or refuses to comply with the provisions. In addition, the contractor will not utilize any subcontractor declared by the Illinois Human Rights Commission to be ineligible for contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations.
