HomeMy WebLinkAboutRes 08-10 03/16/2010 RESOLUTION NO. 08-10 A RESOLUTION APPROVING THE FIRST AMENDMENT TO THE VILLAGE OF MOUNT PROSPECT VEHICLE TOWING AND STORAGE CONTRACT WITH HILLSIDE TOWING WHEREAS, the Village of Mount Prospect and Hillside Towing, 200 E. Palatine Road, Arlington Heights, Illinois, entered into the Village of Mount Prospect Vehicle Towing and Storage Contract (hereinafter the "Contract"), effective July 1, 2008; and WHEREAS, the Contract was publicly bid as a three (3) year contract, ending June 30, 2011; and WHEREAS, paragraph 20 of the Contract, as executed by the Village of Mount Prospect and Hillside Towing, states that the Contract "shall remain in effect until June 30, 2009"; and WHEREAS, the Village of Mount Prospect and Hillside Towing intended that the Contract remain in effect until June 30, 2011, with an extension of one (1) year by mutual agreement; and WHEREAS, the Village of Mount Prospect President and the Board of Trustees find that it is in the best interests of the residents of the Village of Mount Prospect to enter into the First Amendment to the Mount Prospect Vehicle Towing and Storage Contract in order to correct the term of that Contract. NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE MOUNT PROSPECT, COOK COUNTY, ILLINOIS, ACTING PURSUANT TO ITS HOME RULE POWERS, AS FOLLOWS: SECTION 1: That Paragraph 20, Length of Contract, in the Mount Prospect Vehicle Towing and Storage Contract is amended to provide that the Contract shall remain in effect until June 30, 2011, subject to the extension provision in Paragraph 20. SECTION 2: That the Village President is hereby authorized and directed to execute the First Amendment to the Mount Prospect Vehicle Towing and Storage Contract. SECTION 3: That this Resolution shall be in full force and effect from and after its passage and approval in the manner provided by law. 247974 1 SECTION 4: That all motions and resolutions or parts thereof in conflict with the provisions of this Resolution are, to the extent of such conflict, hereby repealed. Wilks Mayor ATTEST: H:\CLKO\WIN\RESOLUTION\Resolution - approve Amendment to Towing Contract with Hillsidemarch2010.DOC 247974_1 FIRST AMENDMENT TO THE VILLAGE OF MOUNT PROSPECT VEHICLE TOWING AND STORAGE CONTRACT WITH HILLSIDE TOWING THIS FIRST AMENDMENT to the Village of Mount Prospect Vehicle Towing and Storage Contract (hereinafter referred to as the "First Amendment") is made and entered into as of the Effective Date, as hereinafter defined, by and between the Village of Mount Prospect, an Illinois home rule municipal corporation (hereinafter referred to as "Village") and Hillside Towing, an Illinois corporation (hereinafter referred to as "Contractor"). (Village and Contractor sometimes referred to as "Party" or "Parties") WHEREAS, the Village and Contractor entered into the Village of Mount Prospect Vehicle Towing and Storage Contract (hereinafter the "Contract"), effective July 1,2008; and WHEREAS, the Contract was publicly bid as a three (3) year contract, ending June 30, 2011; and WHEREAS, paragraph 20 of the Contract states that the Contract "shall remain in effect until June 30, 2009"; and WHEREAS, the Parties intended that the Contract remain in effect until June 30, 2011. NOW, THEREFORE, in consideration of the premises set forth above, which are incorporated into this First Amendment, the Parties hereto do mutually agree as follows: 1. Paragraph 20, Length of Contract, of the Contract is amended by deleting the phrase "June 30, 2009" and replacing it with the phrase "June 30, 2011", such that Paragraph 20 shall read as follows: 20. LENGTH OF CONTRACT This contract shall be in effect beginning July 1 st, 2008, and shall remain in effect until June 30, 2011, unless terminated by either Party under the conditions specified in Section 19, Contract Termination. The Contract may be extended for a period of one (1) year beyond the termination date by mutual, written agreement between the Village and the Contractor. 2. This First Amendment shall become effective upon the date last signed by the Village (the "Effective Date"). IN WITNESS WHEREOF, the Parties hereto have executed this First Amendment.
