CLOSED SESSION

The Closed Session was called to order at 10:20 p.m., in the conference room of the
Senior Citizens' Center, 50 South Emerson Street, for the purpose of discussing
Personnel (hiring independent contractor). Present at the Closed Session were: Mayor
Gerald Farley; Trustees George Clowes, Timothy Corcoran, Richard Hendricks, Paul
Hoefert, Michaele Skowron and Irvana Wilks. Also present were: Village Manager
Michael Janonis and Assistant Village Manager David Strahl.
Personnel
Village Manager Michael Janonis indicated that the Village was still negotiating the
possible annexation of the United Air Lines' property into the Village. It was noted that
while the Village and United Airlines' may be able to come to terms on a voluntary
annexation, it was highly probable that the Elk Grove Township Rural Fire Protection
District would bring Suit to block the annexation based upon a claim that the tax base of
the District would be substantially reduced. Due to the size of United Airlines as a
percentage of the Fire Protection District, it was quite likely that a Suit on the merits
would prevail. It was also noted that there was a previous attempt to reach a negotiated
arrangement that would allow United Airlines to annex to the Village while providing fire
protection to the residents in the District by means of a cooperative pact between the
Village of Mount Prospect, the City of Des Plaines and Elk Grove Village. At the last
minute, the Fire Protection District refused to honor the agreement and as a result of
subsequent litigation, the agreement was ruled invalid.
There was consensus of opinion among Board members that a negotiated agreement
with the Fire Protection District was unlikely. Therefore, as an alternative, the Board
agreed to consider the concept of seeking legislative relief in Springfield. In order to
accomplish this task, it would require the retention of a law firm that had the requisite
expertise in matters such as this. Mr. Janonis reported that based on his research,
Mr. Clive Toppel from the law firm of Winston and Strawn appeared to have the
background and expertise to draft the necessary legislation and seek its adoption by the
General Legislature. Mr. Toppel would handle this matter on a flat-fee basis not to
exceed $10,000.
The Village Board considered this matter and determined that it would be in the best
interest of the Village to seek legislative resolution of this matter. The Village Manager
was directed to negotiate an agreement with Mr. Toppel to accomplish same.

. There was no further discussion. There was a Roll Call vote to adjourn the Closed
Session. On a Motion by Trustee Wilks and Seconded by Trustee Clowes, there was a
unanimous vote to adjourn at 10:38 p.m.
The regular session of the Committee of the Whole was reconvened and there being no
further business to discuss, the Committee of the Whole meeting adjourned at 10:40 p.m.
