INVOCATION Trustee Minton gave the invocation. ROLL CALL Present upon roll call: Fl~ros Hendricks Minton Rhea Richardson Teichert Absent: Wattenberg This specia~ m~eting of the-Mayor and Board of Trustees of the Village of Mount Prospect.was called by Mayor. Teichert on Tuesday, May 6, 1975 pursuant to, Chapter 2 "The Board of Trustees" Section 2.103 "Meetings" as specified in the Municipal Code of Mount Prospect. The purpose of the meet- ing was to consider the A. J~ Davis Co. tree maintenance contract and a public library referendum. A. J. DAVIS CO. CONTRACT Trustee Minton posed several questions regarding man-hours expended and Village personnel used in conjunction'with the A. J. Davis Co. personnel~ The Public-Works Director ex- plained the operation of his department~and his tree care program, as well as the work performed by the outside con- tractor. After considerable- discussion, Trustee Floros, seconded Dy Trustee Richardson, moved to award the tree main- tenance contract to A. J. Davis Co. effective ~ay 1, 1975 at a cost not to exceed $39,000.00. Upon roll call: Ayes: Floros Hendricks ~nton Rhea Richardson Motion carried. CONSIDERATION OF PUBLIC LIBRARY REFERENDUM Memorandums had been distributed"to the Board from Paul D. Speer & Co. and Chapman & Cutler and the Library Board re- garding the proposed new library an~ the issuance-of~bonds and the effect of a referendum. The Village Attorney gave an opinion on the legal asoects. After review of the vari- ous reports it was the sense of the majority of the Board to proceed with the construction of the new library. Interested citizens, Mrs,. Caylor, Idyl Nipper and Anton Dvylis all expresseo their approval of the Board's decision. Mayor Teichert read the following letter and requested it be made a part of these minutes: May 22, 1975 'To: The President and Board of Directors of the Mount Prospect Public Library and the President and Board of Trustees of the Village of Mount Prospect Ladies and Gentlemen: Please consider this an open, public letter and notice to a~l of you of a unique oroblem that may develop in conjunction with the propose~ new library building in Mount Prosoect. For 70 years, my family:owned company, of which ~ am a stock- holder and its President, has sold fire prevention equipment on both a retail and wholesale level to thousands of customers throughout the country. As you know, selling to wqolesalers means that we haYe no idea who the end-user of our oroducts Pg. 1 5-27-75 ill be, nor do we have any control over this part of our business. Early this week, ~ was requested to give our current prices on equipment ~to a customer who'happens to'be a-Contractor, and who also nappens to be'interested in cuoting on the construction bid for the proposeo new library. At this point I realized that this could develop into an embarrassing situation and I asked our Village Attorney, 'Mr. Zimmermann, for guidance. Mr. Zimmermanr informed me that under present laws in Illinois iT could be considered a conflict of'interest if any products originally sold by my company went into the new building. Whether I vote or not on the awarding of bids, or have no ad- vance knowledge of wnere the equipment is going, does not re- move a Possible cloud over the situation. Please let me inform all of you that I will not cast a vote concerning the awarding, approval or recommendation of any con tractor to building the new building. AI:sQ, ! will ~ot knowingly sell ~y comoany's products to any source whereby they might wind uprin the new building. However, we sell to hundreds of wholesalers and move thousands of product items each month, therefore it w~ll be impossible for me to give you my guarantee, that some of these items will not be involved in the new b~ilding. I will guarantee you that if th~s happens, it will not be with my prior knowledge. I suppose the best way to remove the problem would be to re- move myself from the'Library Board. This I.will not do. I nave served on two separate Village library boards since 1969. and I feel that my past record'denotes my honesty. If the above mentioned situation does come to pass, it will not~be of my doing. If someone wants to wave the issue of "conflict of interest? let them be damned. Please understand my desire to avoid embarrassment for any board, its members, or my company, and I sincerely hope that I have your help and understanding in this matter." Regards, JACK D.
