HomeMy WebLinkAboutRes 16-94 04/19/1994 BH/caf 4~4~94 4119/94 RESOLUTION NO. 16-94 A RESOLUTION DISSOLVING THE MOUNT PROSPECT CULTURAL TRUST COOPERATIVE WHEREAS, the Village of Mount Prospect became signatory on February 9, 1993 to an agreement known as the Mount Prospect Cultural Trust Cooperative Agreement; and WHEREAS, the purpose of the Agreement was to provide an intergovernmental approach to the implementation of cultural projects, especially the building and maintenance of a community auditorium; and WHEREAS, numerous legal and financial problems have arisen with respect to the establishment of the auditorium. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS: SECTION ONE: The Village of Mount Prospect's participation in the Mount Prospect Cultural Trust Cooperative and the Mount Prospect Cultural Trust Cooperative Agreement is hereby withdrawn and terminated in contemplation of the dissolution of the Mount Prospect Cultural Trust Cooperative along with any agreements and adoption of By-Laws that may have been established among the constituent members. SECTION TWO: This Resolution shall be legally effective to cause Mount Prospect's vote to dissolve as contemplated by Article VI of the Mount Prospect Cultural Trust Cooperative Agreement. SECTION THREE: This Resolution shall incorporate such waivers of rules as may be necessary to effect the dissolution of the Mount Prospect Cultural Trust Cooperative not later than June 30, 1995. SECTION FOUR: This Resolution shall be effective to relieve the Village of Mount Prospect of any undertakings, financial or otherwise, that another party may claim that it has pursuant to its participation in the attempted establishment of the Mount Prosect Cultural Trust Cooperative. SECTION FIVE: That this Resolution shall be in full force and effect from and after its passage and approval in the manner provided by law.
