RESOLUTION NO. 4-76 A RESOLUTION AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH ELI< GROVE TOWNSHIP WHEREAS, the Administration of the Village of Mount Prospect has reviewed an agreement with Elk Grove Township relating to the supervision, funding, conduct, and operation of PROSPECTUS, a social service agency designed for the purpose of promoting better physical and mental health through counseling, education, and disease prevention; and WHEREAS, the said Administration has recommended to the Mayor and Board of Trustees of the Village of Mount Prospect the adoption of the said agreement; and WHEREAS, the Mayor and Board of Trustees of the Village of Mount Prospect have--- H__ ascertained that entry into this agreement is in the best interests of the Village of Mount Prospect; NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND BOARD OF TRUSTEES OF THE VILLAGE OF MOUNT PROSPECT, COOK COUNTY, ILLINOIS: SECTION ONE: That the President of the Board of Trustees of the Village of Mount Prospect is hereby authorized to sign and the Village Clerk of the Villagaof Mount Prospect is hereby authorized to attest the said agreement made a part hereof and attached hereto as Exhibit I . SECTION TWO: That this Resolution shall be in full force and effect from and after its passage and approval in the manner provided by law. AYES: 6 NAYS: 0 PASSED this 6th day of January, 1976. WHEREAS, it has become more feasible for the Township to supervise, fund, , i I Qonduct, and operate this Prospectus program, hereinafter referred to as "PROGRAMTl1 Ii I' find WHEREAS, the Village desires to contribute space and thereby participate in e continuation of the Program; NOW, THEREFORE, upon the mutual covenants and considerations expressed erein, IT IS AGREED by and between the parties hereto, as follows: 1. Duties of Village: Each and every day during the term of this Agreement, the Village shall make space available to the Township for the purpose of the continuation of the I I Program; which space is located on the premises commonly known as 110 East \1 Ii Northwest Highway, Mount Prospect, Illinois, and which space is comprised of I ,I II that area, hereinafter referred to as "PREMISES", shown on Exhibit I attached q !I hereto. 11 Ii li 1I il \! The Township will supervise, fund, conduct, and operate the Pr gram, including the payment of the salaries and other benefits to all of those employees currently attached to the Program. B. The Township shall indemnify and hold the Village harmless from and against allliabilities, judgments, costs, damages, and expenses whi may accrue against, be charged to, or be recovered from the Village by reason or on account of damage to the property of the Village or the pro- ! perty of, injury to, or death of any person, arising from the Township's I I i and/or the Program's use and occupancy of and/or operations thereof at the Premises, including acts of its agents, except when covered by the Village's negligence. C. The Township shall keep unobstructed all portions of sidewalks, entrances, passages, vestibules, stairways, halls within, and all ways of common access to the Premises. D. The Township shall not assigp. or sublet any part of the Premises. Term, Renewal and Termination: A. The term of this Agreement shall be for a period of one (1) year from the date hereof and shall be automatically renewed for one (1) year periods, unless either party shall terminate this Agreement by giving written Notice to the other party at least sixty (60) days prior to its annual renewal date. B.
