These goals are adopted for contractors, subcontractors, and consultants on the projects and shall be included in all future advertisements and specifications for the projects. BE IT FURTHER RESOLVED that the Village of Mount Prospect hereby affirms that it will adhere to the USEPA goal oriented policy outlined in the Federal Register of December 26, 1978 and August I, 1980. Name:klJI~ Title: Village Clerk lEffective date - February 1, 1979 2Effective date - October 1, 1981 - 'I.,': " , .., ENGINEERING AGREEMENT SANITARY SEWER REHABILITATION PROGRAM VILLAGE OF MOUNT PROSPECT, ILLINOIS THIS AGREEMENT, made and entered roto this /6.1:1 day of ~ 1982, by and between the Village of Mount Prospect, Illinois, reinafter called the Owner, and Donohue & Associates, Inc., hereinafter called the Engineer, ~ , ' WITNESSETH: WHEREAS, a Sewer System Evaluation Survey Final Report, dated November 16, 1979, outlined a sanitary sewer rehabilitation program to cost-effectively eliminate a portion of the infiltration/inflow presently entering the Owner's sanitary sewer system, and WHEREAS, the Illinois Environmental Protection Agency (TEPA) and the U. S. Environmental Protection Agency (US EPA) have approved the findings of the survey, and WHEREAS, the Owner desires to employ the Engineer for the purpose of preparing plans and specifications for the sanitary sewer rehabilitation program in general compliance with the US EP A and IEP A guidelines known as of July 1, 1982. NOW, THEREFORE, in consideration of the promises, covenants, agreements and payments hereinafter mentioned, the Owner and the Engineer hereby mutl~ally agree as follows: ARTICLE I - DESCRIPTION OF PROJECT The project to which this agreement applies includes the development of a sanitary sewer rehabilitation program. The rehabilitation program will consist of preparing plans and specifications for all fundable items of material to be furnished and work to be done as listed in Revised Table 5 in the SSES report under the heading "Proposed Sewer System Rehabilitation Program" for the Village of Mount Prospect, Illinois, June, 1980. ARTICLE II - SCOPE OF SERVICES The Engineer agrees to perform engineering services for the project and, in particular, to perform the following: 1. Review the infiltration/inflow analysis prepared by Metropolitan Sanitary District of Greater Chicago (MSDGC) and sewer system' evaluation survey previously prepared by the Engineer. 2. Make field surveys and investigations prior to preparing rehabili- tation plans and specifications. ~ , _:~ ~ 3. Review existing record plans of the sanitary sewer system. 4. Prepare rehabilitation plans and specifications. 5. Obtain approvals of said plans and specifications from the IEP A and US EP A with the Owner providing any assistance required including timely review and approval of work in progress. 6. Provide plans and specifications to the Owner for approval by the IEP A, US EP A, financial consultants, and regulatory agencies and provide the Owner with a set of reproducible plan tracings and specifications on bond paper. ARTICLE III - STATEMENT OF ENGINEER'S RESPONSIBILITY It is the intent of this agreement that the Engineer will provide information written and oral, attend required meetings, prepare plans and specifications, submit documents to US EPA, IEPA, and the Owner prior to and including the Step 3 application for a construction grant. Through the use of good engineering principles, the Engineer will design a sewer rehabilitation project which will eliminate infiltration/inflow (I/I) sources and reduce III flows. However, no rehabilitation project can be 100 percent effective, and additional III sources may develop through natural deterioration over which the Engineer has no control. Nothing in this agreement shall be construed as giving the Engineer the responsibility or authority to direct or supervise construction means, methods, techniques, sequence, or procedures of construction selected by contractors or subcontractors or the safety precautions and programs incidental to the work of the contractors or subcontractors. ARTICLE IV - COMPENSATION The Engineer shall be compensated for services performed under Article II of this agreement on the basis of the Engineer's cost, as specified in the federal procurement regulations, plus a fixed fee. The Engineer's cost includes direct labor costs, allowable indirect costs, and other allowable direct costs. For services described under Article II the estimated total ceiling price is $71,900, including a fixed fee of $8,900. The total overhead rate (direct labor and allowable indirect costs) is the provisional rate of 164 percent. The final bill will ..reflect the payroll overhead and general and administrative overhead percentages as stated in this agreement. A revised final bill will be submitted if the actual combined. payroll overhead and general and administrative overhead percentages incurred for the services performed vary by more than three percent from the rates stated in this agreement. -2- .., '-" . Other allowable direct costs are expenses incurred directly by the Engineer for the Owner, including meals, mileage, computer usage, technical equipment, printing, etc. Such direct expenses shall be billed on the basis of the usual commercial charges for items provided by the Engineer or on the actual price for items obtained from commercial sources. The Engineer will bill the Owner monthly. The monthly billing will summarize the direct labor hours and costs incurred. A prorated percentage of the fixed fee will also be billed monthly, based on the Engineer's estimated percentage of project completion. The Owner will pay the Engineer within 30 days of the billing date. The Engineer and the Owner agree that the ceiling price reflects the best current estimate of the timing and personnel necessary to complete the services covered by this agreement. If conditions would require additional hours of effort or personnel of different classifications than those set forth in Article VII which result in the ceiling price being exceeded, the Engineer and Owner agree to amend this agreement to increase the ceiling price. The fixed fee may not be increased except in the case of an agreement amendment which increases the scope of services. The renegotiation would be in accordance with 40 CFR 35.937-l(b) of the EPA grant regulations. ARTICLE V - CHANGE OF SCOPE If services different from those in the scope of this agreement are required of the Engineer as a result of subsequent investigations, changes in regulatory agency requirements or interpretations, or upon the direction of the Owner, the Engineer reserves the right to renegotiate this agreement. The additional services and compensation shall be negotiated, and the Engineer shall not proceed with the additional services until approved by the Owner and the appropriate regulatory agency, if required. ARTICLE VI - APPENDIX C-l This agreement represents the total understanding of the obligations of the Owner and Engineer as they relate to this project. Attached is Appendix C-l as required by the US EPA which is not a party to this agreement. The provisions of Appendix C-l apply to the responsibilities of the Owner and Engineer when they do not conflict with the provisions of this agreement. ARTICLE VII - TIMING AND PERSONNEL The Engineer has or will secure qualified personnel, equipment and facilities to complete the services outlined in this agreement. The Engineer expects to complete the plans and specifications for the project within six months after receipt of the executed agreement.
